RESOLUTION 2015-PW-PG-CNTRCT-R-1440 A RESOLUTION APPROVING THE PURCHASE OF A TANDEM DRUM VIBRATORY ASPHALT ROLLER WHEREAS, the Village's current asphalt roller ("Roller") was purchased in 1987, which Roller the Village uses to finish asphalt paving for street patches and safety pathways; and WHEREAS, the Village desires to purchase a new Roller to more efficiently finish asphalt paving and make asphalt repairs; and WHEREAS, on January 20, 2015, the Village requested bids to provide a new Roller; and WHEREAS, the Village received six bids to provide the Roller; and WHEREAS, Casey Equipment Co., Inc. of Arlington Heights, Illinois ("Casey") was the lowest responsive and responsible bidder; and WHEREAS, the Village President and Board of Trustees, being fully advised in the premises, have determined that it is in the best interests of the Village and its residents to authorize the purchase of the Roller from Casey for an amount not to exceed $34,250.00; NOW THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE VILLAGE OF OAK BROOK, DU PAGE AND COOK COUNTIES, ILLINOIS as follows: Section 1: Recitals. The foregoing recitals are hereby incorporated into, and made a part of, this Resolution as the findings of the President and Board of Trustees of the Village of Oak Brook. Section 2: Authorization of Purchase of the Roller. The purchase of the Roller from Casey in a total amount not to exceed $34,250.00 is hereby authorized. Section 3: Execution of Required Documentation. The Village President and the Village Clerk shall be, and are hereby, authorized to execute and attest, on behalf of the Village all documents necessary to complete the purchases pursuant to Sections 3 of this Resolution. Section 4: Effective Date. This Resolution shall be in full force and effect from and after its passage and its approval in the manner provided by law. Dean Board Room at that time. A complete bid package, of which this legal notice is a part, is on file for inspection and may be downloaded from the Village's website www.oak-brook.org or picked up at the Butler Government Center, 1200 Oak Brook Road, Oak Brook, Illinois 60523, between the hours of 8 A.M. and 4:30 P.M. Monday through Friday. There is no charge for the package. No bid shall be withdrawn after opening of bids without the consent of the Village of Oak Brook for a period of ninety (90) days after the scheduled time of opening bids. L. The Bidder further agrees to execute all documents within this Bid Package, for this work and present all of these documents to the Village. M. The Bidder further agrees to complete all work not later than the Time of Completion stated in his Bid after receipt of the Notice to Proceed, unless otherwise provided, and to execute the work in such a manner and with sufficient materials, equipment and labor as will insure its completion within the time limit specified within the bid, it being understood and agreed that the completion within the time limit is an essential part of the contract and time is of the essence. N. By submitting a Bid, the Bidder understands and agrees that, if his bid is accepted, and he fails to enter into a contract forthwith, he shall be liable to the Village for any damages the Village may thereby suffer. Page 2 5. SUBSTITUTIONS: A. Certain materials and equipment may be specified by a manufacturer or trade name to establish standards of quality and performance and not for the purpose of limiting competition. Bidders are invited to submit bids not only on named items but also on items which they propose for substitution of named items. Products of other manufacturers may be substituted, if, in the opinion of the Village, they are equal to those specified in quality, performance, design and suitability for intended use. Where two or more items are specified, the selection among those specified is the Bidder's option, or he may submit his bid on all such items. B. Bids shall be based on materials included in the specifications. Substitutions for the purpose of evaluating bids will be considered only if proposed substitutions are set forth in the sealed bid and will only be accepted prior to the award of the contract. The offer of substitutions shall be an integral part of the bid, appearing immediately after all requested bids and before the signature of the Bidder. C. Substitutions of materials other than those specified will not be considered in the base bid price. However, other substitutions may be listed in the specified place in the Bid Form, with the indication of the change in the base bid price for the total cost. D. In addition to the requirements heretofore mentioned, in order for substitutions to qualify for consideration,the following shall accompany each bid: 1. Each proposed substitution shall be itemized showing manufacturer name, catalog number, quantity, unit cost and total cost. The Bidder shall prepare the necessary forms to list his substitutions in the manner outlined. 2. Each bid offering substitutions shall be accompanied by descriptive literature, catalog data, complete technical specifications and reports of all pertinent tests concerning the Bidder's proposed substitutions 6. CONDITIONS: A. The Village is exempt from Federal excise tax (#36-600-9534) and the Illinois Retailer's Occupation Tax (#E9997-4381-06). The total amount bid includes all applicable federal, state, and local taxes of every kind and nature applicable to the work as well as all taxes, contributions, and premiums for unemployment insurance, old age or retirement benefits, pensions, annuities, or similar benefits and all costs, royalties and fees arising from the use on, or the incorporation into, the work, of patented or copyrighted equipment, materials, supplies, tools, appliances, devices, processes, or inventions. All claim or right Page 3 • to claim additional compensation by reason of the payment of any such tax, contribution, premium, costs, royalties, or fees is hereby waived and released by Bidder. B. To be valid, the bids shall be itemized so that selection for purchase may be made, there being included in the price of each unit the cost of delivery (FOB Destination). C. The Village shall reserve the right to add or to deduct from the base bid and/or alternate bid any item at the prices indicated in itemization of the bid. D. All bids shall be good for ninety (90) days from the date of the bid opening. 7. BASIS OF AWARD: The Village of Oak Brook reserves the right to reject any or all bids and to waive any informality or technical error and to accept any bid deemed most favorable to the interests of the Village of Oak Brook. In addition to price,the Village will consider the Bidder's: A. Ability, capacity and skill to fulfill the contract as specified. B. Ability to supply the commodities, provide the services or complete the construction promptly, or within the time specified, without delay or interference. C. Character, integrity, reputation,judgment, experience and efficiency. D. Quality of performance on previous contracts. E. Previous and existing compliance with laws and ordinances relating to the contract. F. Sufficiency of financial resources. G. Quality, availability and adaptability of the commodities, services or construction, in relation to the Village's requirements. H. Ability to provide future maintenance and service under the contract. I. Number and scope of conditions attached to the bid/proposal. J. Record of payments for taxes, licenses or other monies due the Village. Page 4 • 8. GUARANTEE: The Bidder must forward copies of all applicable manufacturers' warranties for all equipment/commodities supplied by the Bidder as a part of the Contract. 9. PAYMENT: The Village of Oak Brook authorizes the payment of invoices on the second and fourth Tuesday of the month. For consideration on one of these dates, a payment request must be received no later than fourteen (14) days prior to the second or fourth Tuesday of the month. Notwithstanding any other provision of the Contract and without prejudice to any of the Village's other rights or remedies, the Village shall have the right at any time or times, whether before or after approval of any pay request, to deduct and withhold from any progress or final payment that may be or become due under the Contract such amount as may reasonably appear necessary to compensate the Village for any actual or prospective loss due to: (1) work, equipment, or materials that are defective, damaged, flawed, unsuitable, nonconforming, or incomplete; (2) damage for which Bidder is liable under the Contract or the law; (3) state or local sales, use, or excise taxes from which the Village is exempt; (4) liens or claims of lien regardless of merit; (5) claims of subcontractors, suppliers, or other persons regardless of merit; (6) delay in the progress or completion of the work; (7) inability of Bidder to complete the work; (8) reasonable doubt that the Contract can be completed for the balance of the contract price then unpaid; (9) reasonable doubt that the balance of the contract price then unpaid is not adequate to cover actual or liquidated damages, if any; (10) failure of contractor to properly complete or document any pay request; (11) any other failure of Bidder to perform any of its obligations under this Contract; or (12) the cost to the Village, including attorneys' fees and administrative expenses, of correcting any of the aforesaid matters or exercising any one or more of the Village's remedies set forth in the Bid Package. The Village shall be entitled to retain any and all amounts withheld pursuant to this Section until Bidder shall have either performed the obligation or obligations in question or furnished security for such performance satisfactory to the Village. The Village shall be entitled to apply any money withheld or any other money due to Bidder under the Contract to reimburse itself for any and all costs, expenses, losses, damages, liabilities, suits, judgments, awards, attorneys' fees, and administrative expenses incurred, suffered, or sustained by the Bidder and chargeable to the Bidder under the Contract. 10. INDEMNIFICATION: The Bidder shall protect, indemnify, save, and hold forever harmless the Village and/or its officers, officials, employees, volunteers, attorneys and agents from and against all liabilities, obligations, claims, damages, penalties, causes of action, costs Page 5 and expenses, including without limitation court costs, insurance deductibles and attorney's fees and expenses, which the Village and/or its officers, officials, employees, volunteers and agents may incur, suffer or sustain, or for which the Village and/or its officers, officials, employees, volunteers and agents may become obligated by reason for any accident, injury to or death of persons or loss of or damage to property, or civil and/or constitutional infringement of rights (specifically including violations of the Federal Civil Right Statutes), arising indirectly or directly in connection with or under, or as a result of, this or any Agreement by virtue of any act or omission of any of the Bidder's officers, employees, subcontractors, and/or agents, provided that the Bidder shall not be liable for claims, obligations, damages, penalties, causes of action, costs and expenses arising solely by any act or omission of the Village's officers, officials, employees, volunteers and/or agents. The Bidder shall hold the Village harmless for any and all claims for labor, material, apparatus, equipment, fixtures or machinery furnished to the Bidder for the purpose of performing the work under the contract; and the payment of all direct and indirect damages to any person, firm, company or corporation suffered or sustained on account of the performance of such work during the time the contract is in force. 11. SAFETY: The Bidder and any subcontractors shall comply with all the provisions of the Federal Occupational Safety and Health Act of 1970 (84 Stat. 1590), as amended. 12. NON-DISCRIMINATING: The Bidder, its employees and subcontractors, agrees not to commit unlawful discrimination and agrees to comply with applicable provisions of the Illinois Human Rights Act, the U.S. Civil Rights Act and Section 504 of the Federal Rehabilitation Act, and rules applicable to each. Page 2 Section E General Conditions 1., F.O.B.: All goods are to be shipped prepaid, F.O.B. Destination. Shipments sent C.O.D. without Village's written consent will not be accepted and will, at Bidder's risk and expense, be returned to Bidder. Unauthorized shipments are subject to rejection and return at Bidder's expense. Goods must be properly packaged. Damaged goods will not be accepted. If damage is not readily apparent at the time of delivery, the goods will be returned and must be replaced at no cost to the Village. No loss, injury, or destruction will release Bidder from any obligations hereunder. 2. Material Safety Data Sheets (MSDS): Bidder shall furnish MSDS sheets for their products, in compliance with the Illinois Toxic Substance Disclosure to Employee Act and the "Right-To-Know" law. 3. Liens, Claims, and Encumbrances: Bidder warrants and represents that all the goods and materials ordered herein are free and clear of all liens, claims, or encumbrances of any kind. If at any time any notice of any lien is filed for or by reason of any equipment, materials, supplies, or other item furnished, labor performed, or other thing done in connection with the equipment or this Contract, then Bidder shall, promptly and without charge, discharge, remove, or otherwise dispose of such lien, or, if permitted by the Village, furnish a bond or other collateral satisfactory to the Village to indemnify the Village against such lien. Until such discharge, removal or disposition, or furnishing of any permitted bond or other collateral, the Village shall have the right to retain from any money payable under this Contract an amount that the Village, in its sole judgment, deems necessary to satisfy such lien and to pay the costs and expenses, including attorneys' fees and administrative expenses, of any actions brought in connection therewith or by reason thereof. 4. Delivery Requirements: All deliveries to the Village for items covered by this Bid shall be made Monday through Friday between the hours of 7:00 a.m. and 3:30 p.m., unless specified otherwise by the ordering Village department. All shipments are to be inside delivery to the ordering department. Page 1 5. Inspections/Testing: The Village reserves the right to visit and inspect the premises and operation of the Bidder. The Village has the right to inspect equipment for at least 14 days after delivery and to reject all or any part of the equipment that is, in the Village's judgment, defective or damaged or that in any way fails to conform strictly to the requirements of the Contract and Village, without limiting its other rights or remedies, may require correction or replacement at Bidder's cost, perform or have performed all work necessary to complete or correct all or any part of the work that is defective, damaged, or nonconforming and charge Bidder with any excess cost incurred thereby, or cancel all or any part of any order or the Contract. Work or equipment so rejected may be returned or held at Bidder's expense and risk. 6. Non-Discriminating: The Bidder, its employees and subcontractors, agrees not to commit unlawful discrimination and agrees to comply with applicable provisions of the Illinois Human Rights Act, the U.S. Civil Rights Act and Section 504 of the Federal Rehabilitation Act, and rules applicable to each. 7. Uniform Commercial Code: All applicable portions of the Illinois Uniform Commercial Code govern the contract. 8. Patents and Copyrights: If any equipment delivered to the Village is protected by any patent or copyright, Bidder must indemnify and save harmless the Village from and against any and all suits, claims, judgments, and costs instituted or recovered against it by any person or entity on account of the use or sale of such articles by the Village in violation or right under such patent or copyright. 9. Warranty: Bidder warrants that all equipment furnished hereunder will conform in all respects to the terms of the Contract, including all drawings, specifications, and standards, and will be free of defects in materials, workmanship, and design. In addition to any manufacturer's warranties, Bidder warrants the goods are suitable for and will perform in accordance with their intended purposes. The warranties expressed shall be in addition to any other warranties expressed in this Sid Package, or expressed or implied by law, which are hereby reserved unto the Village. Page 2 10. Non-Waiver of Rights: No failure of the Village to exercise any power given to it hereunder or to insist upon strict compliance by the Bidder with its obligations hereunder, and no custom or practice of the Village at variance with the terms hereof, and no payment made constitutes a waiver of the Village's right to demand exact compliance with the terms hereof. 11. Compliance with Laws: Bidder, in fulfilling the order, must comply with all applicable provisions of the federal, State, and local laws, regulations, rules, and orders. 12. Governing LawNenue: The Contract and the rights of the Village and the Bidder under the Contract shall be interpreted according to the internal laws, but not the conflict of laws rules, of the State of Illinois. Venue for any action related to the order will be in the Circuit Court of DuPage County, Illinois.
