R-1503 - 10/27/2015 - CONTRACTS - Resolutions RESOLUTION 2015-IT-CMPTR-NET-R-1503 A RESOLUTION APPROVING THE WAIVER OF COMPETITIVE BIDDING AND AUTHORIZING THE PURCHASE OF COMPUTER NETWORK ENHANCEMENT INFRASTRUCTURE AND SERVICES WHEREAS, the Village desires to upgrade its computer network infrastructure("Infrastructure'l; and WHEREAS, the Village issued a request for proposals to provide the Village with the Infrastructure ("RFP'); and WHEREAS, the Village received seven proposals from firms in response to the RFP; and WHEREAS, after evaluating the proposals, the Village has determined that Current Technologies Corporation ("Current') of Downers Grove, Illinois ("Current'l presented the best overall value to the Village based on factors including, without limitation, price, qualifications, and the ability of the Infrastructure proposed to meet the Village's needs; and WHEREAS, because the Village did not know what sort of Infrastructure the proposers would propose in response to the RFP, the Village did not include in the RFP a request for installation, configuration, and training services (collectively, the "Services'; and WHEREAS, if the Village procures the Infrastructure from Current, the Village desires that Current provide the Services so that the Village can fully utilize the Infrastructure; and WHEREAS, because the Infrastructure is being purchased from Current, Current is in the best position to provide the Village the Services; and WHEREAS, the President and Board of Trustees, being fully advised in the premises, have determined that it is in the best interests of the Village and its residents to waive competitive bidding for the Services and to approve the purchase of both the Infrastructure and Services from Current pursuant to the agreement attached to this Resolution as Exhibit A("Agreement"); NOW THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE VILLAGE OF OAK BROOK, DU PAGE AND COOK COUNTIES, ILLINOIS as follows: Section 1: Recitals. The foregoing recitals are hereby incorporated into, and made a part of, this Resolution as the findings of the President and Board of Trustees of the Village of Oak Brook. Section 2: Waiver of Competitive Bidding Requirements for the Services. The advertising and bidding requirements for the purchase of the Services is hereby waived in accordance with Section 1-7-4 of the Village Code. Section 3: Authorization of Purchase of the Services. The President and Board of Trustees hereby approve the purchase of the Services from Current for a price not to exceed $6,480.00. Section 4: Authorization of Purchase of the Infrastructure. The President and Board of Trustees hereby approve the purchase of the Infrastructure from Current for a price not to exceed $88,432.19. Section 5: Approval of Agreement. The President and Board of Trustees hereby approve the Agreement with Current in substantially the same form as attached as Exhibit A, and in a final form approved by the Village Attorney. (3)Servers with a combined ability to support a minimum configuration of 15 Virtual Guest Servers,72 Cores+and 192 GB+of RAM The proposed (3)Dell PowerEdge R630 2U rack mounted servers exceed the specifications requested. Notable specifications include dual Intel Xeon E5-2699 v3 2.3GHz processors and 128GB RAM per server. Dual 10GB Intel NIC's are provided for LAN connectivity and Dual 1GB Intel NIC's are provided for SAN connectivity. Redundant 8GB SD Cards are provided for the VMware vSphere installation. The SD Cards were chosen to increase reliability. The SD Cards eliminate the need for disks and RAID controller in the servers thereby reducing cost, reducing power requirements and reducing the number of moving parts within the server. In summary: With all physical servers online the configuration provides 108 Cores, 384GB RAM With (2)servers online the configuration provides 72 Cores, 256GB RAM 3. Storage Area Network(SAN)device to support the 10 servers listed in the RFP Table 2.1 The proposed Dell EqualLogic PS4210SX iSCSI Hybrid SSD/10K SAS SAN exceeds the specifications requested. Notable specifications include 9TB of Usable RAID 6 storage. The alternative option requested in the RFP for a SAN array providing only 5TB of usable storage was not available as Dell is not presently manufacturing a smaller EqualLogic array due to market demands for larger arrays and the cost economies provided by larger drive sizes. The RAID 6 data protection implemented on the SAN array allows for a failure of up to (2)drives without losing the integrity of the array. The SAN is able to handle the current TOPS load as well as 20% growth for 3 +years. All SAN array software features are included. Local disk to disk backup The proposed backup solution consists of a Dell PowerEdge R730xd backup server running Windows Server 2012 and Veeam. The backup server hardware would typically be located in an adjacent building away from the main data center and with gigabit or greater network connectivity back to the main data center. The proposed Veeam Backup Essentials Enterprise Plus bundle was chosen because it is optimal for virtual environments requiring local disk-based backup with the ability to forward data offsite for cloud storage/ DR. Veeam provides a highly reliable and easy to use backup and restore solution. Veeam includes deduplication, compression and Change Block Tracking(CBT) for space efficient backups. Features including granular support for Exchange, SQL and Active Directory as well as self-service file recovery are all included in the Veeam bundle. 5. Cloud based Disaster Recovery(DR) The proposed Veeam backup solution provides a feature called Veeam Cloud Connect (VCC)to allow forwarding of backup data offsite. Our design utilizes this feature in conjunction with the Veeam Cloud Connect service from iland to allow offsite backup of data as well as the ability to turn up virtual machines in the cloud for disaster recovery. The ability to turn up virtual machines is a feature that will be available in Veeam Backup version 9 release anticipated for Q4 2015. The included software support/maintenance plan will provide entitlement to this new version at no additional cost. The Customer shall pay any relevant set up fees and a security deposit equal to the Monthly Fee concurrently with the execution of this Agreement. Section 5.4 Limitation on Direct Damages. Except in respect of the Provider's gross negligence or willful misconduct,the Provider's total aggregate liability to the Customer and its affiliates under this Agreement shall not exceed the Monthly Fee. The Provider shall not have any liability to the Customer in respect of(a) the costs of reloading, replacing, or recreating any of the Customer's lost or damaged information, data or software; or (b) the loss of the Customer's information, data or software. Section 5.5 Indemnification for Statutory Liability. The Customer shall defend, indemnify, and hold each Provider and its affiliates and its and their respective officers, directors and employees harmless from any and all claims and proceedings by governmental entities arising from the Customer's use of the Providers'networks and services for the storage of personal information, whether pursuant to Massachusetts Regulation 201 CMR 17.00, the U.S. Health Insurance Portability and Accountability Act of 1996, the U.S. Health Information Technology for Veeam Service Agreement iland Internet Solutions Corporation Version 3.5 Confidential i an Economic and Clinical Health Act, the English Data Protection Act 1998 (in each case as amended from time to time) or other data protection laws and regulations. Section 5.6 Reasonableness. The Customer acknowledges that the limitations and exclusions of liability set out in this ARTICLE 5 are reasonable that that the Provider would not have been willing to provide products or services to the Customer for the prices set out in this Agreement and on the other terms set out in this Agreement absent such limitations and exclusions. ARTICLE 6 MISCELLANEOUS Section 6.1 Confidentiality. Neither Party shall divulge confidential information provided to such Party by the other Party or use such confidential information for purposes other than fulfilling its obligations under this Agreement, and each Party shall take all reasonable steps to ensure that each of its affiliates will not divulge such information to any other person. The confidentiality and limitation of use obligation set out in this Section 6.1 shall survive for one year following termination of this Agreement. The confidentiality and limitation of use obligation shall not apply where the Party receiving confidential information can show that (a) such information is already known to such Party or its representatives or to others not bound by a duty of confidentiality, (b) such information is or becomes publicly available through no fault of such Party or its representatives, (c)the furnishing or use of such information is required by, is necessary, or is appropriate in connection with legal (whether judicial, administrative, or legislative) proceedings, or(d) such information is developed by such Party independent of this Agreement. Section 6.2 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Texas (excluding principles of conflicts of laws that would require application of the substantive laws of another jurisdiction). Section 6.3 Entire Agreement. This Agreement is the entire agreement between the Parties concerning the subjects hereof. All prior negotiations, representations, understandings, and partial agreements concerning the subject matter of this Agreement are superseded by this Agreement. Section 6.4 Amendments. No amendment, modification, waiver, or release of the provisions of this Agreement shall be binding unless a writing of like import exists that(a)specifically identifies the amended, modified, waived, or released obligation, (b) describes the nature of the amendment, modification, waiver, or release, and (c) is signed by each Party. Section 6.5 Assignment. No Party may assign its rights or obligations under this Agreement to any person without the consent of the other Party, provided that the Provider may assign its rights and obligations under this Agreement to any person that acquires all or substantially all of the Provider's assets without the Customer's consent. Any purported assignment without such consent shall be void. Section 6.6 Notice. All notices, requests, demands, and other communications specifically required or authorized by this Agreement shall be written and shall be (a) mailed by registered mail or certified mail, return receipt requested, postage prepaid, to the recipient's address set out on the signature page of this Agreement, or (b)sent by recognized international courier to the recipient's address set out on the signature page of this Agreement with all delivery fees prepaid.
