R -1085, A Resolution Approving for the Approval and Release of Closed Meeting Minutes
Background/Ilistory:
The Open Meetings Act requires that all public bodies shall keep written minutes of all their
meetings, whether open or closed. The public body shall periodically, but no less than semi-
annually, meet to review minutes of all closed sessions that had not been released to the public.
At this time, the Board of Trustees has reviewed minutes from January 10, 2011 through July 27,
2010 and is ready to approve and release the minutes as appropriate. The minutes have been
redacted regarding the necessary sections of the meetings for those items that are still pending
and require continued confidentiality. The following list itemizes the minutes for this time
period with recommendations for release:

RESOLUTION 2011- BD -CL- MIN -EXI -R -1085
A RESOLUTION FOR THE APPROVAL AND
RELEASE OF CLOSED MEETING MINUTES
WHEREAS, the Village Board of the Village of Oak Brook has met from time to time in closed
meeting for purposes authorized by the Illinois Open Meetings Act; and
WHEREAS, pursuant to the requirements of 5 ILCS 120/2.06(c), the Village Board has met in closed
meeting to review all closed Meeting minutes; and
WHEREAS, the Village Board has further determined that a need for confidentiality still exists as to
portions of the closed meeting minutes from the meetings set forth on Schedule A, attached hereto as
Exhibit 1.
NOW, THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF
THE VILLAGE OF OAK BROOK, DU PAGE AND COOK COUNTIES, ILLINOIS as follows:
Section 1: That the 2010 closed meeting minutes of January 12, January 26, February 9, March 9,
April 13, April 27, May 11, May 25, June 8, July 13 and July 27 are hereby approved, as written or amended.
Section 2: That none of the 2010 closed meeting minutes listed above are to be released in their
entirety as described in Schedule A, attached hereto and made a part hereof as Exhibit 1.
Section 3: That the 2010 closed meeting minutes of January 12, January 26, February 9, April 13,
April 27 and May 11 are hereby released, subject to the redactions described in Schedule B, attached hereto
and made a part hereof as Exhibit 1.
Section 4: That the 2010 closed meeting minutes of March 9, May 25, June 8, July 13 and July 27
are not ready for release at this time, as listed in Schedule C, attached hereto and made a part hereof as
Exhibit 1.
Section 5: That the Village Clerk is hereby authorized and directed to make minutes identified in
Sections 3 available for inspection and copying in accordance with the standing procedures of the Clerk's
office, subject to the redactions described in Schedule B.
Section 6: That this resolution shall be in full force and effect from and after its passage and approval
as provided by law.

The Closed Meeting of January 12, 2010 of the Village Board of Trustees was called to order by
President Craig in the Upper Level Conference Room of the Butler Government Center at 9:03

A. Finance Director Position
Village Manager Niemeyer explained the recent past regarding Sharon Dangles acting as
Finance Director. He stated that she has been holding the position for about ten months and
recommended that she should either be appointed Finance Director or outside recruitment
should resume. He recommended appointing Sharon Dangles and discussed the procedure for
appointing /interviewing a department head. Regarding salary, he stated that she has received a
five percent increase for Acting Finance Director, and that as a permanent position, it is
reasonable to suggest an additional five percent increase, slightly above the minimum. He
stated that not filling the Assistant Finance Director position represents a savings of almost
$100,000. Discussion ensued regarding the suitability of appointing Sharon Dangles to Finance
Director and also potential outsourcing of accounting or payroll functions. Discussion ensued
regarding holding off because of current financial constraints and union negotiations.
Discussion regarding meeting with Sharon Dangles in a month's time.

B. Library Union
Village Attorney Sterk discussed the Village response to which Library personnel should not be
included in the union. He discussed that the balance of union supporters versus non -union
supporters has changed and discussed possible de- certification.
Village Attorney Sterk brought the Board up to date regarding the Public Works' union; he stated
that the union representatives stated that they would agree to a change in the insurance if the
Village would agree to no furloughs in 2010. He stated that the union representatives are
supposed to provide a proposed agreement with particulars to him.

A. Risk Management Discussion
Assistant Village Manager Wing updated the Board on current claims comparing with 2008 and
2009; he stated that the Village is heading in the correct direction with the changes which are
being implemented. He stated that two of the eleven pending workers' compensation cases are
ready for settlement and explained the particulars of those two cases. Mr. Larry Bush, from
IRMA, discussed the workers' compensation claims. Assistant Village Manager Wing stated
that he is looking for direction from the Board regarding settlement of the two claims; one being
$32,000+ and the other $25,000. Mr. Bush discussed a pending claim which they will be
fighting. Consensus from the Board to settle the two claims mentioned above.
Mr. Bush exited the meeting at 9:32 p.m

B. Union Negotiation Update
Police Union: Village Attorney Stark presented the Board with a copy of the proposed contract
and he stated that the one issue left out is discipline. He stated that this will go to arbitration.
Public Works Union: Village Attorney Sterk stated that he and Village Manager Niemeyer had
requested a contract several months ago, but have received nothing to date; he stated that the
labor board had ruled that the Director and Lead Foreman were not in the bargaining unit. He
stated that the union withdrew the petition to include the secretary in the bargaining unit.
Library Union: Village Attorney Stark stated that there is a hearing in the middle of May to
decide whether the three people below the Library Director and one department secretary will
be included in the union.

A. Risk Management Discussion
Assistant Village Manager Wing updated the Board on the current claims and levels, also asking
for authority from the Board to settle two claims, one from 2006 and one from 2008. He stated
that with the 2006 claim the employee has reached maximum medical improvement and could
settle for 15% of an arm, $20,562.45, which would stop the Village's costs of thera he
affirmed that IRMA would oav these claims. Consensus to settle the 2006 claim.

4. Finance Outsourcing:
Village Manager Niemeyer stated that he and Finance Director Dangles discussed outsourcing
finance functions; he stated that they identified the one accountant position as a position that
would make the most sense. After analyzing the position in three ways: keeping things the
same, outsourcing it or making it a part-time position, the latter would provide the greatest
savings — about $45,000 annually. He discussed the pros and cons of this. Finance Director
Dangles discussed the higher costs of outsourcing the accountant position as well as the
accounts payable clerk and water billing clerk positions; she stated making the accountant
position into a part-time (approximately thirty hours per week) postion and shifting some of the
duties of the accountant over to the two clerical positions would be more cost - effective. She
stated that with the Assistant Finance Director position vacant and the increased Freedom of
Information Act requests as well as requests from the Citizens Advisory Finance Committee,
there is more pressure on the Finance Department. Discussion ensued regarding this position
in regard to performance issues and having a trial period of sixty to ninety days of performing
accounting tasks instead of clerical tasks and documenting the performance. Consensus to
allow the staff the trial period as discussed.
