R-702 - 01/27/1998 - INTERGOVENMENTAL AGREEMNT - Resolutions RESOLUTION 98-AG-EXI-R-702 A RESOLUTION AUTHORIZING EXECUTION OF AN AGREEMENT BETWEEN THE VILLAGE OF OAK BROOK AND THE FOREST PRESERVE DISTRICT FOR ESTABLISHMENT OF THE SALT CREEK GREENWAY TRAIL WHEREAS,the Village of Oak Brook is desirous of participating in the establishment of the Salt Creek Greenway Trail; and WHEREAS,the Village of Oak Brook has budgeted funds within the fiscal 1998 budget year for the design and construction of a trail along or in the general vicinity of Salt Creek from the Ned Brown Forest Preserve in northern Cook County,south through DuPage County, and connecting with the Centennial Trail at the National Historic Chicago Portage site; and WHEREAS,the lead agency,the Forest Preserve District of DuPage County requests an intergovernmental agreement with all participating entities; NOW,THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES j OF THE VILLAGE OF OAK BROOK, DU PAGE AND COOK COUNTIES, ILLINOIS as follows: Section V. That the provisions of the preamble hereinabove set forth are hereby adopted as though fully set forth herein. Section 2: That the Village President and Village Clerk are hereby authorized to directed to execute the Agreement with the Forest Preserve District of DuPage County. Said Agreement shall conform substantially to the form of agreement attached hereto as Exhibit 1. Section 3: This resolution shall be in full force and effect from and after its passage and approval as provided by law. M 1 .919% A REVISED INTERGOVERNMENTAL AGREEMENT PROVIDI EN 11N DEPARTMENT ESTABLISHMENT OF THE SALT CREEK GREENWAY TRAEL AND THE PFREO MAN F OF f FRT iN N MRRIN 4 SVR- C FS THIS INTERGOVERNMEl`iTAL AGREEMENT is made and entered into by and between the Forest Preserve District of DuPafe County, the Addison Park District, the Village of Addison, the Elmhurst Park District,the Village of Oak Brook,the Village of Brookfield,the Village of Lyons and the Forest Preserve District of Cook County. Each of the foregoing are hereinafter individually referred to as an"Agency"and hereinafter collectively referred to as the"Agencies." WITNESSETH: WHEREAS,the continued development and organization of the Chicago metropolitan area has increased public awareness of the importance of maintaining open space and providing recreational opportunities for individuals throughout the metropolitan area; and WHEREAS, the Agencies have participated in a cooperative effort concerning the formulation and development of the Salt Creek Greenway Trail(hereinafter the "Project"),which involves the construction of a regional,multi-purpose trail approximately 40.4 kilometers(25.02 miles) in length,the utilization of approximately 11 kilometers(7 miles)of existing trail, and the construction and installation of related bridges, fences, underpasses, barrier walls and other improvements;and WHEREAS, when completed, the 51.6 kilometers (32.02 miles)of trail will extend from the Maple Meadows Forest Preserve in Wood Dale south through DuPage County to the Chicago Portage National Historic Site on the Centennial Trail in southern Cook County; and WHEREAS,the Project will provide numerous public benefits,including(a)directly serving the transportation and recreational needs of more than 300,000 individuals residing in 9 communities jv/RiM/96-800-104/Salt98agr.cln/153an98 J and in two counties adjacent to the trail;(b)linking those individuals to thousands of acres of public open space,two major existing trail systems,more than 180 miles of bicycle trails,industrial parks, major employment centers, retirement communities, N M-I'RA stations, 16 PACE stops in six communities,major recreational facilities such as Brookfield Zoo and 19 forest preserves,historic sites,and a variety of cultural and'educational buildings and facilities;(c)providing an alternative means of transportation for individuals commuting to work, shopping, recreation and other destinations; and (d) providing access to Salt Creek for purposes associated with storm water management;and WHEREAS, the Project is designated a "priority greenway" in the Northeastern Illinois Regional Greenways Plan and will serve as an important link in the interconnecting trail system in northeastern Illinois; and WHEREAS,the Forest Preserve District of DuPage county(hereinafter the"DuPage Forest Preserve") submitted an application for a Congestion Mitigation and Air Quality (CMAQ) reimbursable grant to fund a portion of the Project involving the performance of certain essential engineering services; and { WHEREAS,the Chicago Area Transportation Study informed the DuPage Forest Preserve that it had been awarded a CMAQ grant from the United States Department of Transportation in the amount of$739,069 in order to field a portion of the Phase I and Phase R engineering costs for the Project; and WHEREAS, under the terms of the grant, each Agency is responsible for 20% of the engineering costs associated with that portion of the Project within its jurisdiction,with the federal government being responsible for 80%of the engineering costs;and WHEREAS,the total cost of the Phase I engineering services for the Project is estimated to jv/RI M/96-800-103/Sait98agr.clntl SJan98 2 be $552,714, 800/o of which is subject to reimbursement under the CMAQ grant;and NN'HEREAS,the total cost of the Phase II engineering services for the project is estimated oe $300,000; and WHEREAS, the CMAQ grant will be administered by the Illinois Departm.--nt of Transportation(hereinafter"IDQT"),which shall be responsible for approving all reimbursement requests; and WHEREAS, the DuPage Forest Preserve has been designated as the lead Agency for&.e Project with responsibility for coordinating all aspects of the Project and for monitoring the Project in conjunction with IDQT;and WHEREAS, each Agency has agreed to participate in the Project in accordance with the provisions set forth in the application that was submitted for the CMAQ grant dated June 9, 1994, entitled "Salt Creek Greenway" (hereinafter the "Trail Plan"), which is attached hereto and incorporated herein as Lxhibit A, and with the provisions set forth iu the application that was submitted for the ISTEA grant dated June 13, 1994,which by reference is incorporated herein and made a part hereof; and WHEREAS,it is anticipated;hat after the compiction of the Phase I engineering work,which is expected to take approximately 18 to 24 months, the Agencies: will enter into subsequent agreements for the Phase R engineering work and for the actual construction of the Project(which will include Phase III engineering services associated with the construction of the trail); and WHEREAS,at present, the total construction and Phase iII engineering cost of the Project is es.imated to be $7,736,177 as identified in Exhibit B, attached hereto and incorporated herein; and WHEREAS. the Agencies are authorized to enter into this Interizoverninental A ment pursuant to the provisions of article VII, section 10, of the Illinois Constitution of 1970, which provides in part that units of local government may contract or otherwise associate among i themselves to"obtain or share services and to exercise,combine,or transfer any power or function, in any manner not prohibited by law or by ordinance,"and the Intergovernmental Cooperation Act, 5 ILCS 220/1 et s4. (West 1996). NOW,THEREFORE,in consideration of the mutual promises,terms and conditions set forth herein,and in the spirit of intergovernmental cooperation,the parties agree as follows: I. Incorporation of Preambles. The preambles set forth above are incorporated herein and made a part hereof. 2. $c_tablishment of Creenway Trail. In accordance with the intent of the Agencies to create a continuous 51.6-kilometer(32.02-mile) regional, multi-purpose asphalt/gravel trail as described above, each Agency hereby agrees to contribute and include as part of the Project such parcels or interests therein presently owned by each Agency or over which it exercises jurisdiction, or such portion of said parcels as may be necessary to allow for the construction and maintenance of a multi-purpose asphalt/gravel trail as provided for in the Trail Plan. The general alignment of the various segments of the trail is depicted in the Trail Plan,but is subject to being revised based upon the results of the Phase I engineering study. In connection with the establishment of the f aforementioned trail,the Village of Oak Brook and the Elmhurst Park District acknowledge that it may be necessary for them to acquire title to certain parcels of real estate not presently in public ownership. Specifically, it may be necessary for the Village of Oak Brook to acquire the parcels bearing the Permanent Index Numbers 06-23-114-001 through 06-23-114-022,and 06-36-202-017, and for the Elmhurst Park District to acquire the parcel bearing the Permanent Index Nurnber 06-15- 203-007. Lead ge rx. Each Agency hereby recognizes the DuPage Forest Preserve as the lead agency for the Project. In its capacity as the lead agency; the DuPage Forest Preserve shall be responsible for coordinating all aspects of the Project with the Consultant identified in paragraph 4,MOT and the other Agencies,and for monitoring the engineering services performed by the Consultant. 4. Consulting Agreement. In connection with its role as the lead agency, the DuPage Forest Preserve will be contracting with the engineering firm of BRW, Inc. (formerly Dames&MoorelMCE,Inc.) (hereinafter"Consultant"),to perform the Phase I engineering work for the Project pursuant to the contract entitled "Agreement for Consultant Services Between the Forest Preserve District of DuPage County and BRW, Inc." (hereinafter the "Consulting Agreement"),which by reference is incorporated herein and made a part of this Agreement. Each Agency agrees to provide Consultant with such access to its property as may be necessary to perform the engineering work and to furnish Consultant with such documents,reports, data, studies or other information within the Agency's possession as may be relevant to the Project. The DuPage Forest Preserve agrees to require Consultant, as part of the Consulting Agreement, to purchase and i maintain,at Consultant's cost,the insurance coverages specified in Exhibit C,attached hereto and f incorporated herein. In addition,the DuPage Forest Preserve shall require Consultant to defend,hold I harmless and indemnify the Agencies,their elected officials,officers,employees and agents, from and against any and all claims, liabilities,causes of action,losses,judgments,settlements,damages and expenses(including,but not limited to,reasonable expert witness and attorney fees)that may jv/RIM/96-800-104/Salt98agr.cln/15Jan98 5 at any time arise or be claimed by any person or entity, including any employees, agents and subcontractors of Consultant,as a result of bodily injury,sickness,death or property damage,or as a result of any other claim or suit of any nature whatsoever,allegedly arising out of or in any manner connected with,directly or indirectly,the negligent or intentional acts or omissions on the part of Consultant or its contractors, subcontractors, employees or agents in performing the engineering services provided for in the Consulting Agreement. 5. PMiect DCye1opMenLRqxw:L The Phase I engineering services to be performed by Consultant under the Consulting Agreement involve the preparation of a"Categorical Exclusion Project Development Report"("Project Development Report!'), which shall identify and establish the final alignment corridor for the trail. Each Agency shall review the Project Development Report as to that portion of the trail under its jurisdiction. If there are no reasonable objections to said report,each Agency shall execute such documents as may be required by MOT as evidence of the Agency's approval of the Project Development Report. If an Agency disagrees with the findings in the Project Development Report, it shall specify in writing the nature of its objections and provide a copy thereof to the Consultant and each other Agency. The objecting Agency and Consultant shall work in good faith to reach a mutually agreeable resolution. 6. Project Payments. Notwithstanding anything in the Trail Plan to the contrary,the estimated cost of the Phase I engineering work related to each Agency is identified in the table dated. January 5, 1998, entitled "Salt Creek Greenway Project Cost Summary& Grant Reimbursement Allocation" (hereinafter the"Cost Summary"),which is attached hereto and incorporated herein as Exhibit D. Each Agency shall, within 30 days of the date of this Agreement, deposit with the DuPage Forest Preserve the total cost of the Phase I engineering services pertaining to its portion of the Project. The DuPage Forest Preserve shall not authorize Consultant to begin any pan of the jv/R[M/96-800-104/Sait98agT.cin/I 5Jan98 6 engineering work until each Agency has deposited with the DuPage Forest Preserve the total cost of the Phase I engineering work as identified in Exhibit D. Each Agency shall annually appropriate such fonds as shall be necessary to carry out its obligations under this Agreement. 7. $eimhursement Ptymen . The DuPage Forest Preserve shall maintain the funds deposited by the Agencies in a separate fund, itemized as to each Agency. During the course of performing the engineering work, Consultant shall, pursuant to the terms of the Consulting Agreement, submit to the DuPage Forest Preserve for its review and approval an itemized payment invoice acceptable to IDOT specifying in detail the work performed for the period covered by the invoice. Consultant shall submit the itemized payment invoice to the DuPage Forest Preserve for its review and approval on or about the 15th day of each month. If found to be in compliance with the terns of the Consulting Agreement,the DuPage Forest Preserve shall,within 45 days of receipt of the payment invoice,pay Consultant the amount specified,provided that no.Agency has filed a reasonable written objection with the DuPage Forest Preserve. Within the aforementioned 45-day period,the DuPagge Forest Preserve shall also submit a copy of the payment invoice and such other documents as may be required to IDOT for reimbursement under the CMAQ grant. Within 45 days of receiving each reimbursement payment from IDOT,the DuPage Forest Preserve shall pay each Agency a percentage of the reimbursement amount based upon the percentage of an Agency's current estimate for the Phase I engineering in relation to the total approved CMAQ cost of $552,714 as shown on the Cost Summary. The reimbursement percentage for each Agency is specified in the Cost Summary. It is expressly agreed that no Agency shall be entitled to reimbursement in an amount greater than the total of the federal share for the Phase I engineering costs as designated in the Cost Summary. If the actual cost of the engineering services performed for a particular Agency exceeds the amount estimated in the Cost Summary,that Agency shall be responsible for the excess, jv/RIM/96.800-I04/Salt98agr.chdi 5Jan98 7 Nip Mr- r-, 7 777-7 and shall pay the excess amount to the DuPage Forest Preserve in order to allow for payment to Consultant in an amount equal to the actual services performed on behalf of the Agency. If,upon completion of the engineering work,the actual cost of the services performed for an Agency is less than the estimated amount in the Cost Summary, the DuPage Forest Preserve shall refund the balance to that Agency. The DuPage Forest Preserve shall provide each Agency and MOT with a quarterly report detailing the status of each Agency's account 8. Interest Payments. Any interest accrued from the funds deposited with the D, -.ige Forest Preserve pursuant to paragraph 6 shall be retained by the DuPage Forest Preserve to cot he administrative costs associated with administering the Project. S. AddWonai Rngineering Services. It is anticipated that after the date of this Agreement, one of more Agencies may desire to have certain additional engineering services performed in relation to the possible construction of improvements that are outside the scope of the Trail Plan and CMIAQ grant application. The parties agree that such additional engineering services will not be part of the scope of services as defined in the Consulting Agreement and will not be entitled to reimbursement under the CMAQ grant. Each Agency desiring additional engineering services shall contract directly with Consultant for the additional services and shall pay Consultant directly for the additional services. 10. Repayment of Grant Fundy.. If an Agency for any reason terminates its involvement in the Phase I engineering portion of the Project, it shall serve written notice thereof on the DuPage Forest Preserve,MOT and Consultant. In such case,the Agency shall not be entitled to a refund for any payments made under this Agreement. In addition, if required by IDOT, the Agency shall be responsible for reimbursing MOT for all sums paid to the Agency as part of the 80%federal portion of the Phase I engineering costs under the C)MAQ grant. The Agency shall pay jv/RIM/96-800-1 04;Salt98agT.cinfI 53an98 10001loe- IPA. the reimbursement directly to MOT within 30 days of receipt of DDOT's written demand for payment. 11. Coove7afion.. If an Agency has reason to believe that a violation of this Agreement has oecwTed or is occurring,written notice thereof specifying in detail the violation and the facts supporting the claim shall bee served upon the Agency that allegedly committed or is permitting such violation to occur. The written notice shall also be served on the DuPage Forest Preserve,MOT and all the other Agencies. The Agencies agree to act in good faith and to cooperate with each other to re.°,olve any disputes which may arise in the performance of this Agreement. In the event an Agency is required to institute any legal action or proceeding,whether at law or in equity, to enforce any provision of this Agreement,the prevailing party in such action or proceeding(as determined by the court) shall be entitled to recover all of its costs and expenses, including, but not limited to, reasonable expert witness and attorney fees. 12. Indemnification. Each Agency shall defend,hold harmless and indemnify each other Agency, its elected officials, officers, employees and agents from and against all claims, f liabilities, causes of action, losses,judgments, settlements,damages and expenses (including,but i not limited to,reasonable expert witness and attorney fees)that may at any time arise or be claimed i by any person or entity as a result of bodily injury,sickness,death or property damage,or as a result of any other claim or suit of any nature whatsoever, allegedly arising out of or in any manner connected with, directly or indirectly, the negligent or intentional acts or omissions of the indemnifying Agency's performance of its obligations under this Agreement. 13. Construction Phase. By entering into this Agreement,each Agency hereby commits to proceed with the Phase II engineering and construction phase of the Project, to enter into agreements implementing the Phase II engineering and the construction phase,and to construct that jv/R1M196-800-1041Sa1t98agr.cln/15Jan98 9 o p cip e m e Phase H engineering and construction phase,it shall not be entitled to a refund for the payments made under this Agreement. Additionally,it may be required to reimburse MOT for all sums paid to the Agency as part of the 80%federal portion of the Phase I engineering costs under the OIAQ grant,which reimbursement shall be paid in the manner provided for in paragraph 10. 14. Phase 11 F.njjneeiing,Costs: The parties acknowledge that the Consultant's original estimate for the Phase I and Phase H engineering portion of the Project was$923,836,of which $739,069 was subject to reimbursement under the CMAQ grant as identified in the"Salt Creek Greenway Project Cost Summary," dated February 24, 1997, which is attached hereto as Exhibit E for informational purposes only. At a meeting of the Agencies and the Consultant on January 14, 1998, the Consultant estimated that the Phase II engineering costs would be approximately $300,000. The estimated Phase II engineering costs together with the $552,714 for the Phase I engineering costs provided for under this Agreement results in an estimated total of $852,714 for the Phase I and Phase II engineering costs for the Project,which is $71,122 less than the original Phase I and Phase H estimate of$923,836. The parties agree that the remaining CMAQ grant reimbursement of $296,898 shall,to the extent possible under the CMAQ grant,be applied toward the Phase II engineering costs.' 15. Transfers. No Agency shall sell, assign or otherwise transfer its interest under this Agreement without the written approval of the other Agencies. All notices given under this Agreement shall be in writing and shall be either(a)served personally during regular business hours;(b)served by facsimile transmission during regular business hours;or(c)served by certified or registered mail,return receipt requested, properly addressed with postage prepaid and deposited in the United States mail. Notices served personally or by facsimile transmission shall be effective upon receipt,and notices served by mail shall be effective upon receipt as verified by the United States Postal Service. The project includes preliminary engineering, design, and construction of 31.16 miles of trail. A total of 7.19 miles of trail already exists, for which no funding is being sought. The project also includes the construction of six new pedestrian bridges and one tunnel, the modificatiori of two existing bridges, the renovation of adjacent parking facilities, the construction of public washroom facilities, and the installation of signage. The Salt Creek Greenway is designated a "priority greenway" in the Northeastern Illinois Regional Greenways Plan. The proposed trail extends through 13 communities with a combined population of 300,000 residents. The trail will connect directly to... The cost of such insurance shall be borne by Consultant. a. Minimum Scone of Inc urance Coverage shall be at least as broad as: i. Insurance Services Office Commercial General Liability coverage ("occurrence"form CG 0001 1185)or Insurance Services Offices form number GL 0002(ed, in3)covering Comprehensive General Liability and Insurance Services Office form number GL 0404 covering Broad Form Comprehensive General Liability. ii. Workers' Compensation Insurance as required by statute and Employer's Liability insurance. b. Minimum Limits of Insurance Limits shall be maintained no less than: i. Commercial General Liability: $1,000,000 per occurrence bodily injury/property damage combined single limit; $1,000,000 aggregate bodily in damage combined single limit. 2. Workers' Compensation and Employers Liability: Workers' compensation limits as required by statute and Employers Liability limits of$500,000 per accident and $500,000 per disease. 3. Professional Liability: $1,000,000 per claim covering Consultant against all sums which Consultant may become obligated to pay on account of any liability arising out of,directly or indirectly,the performance of the professional services under the Consulting Agreement when caused by any negligent act,error or omission of Consultant or of any person employed by Consultant or any others for whose I (Pagel of 3) jWRIM/saltins.exc/15Jan98 i X—EM 7�- . — •" � - it actions Consultant is legally liable. The professional liability insurance shall { remain in force for a period not less than four years after the completion of the services to be performed by Consultant under the Consulting Agreement. C. jZ uctibles and Self-Insured Retentions Any deductibles or self-insured retentions must be declared to and approved by the Forest Preserve District of DuPage County. The Forest Preserve District of DuPage County shall have the option to either require Consultant to eliminate such deductibles or self-insured retentions as respects each Agency,its governing board,officers,officials,employees,volunteers,and agents, or to procure a bond guaranteeing payment of losses and related investigations,claim administration and defense expenses. d. Qtber Inranec Provisions The policies are to contain, or be endorsed to contain,the folk wing provisions: i. General Liability (1) Each Agency,its governing board,officers,officials, employees, volunteers and agents are to be covered as additional insureds- as respects liability arising out of services and/or work performed by the Consultant. The coverage shall contain no special limitations on the scope of protection afforded to each Agency,its governing board,officers,officials,employees,volunteers,or agents. (2) Consultant's insurance coverage shall be primary insurance for any and all covered claims,costs, causes,actions and expenses arising out of Consultant's services and/or operations as respects each Agency,its governing board,officers,officials, employees, volunteers and agents. Any insurance or self-insurance maintained by each Agency shall be excess of Consultant's insurance and shall not contribute with it. (3) Any failure to comply with reporting provisions of the policies shall not affect coverage provided to each Agency, its governing board, officers, officials, employees,volunteers, or agents. (4) Coverage shall state that Consultant's insurance shall apply separately to each insured against whom claim is made or suit is brought,except with respect to the limits of the insurer's liability. All Coverages Each insurance policy required by this cause shall not be suspended,voided,or canceled,except after thirty(30)days' prior written notice by certified mail, return receipt requested,has been given to the Forest Preserve District of DuPage County. Said insurance policies shall not be reduced in coverage or limits except after Consultant has provided thirty(30)days prior written notice by certified mail,return receipt requested,to the Forest Preserve District of DuPage County. e. Acc=jabilityaf Insurers Insurance is to be placed with insurers with a Best's rating of no less than ANN and licensed to do business in Illinois. f Verification of Coverage Consultant shall furnish the Forest Preserve District of DuPage County with certificates of insurance and with original endorsements if applicable effecting coverage required by this clause. The certificates and endorsements for each insurance policy are to be signed i by a person authorized by that insurer to bind coverage on its behalf. All certificates and endorsements are to be received and approved by the Forest Preserve District of DuPage County before the services are rendered.
