THE VILLAGE OF OAK BROOK AND THE OAK BROOK PARK DISTRICT
FOR A JOINT PROGRAM FOR HEALTH BENEFITS
AND FOR THE ADMINISTRATION OF SUCH PROGRAM
THIS AGREEMENT made and entered into thisM day of J UZ)6 ,2006, by and between the
Village of Oak Brook,an Illinois municipal corporation(the"Village"),and the Oak Brook Park District,a unit of
local government in Illinois (the "District'),
WITNESSETH:
WHEREAS,Article VII,§10 of the Illinois Constitution of 1970 and the Intergovernmental Cooperation
Act of the State of Illinois(5 ILCS 220/1, et seq.)authorize units of local government to contract or otherwise
associate among themselves to exercise, combine or transfer any power or function, in any manner not
prohibited by law; and to contract with any one or more other public agencies to perform any governmental
service, activity or undertaking, or to combine, transfer or exercise any powers, functions, privileges or
authority which any of the public agencies entering into the contract is authorized by law to perform; and
WHEREAS, the Village is authorized, pursuant to Section 10-4-2 of the Illinois Municipal Code (65
ILCS 5/10-4-2) to arrange to provide, for the benefit of employees of the municipality, their spouses or
dependents, group health, accident, hospital, and medical insurance; and
WHEREAS, the District is authorized, pursuant to Section 8-21 of the Park District Code (70 ILCS
1205/8-21)to provide for or participate in the provision of insurance protection and benefits for its employees
and their dependents, including medical, surgical and hospitalization benefits; and
WHEREAS, the Village and the District have determined that it is in their mutual interest and in the
interest of their respective taxpayers to jointly provide a program for group insurance health benefits for their
employees, with the Village to act as plan administrator,
NOW,THEREFORE,in consideration of the foregoing and the mutual covenants and agreements as
hereinafter set forth, the Village and the District agree as follows:
1. Incorporation of Preambles. The preambles to this Intergovernmental Agreement are
incorporated and made a part hereof as though fully set forth herein.
2. Joint Program for Group Insurance for health benefits The Village and the District hereby
agree that they will jointly acquire group insurance for health benefits for their respective employees and
provide for the administration and operation of such program as follows:
a. The Village shall in its sole discretion identify group insurance providers and contract
with them for coverage for the employees of the Village and the District.
b. The Village shall be solely responsible for the administration and operation of the
program and the determination of coverages with the group insurance providers. The Village and the
District shall each provide information to their respective employees concerning the group insurance
coverage available to them for health benefits
C. The District shall pay to the Village such premiums as may be determined by the
Village from time to time for the covered employees of the District. The Village shall pay to the
providers such premiums as are required for the covered employees of the Village and the District.
3. Existing Practices to Remain in Effect.. Nothing in this Agreement shall change or alter
existing practices in operation between the Village and the District that have been previously existed and that
are not inconsistent with this Agreement.
4. Miscellaneous. The following additional provisions shall govern this Agreement:
a. This Agreement shall be effective upon execution by both parties hereto.
b. This Agreement shall be interpreted and construed in accordance with the laws of the
State of Illinois. The forum for resolving any disputes concerning the parties respective performance,
or failure to perform, under this Agreement,shall be the 18'h Judicial Circuit Court for DuPage County,
Illinois
C. The provisions of this Intergovernmental Agreement may be modified only in writing,
executed by both the City and the District, and approved in ordinance form by the Village Board of the
Village and the Board of Park Commissioners of the District.
d. Any and all notices required hereunder shall be in writing and shall be sent to the
respective parties by U.S. Mail, personal delivery or confirmed facsimile as follows:

All mailed notices shall be deemed effective four(4) days following their deposit in the
United States mail, postage prepaid, to the addressee.
e. This Intergovernmental Agreement, including all matters incorporated herein,
contains the entire agreement between the parties. There are no other covenants, warranties,
representations, promises, conditions or understandings between the parties, either oral or written,
other than those contained herein.
f. This Agreement is intended solely for the benefit of the parties hereto, and nothing
herein shall be construed, either expressly or impliedly,to extend rights or obligations in favor of any
other person.

RECOMMENDED MOTION: I move for passage of Ordinance S-1165,An Ordinance
Amending Article V of the Personnel Manual of the Village of Oak Brook.
Background/History:
The attached Ordinance amends Article V of the Personnel Manual of the Village of Oak Brook
relative to text changes in Section 5.12A regarding regular part-time employees who elected to
participate in the Group Vision Care Plan prior to June 30, 2006. The three (3) current Part-time
Employees that have elected coverage will be grandfathered as employees under the plan,but no
additional part-timers will be allowed to elect coverage. Part-time employees that elect to enroll
pay 100% of the premium for single, single plus 1, of family coverage respective of their
dependents situation. Further, this Ordinance changes the commencement of medical coverage
from the 91St day of employment to the 61St,which is more in line with what most plans are
offering and closes the lapse new employees would need to cover with COBRA.
Both of these changes reflect the language of the new coverages for the 2006 Health Plan year
with Blue Cross Blue Shield of Illinois.
Recommendation:
Staff recommends the Village Board approve Ordinance S-1165, an Ordinance Amending
Article V of the Personnel Manual of the Village of Oak Brook.

ORDINANCE 2006-PL-RR-S-1165
AN ORDINANCE AMENDING ARTICLE V OF THE PERSONNEL
MANUAL OF THE VILLAGE OF OAK BROOK, ILLINOIS
WHEREAS, the President and Board of Trustees of the Village of Oak Brook have heretofore
adopted the Village of Oak Brook Personnel Manual, and
WHEREAS, it is deemed appropriate that said Personnel Manual be amended
NOW, THEREFORE, BE IT ORDAINED BY THE PRESIDENT AND BOARD OF TRUSTEES OF
THE VILLAGE OF OAK BROOK, DU PAGE AND COOK COUNTIES, ILLINOIS, as follows
Section 1 The provisions of the preamble heremabove set forth are hereby adopted as though
fully set forth herein
Section 2 Article V, Section 5 12A of the Personnel Manual of the Village of Oak Brook be and is
hereby amended to read as follows
A Health, Dental and Vision
The Village of Oak Brook is self-insured, and offers medical and dental benefits under a
group health plan Currently, the options of an indemnity plan or a Preferred Provider
Organization (P P O ) plan are available The Village also offers benefits through a Group
Vision Care Plan Full-time employees and their eligible dependents may participate
Regular part-time employees normally scheduled to work at least 20 hours a week, who
elected to participate prior to June 30, 2006, may participate by paying the full equivalent
premium cost of the selected coverage (i a employee, employee plus one or family)
Coverage commences as follows
Medical on the 61st day of employment
Dental on the 181st day of employment
Vision on the 1 st day of the month following the date of employment
The Village also offers an Internal Revenue Code Section 125 flexible benefit plan
whereby employees may contribute funds, on a pre-tax basis, to pay out-of-pocket
medical, dental, vision and child care/dependent care expenses
The plans are fully described in the Summary Plan Descriptions, which are attached as
Appendix C (Health and Dental Plan), Appendix D (IRC Section 125 Plan) and Appendix
E (Vision Plan) They may be amended from time to time in accordance with their terms
and applicable law
Eligible employees who elect health and dental insurance shall be obligated to pay 7 and
percent of the premium cost of the selected coverage (i e , employee (single),
employee plus one (single plus one), and family)
Section 3 All ordinances or parts of ordinances in conflict with this ordinance are hereby
repealed to the extent of the conflict.
Section 4 This ordinance shall be in full force and effect from and after its passage, approval
and publication as required by law

G. INTERGOVERNMENTAL AGREEMENT BETWEEN THE VILLAGE OF OAK
BROOK AND THE OAK BROOK PARK DISTRICT FOR A JOINT PROGRAM
FOR HEALTH BENEFITS AND FOR THE ADMINISTRATION OF SUCH
PROGRAM
For years, the Village of Oak Brook has allowed the eligible employees of the Oak
Brook Park District to piggyback on the Health Insurance that is secured and
administered by the Village. The logic behind this arrangement has been that by
pooling the lives under both employers, an overall lower cost can be arrived at for
health insurance which is ultimately paid for by largely the same group of taxpayers.
The agreement simply recognizes and satisfies the need to formalize this relationship.
This agreement was drafted by the Village Attorney and has been shared with and
was approved by the Oak Brook Park District at their meeting on June 22, 2006.
