Letter of Understanding
Dear Mr. Niemeyer:
This letter serves to provide both the Village of Oak Brook (VOB) and the Illinois State Toll
Highway Authority (Tollway) with a Letter of Understanding stating the parameters and
participation for the 1-88 bridges over 22nd Street and 22nd Street roadway improvements.
This Letter of Understanding will be the basis for developing an intergovernmental
agreement between the VOB and the Tollway, and is subject to formal approval by the
Tollway Board of Directors.
The Tollway plans a widening and reconstruction project of I-88 from Illinois Route 83 to
east of York Road (Project Numbers 1-06-5516, 1-06-5517, 1-06-5518, and 1-06-5519). The
Tollway's planned improvement requires that the Tollway's bridges over 22nd Street be
replaced with wider structures. The Tollway will construct the improvement to the I-88
bridges over 22nd Street roadway as part of Tollway Project I-06-5517. Project I-06-5517
began in June of 2007 and will be complete in December, 2009. (Exhibit 1 —Project
Packaging).
IDOT and the Village of Oak Brook would like to widen 22nd Street from four to six lanes
under the Tollway and provide a bikeway on both sides of 22nd Street. This widening
requires lengthening of the 1-88 bridges over 22nd Street. Work on 22nd Street itself is part of
Tollway Project I-06-5518. Project 1-06-5518 will begin in March, 2008 and will be
complete in December, 2009.
This letter of understanding formalizes one-third cost participation by the VOB and one-third
by the Tollway for the construction of the new I-88 bridges over 22"d Street. The remaining
one-third will be paid by the Illinois Department of Transportation (IDOT) per an agreement
between the VOB and IDOT, dated November 3, 1999 (Exhibit 2 —Jurisdictional Transfer).
The Tollway will provide design and construction engineering for this work.
Also included as part of the Tollway's planned improvement will be:
• Widening and reconstruction of the 22nd Street Roadway between Jorie Boulevard
and McDonald Drive
• Reconstructed reinforced concrete sewer line from the I-88 bridges over 22nd Street
Bridge to Salt Creek
• New water main for the Village of Oak Brook
• Lighting on 22nd Street
• Architectural upgrades to the 22nd Street Bridge and Roadway
• Rehabilitation of the 22nd Street Bridge over Salt Creek.
While most of the costs have been allocated evenly between the three agencies involved,
some costs have been allocated towards specific agencies. Below is a brief summary of cost
sharing assumptions for improvements which will be included in the Tollway's project.
• The cost for replacing Structures 271 and 272 (I-88 over 22nd Street) is divided
equally between the three agencies.
• The cost for reconstructing and widening the 22nd Street roadway is divided equally
between the three agencies.
• The VOB will pay for all increases in costs associated with architectural upgrades to
the 22nd Street Bridge or the 22nd Street Roadway, with the exception of form lining
and concrete staining.
• IDOT will pay all costs associated with resurfacing 22nd Street from the east end of
the section being reconstructed (Station 2129+00) to the 22nd Street Bridge over Salt
Creek (station 2137+29.43).
• The VOB, Tollway, and IDOT will equally divide the remaining costs associated with
resurfacing the 22nd Street and McDonalds Drive intersection at the west end of the
project(Station 2112+97 to Station 2114+00).
• Maintenance of Traffic costs associated with 22nd Street is divided equally between
the three agencies. The Tollway will pay all Maintenance of Traffic costs associated
directly with I-88.
• IDOT will prepare plans for the rehabilitation of the 22nd Street Bridge over Salt
Creek, and the Tollway will include these plans in its contract for the work on 22nd
Street (Contract I-06-5518). IDOT will pay all costs associated with the work on the
22nd Street Bridge over Salt Creek, including increases to the Tollway's construction
engineering contract which directly relate to construction management work
involving the 22nd Street Bridge over Salt Creek.
• The Tollway will design, inspect and construct a new trunk sewer line from I-88
under 22nd Street, east to Salt Creek. This sewer is essential to the drainage of I-88
and the Tollway is responsible for all costs associated with this construction.
• The VOB will pay all design and construction costs associated with the construction
of a new Village of Oak Brook water main. The Tollway will provide the required
construction engineering at no cost to the Village of Oak Brook.
• Costs associated with the proposed reconstruction of the multi-purpose paths
alongside 22nd Street will be divided equally between the three agencies for paths up
to five (5) feet in width. Any costs associated with making the proposed multi-
purpose paths wider than five (5) feet shall be the responsibility of the Village of Oak
Brook. Currently, the proposed paths are eight(8) feet in width. Costs associated
with the multi-purpose path railings shall be divided equally between the three
agencies.
• The costs for relocating emergency pre-emption equipment (mounted on the 22nd
Street Bridge) will be paid for by Oak Brook.
• Thirty-two light poles along 22nd Street will need to be replaced for construction and
maintenance of traffic reasons. Therefore the cost breakdown includes installation of
temporary lighting along 22nd Street. In addition, Oak Brook would like to install
permanent aesthetic lighting along 22nd Street. IDOT will not participate on any costs
associated with roadway lighting. The Tollway will split the roadway lighting costs
with the VOB for the light poles in the reconstructed portion of 22nd Street and those
on the north side of 22nd Street between Jorie Blvd. and Salt Creek (26 light poles).
The Village of Oak Brook will bear the cost of the six (6) light poles on the south side
of 22nd Street between Jorie Blvd. and Salt Creek. The Village of Oak Brook will
bear 100% of any architectural upgrades to the roadway lighting.
• Temporary traffic signals were installed at the intersections of 22nd Street and Jorie
Boulevard, as well as 22nd Street and McDonald Drive. The temporary signals at
Jorie Boulevard were installed by IDOT to replace old signals in poor condition, one
of which had fallen down. The temporary signals at McDonald Drive were installed
by the Tollway, as the Tollway contract had begun before IDOT had the opportunity
to replace the old signals. The Tollway will not participate in the costs of installing
the temporary traffic signals, as signal repair was deemed necessary prior to the start
of the Tollway's projects.
• Utility relocations will be paid for in a manner consistent with established IDOT and
Tollway policies and dependant upon utility permit status. IDOT will not pay for any
underground utility relocation costs associated with this project. The Tollway will
reimburse for forced utility relocations resulting from their projects if the relocations
occur off of Tollway right-of-way.
A breakdown of construction cost per bid tabulations was prepared for the 1-88 Bridges over
22nd Street and 22nd Street roadway improvements (Exhibit 3 —Cost Breakdown Per Bid
Tabulations). The total construction cost (per bid tabulations) of the 1-88 over 22nd Street
Bridge and 22nd Street roadway improvements in 2008 dollars is $26,491,140.72. The actual
construction cost may go up or down, as the result of value engineering and/or necessary
positive and negative change orders. Actual construction costs will be tracked and
distributed amongst the three agencies involved per the Intergovernmental Agreements which
will follow this letter of understanding. Currently known construction costs would be
divided as follows and as shown in Exhibit 3:
ISTHA: $8,450,454.30
IDOT: $9,687,895.37
Village of Oak Brook: $8,352,791.04
The VOB and the Tollway have previously discussed the time frame for the VOB's payment
of their share of the construction costs. That time frame is as follows:
• On June 15, 2009, the VOB will submit a payment of$1,670,558.21 to the Tollway.
• On June 15, 2010, the VOB will submit a payment of$1,670,558.21 to the Tollway.
• On June 15, 2011, the VOB will submit a payment of$1,670,558.21 to the Tollway.
• On June 15, 2012, the VOB will submit a payment of$1,670,558.21 to the Tollway.
• On June 15, 2013, the VOB will submit a final payment in the full amount of any
remaining portion of the VOB's share as outlined above.
Pending approval of this Letter of Understanding, a formal agreement can be executed.
