SUBJECT: An Amendment to Title 4, Chapter 1, Section 8A of the Village Code of the Village
of Oak Brook, Illinois Relative to the Number of Authorized Liquor Licenses

Amending Title 4, Chapter 1, Section 8A of the Village Code of the Village of Oak Brook,
Illinois Relative to the Number of Authorized Liquor Licenses"
Background/History:
Village Code requires that liquor licenses that increase the number of licenses in the Village of
Oak Brook must be passed by ordinance.
GMRI, Inc. has made application to the Village of Oak Brook for a Class A -1 Liquor License for
their new restaurant, Seasons 52 located at 3 Oakbrook Center. The approval of this liquor
license will increase the number of A -1 liquor licenses in the Village of Oak Brook from 21 to
22. Background check is being processed at this time for the general manager.
Enclosed for the Village Board's review is the Application for a Liquor License. All ordinance
submittal requirements have been met. The expected opening will be in early April.
Recommendation:
The recommendation is for Passage of Ordinance G- 967, which increases the number of A -1
liquor licenses by one. Provided that all ordinance requirements are met, the Local Liquor
Commissioner Gopal Lalmalani, will issue a Class A -1 Liquor License to GMRI, Inc., d/b /a
Seasons 52 located at 3 Oakbrook Center.

AN ORDINANCE AMENDING TITLE 4, CHAPTER 1, SECTION 8A
OF THE VILLAGE CODE OF THE VILLAGE OF OAK BROOK, ILLINOIS
RELATIVE TO THE NUMBER OF AUTHORIZED LIQUOR LICENSES
WHEREAS, Title 4, Chapter 1, Section 8A (4 -1 -8A) of the Village Code of the Village of Oak
Brook authorizes certain numbers of liquor licenses and the number of such licenses issued for each
class of license may be increased or decreased from time to time by ordinance approved by the President
and Village Board due to changes in ownership of licensed premises, the creation of a new and deserving
business enterprise, or the abandonment, revocation, surrender or other termination of an existing license;
and
WHEREAS, the President and Board of Trustees of the Village deem it advisable and in the best
interest and in furtherance of the general welfare of the citizens of the Village that the Village_ Code of the
Village of Oak Brook be amended to increase the number of Class A -1 liquor licenses and to enable the
Local Liquor Control Commissioner to issue a new Class A -1 license to GMRI, Inc., dlbia Seasons 52, 3
Oakbrook Center, Oak Brook, Illinois.
NOW, THEREFORE, BE IT ORDAINED BY THE PRESIDENT AND BOARD OF TRUSTEES OF
THE VILLAGE OF OAK BROOK, DU PAGE AND COOK COUNTIES, ILLINOIS as follows:
Section 1: That Section 8A of Chapter 1 (Liquor Control) of Title 4 (Business and License
Regulations) (4 -1 -8A) of the Village Code of the Village of Oak Brook, Illinois be amended by deleting the
table of licenses in its entirety and replacing it with the following table:
Section 2: That this ordinance shall be in full force and effect from and after its passage, approval
and publication as required by law.
Section 3: That all ordinances or parts thereof in conflict with the provisions of this ordinance are
hereby repealed to the extent of such conflict.

RESTRICTIONS:
a. No liquor license shall be issued to any person for premises upon which theatrical or other live
performances, which include the types of conduct enumerated in Sections 3 -55 of Chapter, 3 shall
constitute the entertainment offered to the patrons thereof This prohibition includes, but is not limited
to, any entertainment, fashion show or other presentation which may include any person in a nude or
semi -nude state, including, but not limited to, servers, hosts, hostesses, dancers, singers, models or other
performance artists, or role playing interactions.
b. No liquor license shall be issued to any person for premises upon which amen or women's club is
located.
INSURANCE REQUIREMENTS:
a. Certificate of general liability insurance with limits of not less than $1,000,000 combined single limit
or $1,000,000 per occurrence and per aggregate naming the Village of Oak Brook as a party insured
issued by an insurance company licensed to do business in the State of Illinois having a `Best" rating
acceptable to the Village. The effective period of such insurance coverage shall coincide with the period
the liquor license is in effect.
b. Policy of liquor liability insurance by a responsible insurance company authorized and licensed to do
business in the state insuring such applicant in the amount of not less than one million dollars
($1,000,000).

(a) for premises upon which theatrical or other live performances which include the types of conduct

hospital, home for the aged or indigent persons or for veterans, their spouses or children or any
military or naval stations.

In the event Applicant is made aware that any information or document submitted, as part of this
application process is inaccurate or incomplete, Applicant agrees to immediately notify the Village and
provide appropriate corrections. Applicant understands and agrees to provide such additional
information and material, and that failure to do so may delay the processing of this application or result
in its denial.

AMENDED AND RESTATED ARTICLES OF INCORPORATION
OF
GMRI, INC.
In accordance with Section 607.1007 of the Florida Business Corporation Act
( the -"Act the- articles -of- incorporation -of- GMRI - Inc.,, a- corporation- organized -and
existing under and by virtue of the Act (the "Corporation "), are hereby amended and
restated (the "Amended and Restated Articles of Incorporation ") to read in their entirety
as follows:
ARTICLE I - NAME
The name of the Corporation is GMRI, Inc.
ARTICLE II - PURPOSE
The general purpose of this Corporation shall be the transaction of any and all
lawful business for which corporations may be incorporated under the Act. This
Corporation shall have all of the powers enumerated in the Act, as the same now exists
and as hereafter amended, and all such other powers as are not specifically prohibited
to corporations for profit under applicable law.
Without limiting the generality of the foregoing purposes and powers, the
Corporation shall have the power to own, conduct, maintain and carry on the operation
of restaurant, cocktail lounges or similar establishments selling and dispensing food and
alcoholic and non - alcoholic beverages; to apply for, own, hold, use and enjoy any and
all licenses, permits and authorizations which may be required or be deemed necessary
or desirable for the operation of any of its businesses, including, without limitation, all
permits required in connection with the purchase, storage and sale of alcoholic
beverages; to hire employees for the Corporation's own use and to enter into any type
of arrangement with affiliated entities regarding the assignment of any number of such
employees to one or more of such affiliated entities for their use pursuant to terms
agreed upon by the Corporation and such affiliated entities; to implement any executive
compensation packages deemed necessary or desirable; and generally to do and
perform everything necessary for carrying out the aforesaid purposes.
ARTICLE III - TERM OF EXISTENCE
The Corporation is to have perpetual existence.
ARTICLE IV - AUTHORIZED SHARES
The total number of shares of capital stock which the Corporation is authorized to
issue is 50,000 shares of common stock having a par value of $1.00 per share.

ARTICLE V — PRINCIPAL OFFICE
The street address of the principal office of the Corporation is 5900 Lake Ellenor
Drive, Orlando; Florida 32809 or at such other address in the State of Florida as
determined by the board of directors from time to time.
ARTICLE VI — BOARD OF DIRECTORS
The Corporation shall have no more than five directors. The number of directors
may be increased or decreased from time to time as provided in the bylaws of the
Corporation, but shall never be less than one.
ARTICLE VII — AMENDMENTS
The Corporation reserves the right to amend, alter, change or repeal any
provision in these Amended and Restated Articles of Incorporation in the manner
prescribed by law, and all rights conferred on shareholders are subject to this
reservation. Every amendment shall be approved by the board of directors, proposed
by them to the shareholders, and approved at a shareholders' meeting by the holders of
a majority of the stock entitled to vote thereon or in such other manner as may be
provided by law.
ARTICLE VIII - INDEMNIFICATION
The Corporation shall, to the fullest extent permitted by the provisions of Section
607.0850 of the Act and other applicable law, indemnify (and advance expenses to) all
directors, officers, employees, and agents of the Corporation (and any other persons to
which Section 607.0850 of the Act or other applicable law permits the Corporation to
provide indemnification) from and against any and all of the expenses, liabilities or other
matters referred to in or covered by Section 607.0850 of the Act or other applicable law.
The indemnification provided for herein shall not be deemed exclusive of any other
rights to which each such indemnified person may be entitled under any bylaw,
agreement, vote of shareholders or disinterested directors or otherwise, both as to
action in such indemnified person's official capacity and as to action in another capacity
while serving as a director, officer, employee or agent of the Corporation, and shall
continue as to a person who has ceased to be a director, officer, employee or agent of
the Corporation, and shall inure to the benefit of the heirs, executors and administrators
of such person.

POLICY ON RESPONSIBLE SERVICE OF ALCOHOL
Darden Restaurants, Inc., is committed to the responsible service of alcoholic beverages to
responsible customers. We are also committed to protecting our team members and the
community at large. All team members who may come in contact with a guest as part of their
employment with Darden Restaurants, Inc., are required to follow these procedures:
• All service team members will successfully participate in an alcohol awareness- training
program when beginning employment at any Darden Restaurant.
• Team members will not serve an alcoholic beverage to anyone under 21 years of age,
anyone who is visibly intoxicated, or anyone who is a known habitual alcoholic.
• Before serving an alcoholic beverage, team members must check the identification of
guests who appear to be under age 30. The ID must show the guest to be at least 21
years old. The ID must also match the physical characteristics of the guest presenting
the identification. Acceptable identification includes a driver's license with a picture or a
military ID. All other identification must be approved by the manager on duty.
• Team members will also check identification to determine if it is authentic. Without
authentic identification or in case of doubt, the team members must not serve alcoholic
beverages to the guest. Team members will check with managers when in doubt.
• No team member will serve more than one drink to a guest at a time.
• Team members must immediately notify the manager on duty when a guest shows signs
of intoxication. Team members must provide the manager with as much information as
possible regarding the circumstances under which the guest became intoxicated. The
manager will then inform the guest that the service of alcohol will be discontinued.
• Any customer showing visible signs of intoxication will be strongly urged not to drive a
vehicle. The manager will make an attempt to persuade the guest to use an alternate
transportation, by offering to call a cab or a friend.
• If, despite these efforts, the intoxicated guest leaves in a vehicle, team members should
note the license plate number, the make and model of the car, and contact the appropri-
ate law enforcement agency immediately.
I have read this policy statement, understand what is required to provide responsible service of
alcoholic beverages and agree to follow these procedures. I also understand that failure to follow
the procedures of this policy will be considered a basis for disciplinary action up to and including
termination.
