Approving the Release of Closed Meeting Minutes
Background/History:
Effective January 1, 1982 the Open Meetings Act (5 ILCS 12012.06) requires that all public
bodies shall keep written minutes of all their meetings,whether open or closed. The public body
shall periodically,but no less than semi-annually, meet to review minutes of all closed sessions
that had not been released to the public. At this time,the Board of Trustees has reviewed
minutes from 2000 through 2002 that have been previously approved, as written or amended,but
were either not released to the public at an earlier time or only partially released. It has been
determined that the minutes listed in the exhibit attached to Resolution R-1296 no longer require
confidential treatment and are available for public inspection.
Recommendation:
That the Board pass Resolution R-1296.

A RESOLUTION FOR THE APPROVAL AND
RELEASE OF CLOSED MEETING MINUTES
WHEREAS, the Village Board of the Village of Oak Brook has met from time to time in closed meeting for
purposes authorized by the Illinois Open Meetings Act; and
WHEREAS, pursuant to the requirements of 5 ILCS 120/2.06(c), the Village Board has met in closed
meeting to review all closed Meeting minutes; and
WHEREAS, the Village Board has further determined that there is no longer a need for confidentiality as to
the closed meeting minutes from the meetings set forth below.
NOW, THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE
VILLAGE OF OAK BROOK, DU PAGE AND COOK COUNTIES, ILLINOIS as follows:
Section 1: That the 2000 to 2002 closed meeting minutes attached hereto as Exhibit 1 and described in
Schedule A having been previously not released or released with redactions, may now be released in their entirety.
Section 2: That the Village Clerk is hereby authorized and directed to make minutes identified in Section 1
available for inspection and copying in accordance with the standing procedures of the Clerk's office.
Section 3: That this resolution shall be in full force and effect from and after its passage and approval as
provided by law.

3. PERSONNEL - RENEWAL OF VILLAGE MANAGER'S EMPLOYMENT
AGREEMENT:
It was the consensus of the Village Board of Trustees to renew Stephen B. Veitch's
employment agreement as the Village Manager of Oak Brook effective June 1, 2000
with a 4.5% salary increase (current salary $110,00) to a new salary of $115,000
and a one-time bonus of$2,500.

Village Attorney Martens discussed the employment status of Bath &Tennis Club
employee Nick Syngel. It was noted that the Board's decision to remove the tennis
dome was not made with knowledge of Mr. Syngel's employment status with the
Village.
It was a consensus of the Village Board that Village Attorney Martens would negotiate
an agreement with Mr. Syngel in settlement of the issues, up to the original demand of
$87,000, including an appropriate release of all claims.

3. DISCUSSION OF PENDING LITIGATION:
Village Attorney Martens gave a status update of the Kitsos V. Village of Oak
Brook and County of DuPage. Mr. Kitsos has filed new motions against the
Village of Oak Brook. On January 9, 2001, the Village and DuPage County
argued before Judge Duncan, who has replaced Judge Darrah, that the motions
should be addressed consecutively and not simultaneously. Judge Duncan has
agreed, ordering that the Village's response to Mr. Kotsos' "Motion to Vacate
Orders of 12-10-99, Etc." is due on January 30, 2001; Mr. Kitsos' replay is due on
February 27, 2001 and the hearing on this motion is set for March 6,
2001. The
other motions were continued to March 6, 2001. Attorney Martens reported that
Mr. Kitsos suggested that

3. DISCUSSION OF PENDING LITIGATION:
Attorney Martens gave an update of the status of Kitsos v. Village of Oak Brook and
County of DuPage; Stange v. Savino and Village of Oak Brook; Malec v. Village of Oak
Brook, Sanford, Letizia, Baar,Klatzco, Pisarek and Veitch and Lindemann v. Village of
Oak Brook and Jarvis.
Attorney Martens then gave a brief explanation of the Richter v. Village of Oak Brook, et
al. Mr. Richter is a firefighter in the Oak Brook Fire Department. The complaint was
filed in United States District Court by Frank Richter against the Village, the Village
Manager and the Fire Chief. The Village has forwarded a copy of the Complaint to
IRMA and has requested that they undertake the defense of the lawsuit.
Village Manager Veitch, Assistant Village Manager Crotty and Village Attorney Martens
exited the meeting at 10:22 p.m.
4. PERSONNEL:
It was the consensus of the Village Board of Trustees to renew Stephen. B. Veitch's
employment agreement as the Village Manager of Oak Brook effective June 1, 2001 with
a 5% salary increase (current salary $115,000) to a new salary of $120,750 and a one-
time bonus of$3,000.

3. DISCUSSION OF PENDING LITIGATION:
Attorney Martens gave an update of the status of Stange v. Alfred Savino and
Village of Oak Brook. It was the consensus of the Board to recommend to IRMA
a nominal settlement of $5,000 to $10,000 and if denied, to file a motion to
dismiss. Attorney Martens also gave an update on the following cases: Kitsos v.
Village of Oak Brook and County of DuPage and Lindeman v. Village of Oak
Brook and Debra Jarvis. In the latter case, the attorney for IRMA anticipates
filing a motion for summary judgment in which one or all of the plaintiff's claims
could be dismissed.

bargaining table from both sides. Discussion ensued relative to the role of Trustees.

2. DISCUSSION OF PROBABLE OR IMMINENT LITIGATION:
Village Attorney Martens informed the Board that Attorney Michael Roth, sent a
letter to him dated October 4, 2002, that he has been retained by the DuPage
Housing Authority to represent its legal interest in regards to the Village of Oak
Brook's denial of the Housing Authority's various land use applications for the
St. Paschal's Friary property. Attorney Roth enclosed a seventeen page
Complaint against the Village with his letter. According to Attorney Roth's letter,
unless the matter is properly resolved before October 11, 2002, he will file the
complaint on that date. Based on Mr. Roth's letter and complaint, it was the
consensus of the Village Board that litigation was probable or imminent.
Attorney Martens explained the legal theories contained in the complaint and the
costs of litigation.
It was the consensus of the Village Board that Trustees Aktipis, Caleel and Craig
will contact several law firms for their legal opinion of the Board's decision to
deny the DuPage Housing Authority's application for an amendment to the
Village's zoning ordinance and grant of a special use, to permit existing
residential buildings on the subject property to be improved and use for multi-
family residential housing for senior citizens. It was the consensus of the Board
to direct Attorney Martens to request a two-week extension from Mr. Roth to
allow time for obtaining the opinion of outside counsel.

2. DISCUSSION OF PENDING LITIGATION:
Village Attorney Martens informed the Board that the DuPage Housing Authority
and the Forest Preserve District of DuPage County filed a lawsuit in the Circuit
Court of the Eighteen Judicial Circuit of DuPage County on October 11, 2002.
He explained the suit was delivered without a summons. He stated that the
plaintiffs had denied his request to defer filing the lawsuit to allow an analysis of
the case by outside counsel.
Trustees Caleel and Aktipis reported that they had met with one law firm to
discuss defending the lawsuit and were scheduled to meet with another firm on
October 24, 2002. Trustees Caleel and Aktipis will keep the Board advised of
their interviews with outside firms.

2. REVIEW OF MINUTES —OCTOBER 8 AND OCTOBER 22, 2002:
The Board reviewed the minutes of the closed meetings of October 8 and October
22, 2002 as presented.
DISCUSSION OF THE SALARY SCHEDULES FOR ONE OR MORE
CLASSES OF MUNICIPAL EMPLOYEES:
Edward Bergman of Seyfarth & Shaw, explained to the Board the arrangement
pursuant to the Fair Labor Standards Act under which off-duty firefighters work
as part-time fire inspectors for the Village of Oak Brook. A complaint was filed
by a current firefighter with the Wage and Hour Division of the Department of
Labor that the pay rate established for this work in the late 1980's was somehow
inconsistent with the provisions of the Fair Labor Standards Act. The Wage and
Hour Division concluded that new bonafide rates for part-time inspection work-
should be developed to more clearly reflect the straight time and overtime rates
for this work. The proposed rates were presented and have been deemed
acceptable by the Department of Labor.
Acting Manager Crotty explained that this work need not only be performed by
firefighters. It was recommended that new rates be developed for all part-time
positions subject to this FLSA provision.
An amendment to the Salary Pay Plan will be included for all four positions at the
next meeting.

3. DISCUSSION OF PENDING LITIGATION:
Attorney Martens advised that when he examined the court file in the case filed
by the Dupage Housing Authority and Forest Preserve District of DuPage County,
he found a statement by the sheriff that a summons and complaint had been
served on Denise Williamsen, a receptionist for the Village, on October 15, 2002.
The file shows that a summons was signed in this case on October 11 t1i but was
not filed until October 17, 2002. Ms. Williamsen states that she received only the
complaint and no summons on October 15`h, 2002. Mark Daniel of Rathje &
Woodward, representing the Village of Oak Brook in this case, is drafting a letter
to plaintiff's counsel stating the Village of Oak Brook did not receive the
summons and that they are now representing the Village in this matter.

with a 4.5% salary increase (current salary $110,00) to a new salary of $115,000
and a one-time bonus of$2,500.

Village Attorney Martens discussed the employment status of Bath & Tennis Club
employee Nick Syngel. It was noted that the Board's decision to remove the tennis
dome was not made with knowledge of Mr. Syngel's employment status with the
Village.
It was a consensus of the Village Board that Village Attorney Martens would negotiate
an agreement with Mr. Syngel in settlement of the issues, up to the original demand of
$87,000, including an appropriate release of all claims.
