Contractor warrants and represents that Contractor has
carefully examined the Work Site described below and
has reviewed and understood all documents included,
referred to, or mentioned in this bound set of documents,
including Addenda Nos. 1, which are securely stapled to
the end of this Contract.
1. Work
A. Contract and Work. Contractor acknowledges,
and agrees, that Contractor shall, at its sole cost and
expense, provide, perform, and complete, in the manner
specified and described, and upon the terms and
conditions set forth, in this Contract, all of the following,
all of which is herein referred to as the "Work

4. Taxes. Pay all applicable federal, state, and
local taxes;
5. Miscellaneous. Do all other things required
of Contractor by this Contract; and
6. Qualit . Provide, perform, and complete all
of the foregoing in a proper and workmanlike
manner, consistent with the standards of
recognized professional firms in performing
Work of a similar nature, in full compliance
with, and as required by or pursuant, to this
Contract, and with the greatest economy,
efficiency, and expedition consistent
therewith, with only new, undamaged, and
first quality equipment, materials, and
supplies.
B. Performance Standards. Contractor
acknowledges and agrees that all Work shall be fully
provided, performed, and completed in accordance with
the specifications and description of Work attached
hereto as Exhibit A (Request for Proposal, Range
Systems' Response, and Required Vendor's Certification
C. Responsibility for Damage or Loss. Contractor
proposes, and agrees, that Contractor shall be
responsible and liable for, and shall promptly and
without charge to Village repair or replace, any damage
done to, and any loss or injury suffered by, the Village,
the Work, the Work Site, or other property or persons as
a result of the Work.
D. Inspection/Testing/Reiection. Village shall have
the right to inspect all or any part of the Work and to
reject all or any part of the Work that is, in Village's
judgment, defective or damaged or that in any way fails
to conform strictly to the requirements of this Contract
and the Village, without limiting its other rights or
remedies, may require correction or replacement at
Contractor's cost, perform or have performed all Work
necessary to complete or correct all or any part of the
Work that is defective, damaged, or nonconforming and
charge Contractor with any excess cost incurred thereby,
or cancel all or any part of any order or this Contract.
Work so rejected may be returned or held at Contractor's
expense and risk.
2. Contract Price
Contractor acknowledges and agrees that Contractor
shall take in full payment for all Work and other matters
set forth under Section 1 above, including overhead and
profit; taxes, contributions, and premiums; and
compensation to all subcontractors and suppliers, the
compensation set forth below.
A. SCHEDULE OF PRICES
For providing, performing, and completing all
Work:

B. BASIS FOR DETERMINING PRICES
It is expressly understood and agreed that:
1. All prices stated in the Schedule of Prices
are firm and shall not be subject to
escalation or change;
2. The Village is not subject to state or local
sales, use, and excise taxes, that no such
taxes are included in the Schedule of Prices,
and that all claim or right to claim any
additional compensation by reason of the
payment of any such tax is hereby waived
and released;
All other applicable federal, state, and local
taxes of every kind and nature applicable to
the Work are included in the Schedule of
Prices.
C. TIME OF PAYMENT
It is expressly understood and agreed that all
payments shall be made in accordance with the
following schedule:

The Village of Oak Book approves payouts
on the second and fourth Tuesday of the
month. The Village will approve a 50%
payout after final approval of the contract
and the remaining 50% after completion of
the work.
All payments may be subject to deduction or
setoff by reason of any failure of Contractor to
perform under this Contract. Each payment
shall include Contractor's certification of the
value of, and partial or final waivers of lien
covering, all Work for which payment is then
requested and Contractor's certification that all
prior payments have been properly applied to
the payment or reimbursement of the costs with
respect to which they were paid.
3. Contract Time
Contractor acknowledges and agrees that Contractor
shall commence the Work within ten (10) days following
the receipt of the Notice to Proceed provided Contractor
shall have furnished to the Village all bonds and all
insurance certificates and policies of insurance specified
in this Contract. Contractor further acknowledges and
agrees that Contractor shall perform the Work diligently
and continuously and shall complete the Work not later
than 45 days following the Commencement Date. ("Time
of Performance"). The Village may modify the Time of
Performance at any time upon 15 days prior written
notice to the Contractor. Delays caused by the Village
shall extend the Time of Performance; provided,
however, that Contractor shall be responsible for
completion of all Work within the Time of Performance,
notwithstanding any strike or other work stoppage by
employees of either Contractor or of the Village.
4. Financial Assurance
A. Bonds. Contractor acknowledges and agrees
that Contractor shall provide a Performance Bond and a
Labor and Material Payment Bond, on forms provided
by, or otherwise acceptable to, the Village, from a surety
company acceptable to the Village, each in the penal sum
of the Contract Price, within 10 days following the
Village's acceptance of this Contract.
B. Insurance. Contractor acknowledges and agrees
that Contractor shall provide certificates of insurance
evidencing the minimum insurance coverages and limits
set forth below within 10 days following the Village's
acceptance of this Contract. Such policies shall be in
form, and from companies, acceptable to the Village. The
insurance coverages and limits set forth below shall be
deemed to be minimum coverages and limits and shall
not be construed in any way as a limitation on
Contractor's duty to carry adequate insurance or on
Contractor's liability for losses or damages under this
Contract. The minimum insurance coverages and limits
that shall be maintained at all times while providing,
performing, or completing the Work are as follows

C. Indemnification. Contractor acknowledges and
agrees that Contractor shall indemnify, save harmless,
and defend the Village against all damages, liability,
claims, losses, and expenses (including attorneys' fee)
that may arise, or be alleged to have arisen, out of or in
connection with Contractor's performance of, or failure to
perform, the Work or any part thereof, or any failure to
meet the representations and warranties set forth in
Section 6 of this Contract.
D. Penalties. Contractor acknowledges and agrees
that Contractor shall be solely liable for any fines or civil
penalties that are imposed by any governmental or
quasi -governmental agency or body that may arise, or be
alleged to have arisen, out of or in connection with
Contractor's performance of, or failure to perform, the
Work or any part thereof.
5. Firm Proposal
All prices and other terms stated in this Contract are
firm and shall not be subject to withdrawal, escalation,
or change.
6. Contractor's Representations and Warranties
In order to induce the Village to accept this Contract,
Contractor hereby represents and warrants as follows:
A. The Work. The Work, and all of its components,
shall strictly conform to the requirements of this
Contract, including, without limitation, the performance
standards set forth in Subsection IB of this Contract;
and shall be fit, sufficient, and suitable for the purposes
expressed in, or reasonably inferred from, this Contract
and the warranties expressed herein shall be in addition
to any other warranties expressed or implied by law,
which are hereby reserved unto the Village.
B. Compliance with Laws. The Work, and all of its
components, shall be provided, performed, and completed
in compliance with, and Contractor agrees to be bound
by, all applicable federal, state, and local laws, orders,
rules, and regulations, as they may be modified or
amended from time to time, including without limitation
the Prevailing Wage Act, 820 ILCS 130/0.01 et se". (in
furtherance of which, a copy of Village's ordinance
ascertaining the prevailing rate of wages, in effect as of
the date of this Contract, has been attached as an
Appendix to this Contract; if the Illinois Department of
Labor revises the prevailing rate of hourly wages to be
paid, the revised rate shall apply to this Contract); any
other prevailing wage laws; any statutes requiring
preference to laborers of specified classes; any statutes
prohibiting discrimination because of, or requiring
affirmative action based on, race, creed, color, national
origin, age, sex, or other prohibited classification; and
any statutes regarding safety or the performance of the
Work. Further, Contractor shall have a written sexual
harassment policy in compliance with Section 2.105 of
the Illinois Human Rights Act during the course of the
work.
C. Not Barred. Contractor is not barred by law
from contracting with the Village or with any other unit
of state or local government as a result of (i) a
delinquency in the payment of any tax administered by
the Illinois Department of Revenue unless Contractor is
contesting, in accordance with the procedures
established by the appropriate Revenue Act, its liability
for the tax or the amount of tax, as set forth in 65 ILCS
5/11-42.1-1 or (ii) a violation of either Section 33E-3 or
Section 33E-4 of Article 33 of the Criminal Code of 1961,
720 ILCS 5/33E-1 et seq.
D. Qualified. Contractor has the requisite
experience, ability, capital, facilities, plant, organization,
and staff to enable Contractor to perform the Work
successfully and promptly and to commence and
complete the Work within the Contract Price and
Contract Time set forth above.
7. Acknowledeements
In submitting this Contract, Contractor
acknowledges and agrees that:
A. Reliance. The Village is relying on all
warranties, representations, and statements made by
Contractor in this Contract.
B. Acceptance. If this Contract is accepted,
Contractor shall be bound by each and every term,
condition, or provision contained in this Contract.
D. Remedies. Each of the rights and remedies
reserved to the Village in this Contract shall be
cumulative and additional to any other or further
remedies provided in law or equity or in this Contract.
E. Time. Time is of the essence in the performance
of all terms and provisions of this Contract and, except
where stated otherwise references in this Contract to
days shall be construed to refer to calendar days and
time.
F. No Waiver. No examination, inspection,
investigation, test, measurement, review, determination,
decision, certificate, or approval by the Village, whether
before or after the Village's acceptance of this Contract;
nor any information or data supplied by the Village,
whether before or after the Village's acceptance of this
Contract; nor any order by the Village for the payment of
money; nor any payment for, or use, possession, or
acceptance of, the whole or any part of the Work by the
Village; nor any extension of time granted by the Village;
nor any delay by the Village in exercising any right
under this Contract; nor any other act or omission of the
Village shall constitute or be deemed to be an acceptance
of any defective, damaged, or nonconforming Work, nor
operate to waive or otherwise diminish the effect of any
representation or warranty made by Contractor; or of
any requirement or provision of this Contract; or of any
remedy, power, or right of the Village.

G. Severability. It is hereby expressed to be the
intent of the parties to this Contract that should any
provision, covenant, agreement, or portion of this
Contract or its application to any Person or property be
held invalid by a court of competent jurisdiction, the
remaining provisions of this Contract and the validity,
enforceability, and application to any Person or property
shall not be impaired thereby, but the remaining
provisions shall be interpreted, applied, and enforced so
as to achieve, as near as may be, the purpose and intent
of this Contract to the greatest extent permitted by
applicable law.
H. Amendments and Modifications. No amendment
or modification to this Contract shall be effective until it
is reduced to writing and approved and executed by the
corporate authorities of the parties in accordance with all
applicable statutory procedures.
I, Assienment. Neither this Contract, nor any
interest herein, shall be assigned or subcontracted, in
whole or in part, by Contractor except upon the prior
written consent of the Village.
J. Governine Law; Venue. This Contract shall be
governed by, construed and enforced in accordance with
the internal laws, but not the conflicts of laws rules, of
the State of Illinois. Venue for any action arising out of
or due to this Contract shall be in the Circuit Court for
DuPage County, Illinois.
K. Certified Payrolls. Contractor shall, in
accordance with Section 5 of the Illinois Prevailing Wage
Act, 820 ILCS 130/5, submit to the Village, on a monthly
basis, a certified payroll. The certified payroll shall
consist of a complete copy of those records required to be
made and kept by the Prevailing Wage Act. The certified
payroll shall be accompanied by a statement signed by
the Contractor or subcontractor which certifies that: (1)
such records are true and accurate; (2) the hourly rate
paid is not less than the general prevailing rate of hourly
wages required by the Prevailing Wage Act; and (3)
Contractor or subcontractor is aware that filing a
certified payroll that he or she knows to be false is a
Class B misdemeanor. A general contractor may rely
upon the certification of a lower tier subcontractor,
provided that the general contractor does not knowingly
rely upon a subcontractor's false certification. Upon two
business days' notice, Contractor and each subcontractor
shall make available for inspection the records required
to be made and kept by the Act: (i) to the Village, its
officers and agents, and to the Director of the Illinois
Department of Labor and his or hers deputies and
agents; and (ii) at all reasonable hours at a location
within this State.
L. Conflicts of Interest. Contractor represents and
certifies that, to the best of its knowledge, (1) no elected
or appointed Village official, employee or agent has a
personal financial interest in the business of the
Contractor or in this Agreement, or has personally
received payment or other consideration for this
Agreement; (2) as of the date of this Agreement, neither
Contractor nor any person employed or associated with
Contractor has any interest that would conflict in any
manner or degree with the performance of the
obligations under this Agreement; and (3) neither
Contractor nor any person employed by or associated
with Contractor shall at any time during the term of this
Agreement obtain or acquire any interest that would
conflict in any manner or degree with the performance of
the obligations under this Agreement.

firmly bound unto the Village of Oak Brook (hereafter referred to as "VILLAGE") in the penal sum of
Dollars ($ ), lawful money of the United States,
well and truly to be paid unto said VILLAGE, for the payment of which we bind ourselves, our heirs,
executors, administrators, successors, jointly to pay to VILLAGE this sum under the conditions of
this instrument.

Principal has entered into a written contract with the Village acting through its awarding authority

the benefit of any person, firm, company or corporation, to whom any money may be due from the
Principal, subcontractor or otherwise, for any such labor, materials, apparatus, fixtures or
machinery so furnished and that suit may be maintained on such bond by any such person, firm,
company, or corporation, for the recovery of any such money.
NOW, THEREFORE, if the said Principal shall well and truly perform said work in accordance with
the terms of said contract, and shall pay all sums of money due or to become due for any labor,
materials, apparatus, fixtures or machinery furnished to him for the purpose of performing such
work, and shall commence and complete the work within the time prescribed in said contract, and
shall pay and discharge all damages, direct and indirect, that may be suffered or sustained on
account of such work during the time of the performance thereof and until the said work shall have
been accepted, and shall hold VILLAGE harmless on account of any such damages and shall in all
respects fully and faithfully comply with all the provisions, conditions, and requirements of said

The Village of Oak Brook is soliciting proposals for the Police Department Gun Range
Modification Project

A Pre -Proposal meeting will be held at 11:00 a.m, on Wednesday. June 19, 2013 in the S.E.
Dean Board Room, located in the Butler Government Center, 1200 Oak Brook Road, Oak Brook,
Illinois. Prospective proposers must be in the S.E. Dean Board Room at 10:00 a.m. to be
considered an attendee. Attendance at this meeting is mandatory. The purpose of the meeting
is to give all prospective proposers the opportunity to inspect the condition of the gun range. Any
questions or concerns can be addressed at this time.
The closing date and time for receipt of proposals is Wednesday, June 26, 2013 at 1:00 P.M.
prevailing time. Proposals received after the submittal time will be rejected and returned
unopened to the sender.
A complete proposal package, of which this notice is a part, is on file for inspection and may be
downloaded from the Village's website at www.oak-brook.org or picked up at the Butler
Government Center, 1200 Oak Brook Road, Oak Brook, Illinois 60523, between the hours of
8:00 a.m. and 4:30 p.m., Monday through Friday. There is no charge for the package.

The Village reserves the right to reject any or all proposals, waive or not to waive any
irregularities therein, and to accept the proposal(s) considered to be in the best interest of the
Village.
B. Project Description
1) Scope of Services
The Village of Oak Brook (Village of Oak Brook) is seeking proposals from contractors for the
Police Department Gun Range Modification Project.
In accordance with the Village of Oak Brook, State and Local Building Codes, the contractor
shall furnish all labor, materials, tools, supervision, equipment, transportation, insurances,
overhead, and all other items of expense or service necessary for and incidental to construction
of this project.
The work includes but is not limited to the following:
A. Bullet Trap
1. Rubber granulate trap that safely stops bullets and maintains their basic original shape,
thus minimizing broken up lead particles released into the atmosphere.
2. Suitable for all small arms including handguns, shotguns, and rifles with a maximum
velocity of 3600 FPS and maximum energy of 3600 ft. Iles.
The trap shall have a sloping front surface and must be constructed with a stepped steel
bedplate, Box tube support frame and a 3/8" AR500 Armor plate upper slope sheet shall
hold replenishment rubber granulate material. Angle iron, wood frame or other non Box
Tube Support frames are unacceptable. The Stepped bedplate shall hold the rubber
granules. These rubber granules shall consist of chopped rubber and shall be
predominately free of cording, threads, steel belting pieces and cotton fibers. Fired
rounds shall be captured by the rubber granulate with little or no fragmentation or back -
splatter. A steel bedplate shall provide a safety barrier. The design of the trap shall be
such that under normal service and maintenance, the steel bedplate shall not be relied
upon to terminate the bullets flight. The trap must offer a sliding plate/access hatch in
the traps main impact area of each trap section, for partial recycling of the granules and
collection of spent bullets from the rear side access areas.
4. The bullet trap's steel bedplates must be in a formed "deep stepped" configuration and
not a simple angled plate or have small welded angle iron sections. The primary impact
area's step depth (Measured at the Horizontal steel bed plate) shall not be less than 24".
For safety and longevity reasons - the use of vertical retainer fins — buried within the
chunk rubber and attached to the traps bed plates is unacceptable.
5. The bullet Trap must incorporate an internal, separately enclosed & conveyor belt faced
— backup Safety Bin, with additional rubber granule within. This back-up area shall be no
less than 10" in depth.
6. The bullet trap shall allow the recovery of largely intact spent rounds.
7. The bullet trap shall be self-supporting and assembled entirely by mechanical fasteners.
The upper holding bin must be part of the Bullet Traps frame support assembly and not
require overhead support via chains/cables, bridging or rear wall attachment. The upper
frame shall support the Bullet Traps 3/8" thick — AR500 BHN Armor plate upper slope
sheet. No on-the-job cutting or welding shall be required.
8. All metal parts not otherwise finished or plated shall be primed and painted.
9. The Bullet trap shall include a set of 1/4" AR500 Armor plate sidewalls that cover from the
traps mouth depth out to the trap toe distance — at an elevation of T-6". The plating must
be installed in vertical sections with the seams in an overlapped manner — so no blunt
edges face the shooters direction. Plates shall be factory painted.
10. One (1) row of enclosure Guard panels - fabricated from 1/4" — AR500 Armor plate steel.
Suspension hardware (Suspension chains, "S" -hooks & turnbuckles) shall be included
by the range equipment supplier.
11. Twelve (12) 1/4" x 24" x 90" AR500 Armor Wall plate panels. Panels must be installed in a
vertical manner — with edges slightly overlapped & away from the shooters direction. No
horizontal seams or butted edges are allowable. Plates shall be factory painted. Panels
will be mounted via mechanical fasteners and mastic material.
12. Provide instruction on care and maintenance of the trap system.
13. Provide support for the existing safety ceiling.
B. Target Holders
1. Provide Qty (6) stationary target holders with related support cross -member attachment.
Target holders are constructed from formed steel and include 2 angle iron faced /
protected clamping devices.
Clarifications/Special Considerations: Work shall include everything requisite and necessary to
finish the work properly, notwithstanding that every item of labor, materials, equipment or
accessories required to make said project complete may not be specifically mentioned
Schedules: All applicable trades shall provide a complete and accurate Progress
Schedule to Village staff within ten (10) business days upon receipt of a signed contract
Progress Schedule shall reflect actual work in place completion dates to include long lead time
and delivery of specialized equipment and material
Supervisory of Construction: All applicable trades shall provide the name and phone number
(cell number) of the on-site superintendent responsible for all on-going work activities as well as
a list of all persons scheduled to perform work on site

C. General Terms and Conditions
1) Preparation and Submission of Proposals
a) A Pre -Proposal meeting will be held at 11:00 a.m. on Wednesday June 19 2013 in

Road, Oak Brook, Illinois. Prospective proposers must be in the S.E. Dean Board Room
at 10:00 a.m. to be considered an attendee, Attendance at this meeting is
mandatory. The purpose of the meeting is to give all prospective proposers the
opportunity to inspect the condition of the gun range. Any questions or concerns can be
addressed at this time.
b) The proposal shall be submitted in an opaque sealed envelope on or before 1:00 PM,
Wednesday June 26, 2013, and shall bear the name of the individual, firm, or
corporation submitting the Proposal and the Project Name: 'Police Department Gun
Range Modification Project".
c) Proposers may attach separate sheets to the proposal for the purpose of explanation,
exception, alternate proposal and to cover unit prices, if needed.
d) Proposers may withdraw their proposal either personally or by written request at any
time before the hour set for the proposal opening, and may resubmit it. No proposal may
be withdrawn or modified after the receipt of proposals except where the award of
contract has been delayed for a period of more than one hundred and eighty (180) days.
e) In submitting this proposal, the proposer further declares that the only person or party
interested in the proposal as principals are those named herein, and that the proposal is
made without collusion with any other person, firm or corporation.
f) The proposer further understands and agrees that if their proposal is accepted, the
individual/company is to furnish and provide all necessary materials and/or equipment
and other means to do all of the work and to furnish all of the materials specified in the
contract, except such materials as are to be furnished by the owner (Village), in the
manner and at the time therein prescribed, and in accordance with the requirements
therein set forth.
g) The proposer further agrees to execute all documents within this Proposal Package,
obtain a Certificate of Insurance for this work and present all of these documents to the
Village within fifteen (15) days after the receipt of the Notice of Award and the Contract
by the company.
h) The proposer further agrees to begin work not later than ten (10) days after receipt of the
Notice to Proceed, unless otherwise provided, and to execute the work in such a manner
and with sufficient materials, equipment and labor.
By submitting a proposal, the proposer understands and agrees that, if the proposal is
accepted, and the proposer fails to enter into a contract forthwith, the company shall be
liable to the Village for any damages the Village may thereby suffer.
2) CONDITIONS:
a) The Village is exempt from Federal excise tax and the Illinois Retailer's Occupation
Tax. This proposal cannot include any amounts of money for these taxes.
b) Any contract or agreement resulting from the acceptance of this proposal by the
Village shall be on forms either supplied by or approved by the Village's Legal
Department. The Village reserves the right to reject any agreement that does not
conform to the Request For Proposal and any Village requirements for
agreements and contracts.
c) The Village reserves the right to request clarification of information submitted and
request additional information as needed.
d) The requirements of this RFP will be included in the contract with the selected
firm.
3) PAYMENT:
The Village authorizes the payment of invoices on the second and fourth Tuesday
of the month. For consideration on one of these dates, payment request must be
received no later than fourteen (14) days prior to the second or fourth Tuesday of
the month
4) INDEMNIFICATION:
The Contractor shall protect, indemnify, save, defend and hold forever harmless the
Village and/or its officers, officials, employees, volunteers and agents from and
against all liabilities, obligations, claims, damages, penalties, causes of action, costs
and expenses, including without limitation court costs, insurance deductibles and
attorney's fees and expenses, which the Village and/or its officers, officials,
employees, volunteers and agents may incur, suffer or sustain, or for which the
Village and/or its officers, employees and agents may become obligated by reason
for any accident, injury to or death of persons or loss of or damage to property, or
civil and/or constitutional infringement of rights (specifically including violations of
the Federal Civil Right Statutes), arising indirectly or directly in connection with or
under, or as a result of, this or any Agreement by virtue of any act or omission of
any of the Contractor's officers, employees, subcontractors, and/or agents, provided
that the Contractor shall not be liable for claims, obligations, damages, penalties,
causes of action, costs and expenses arising solely from any act or omission of the
Village's officers, officials, employees, volunteers and/or agents.
The contractor shall hold the Village harmless for any and all claims for labor,
material, apparatus, equipment, fixtures or machinery furnished to the contractor for
the purpose of performing the work under the contract; and the payment of all direct
and indirect damages to any person, firm, company or corporation suffered or
sustained on account of the performance of such work during the time the contract
is in force.
5) INSURANCE:
Certificates of Insurance and Additional Insured Endorsement shall be presented to
the Village within fifteen (15) days after the receipt by the contractor of the Notice of
Award and the unexecuted contract, it being understood and agreed that the Village
will not approve and execute the contract nor will the bid guarantee be returned until
acceptable insurance certificates are receivedand approved by the Village.
Each contractor performing any work pursuant to a contract with the Village of Oak
Brook and each permittee working under a permit as required pursuant to the
provisions of Title 1, Chapter 8 of the Code of Ordinances of the Village of Oak
Brook (hereinafter referred to as "Insured") shall be required to carry such
insurance as specified herein. Such contractor and permittee shall procure and
maintain for the duration of the contract or permit insurance against claims for
injuries to persons or damages to property which may arise from or in connection
with the performance of the work under the contract or permit, either by the
contractor, permittee, or their agents, representatives, employees or
subcontractors.
A contractor or permittee shall maintain insurance with limits no less than:
a) General Liability - $2,000,000 combined single limit per occurrence for bodily injury,
personal injury and property damage, provided that when the estimated cost of the
work in question does not exceed $5,000, the required limit shall be $500,000;
b) Automobile Liability (if applicable) - $1,000,000 combined single limit per accident
for bodily injury and property damage;
c) Worker's Compensation and Employer's Liability - Worker's Compensation limits as
required by the Labor Code of the State of Illinois and Employer's Liability limits of
$1,000,000 per accident.
Any deductibles or self-insured retention must be declared to and approved by the
Village. At the option of the Village, either the insurer shall reduce or eliminate such
deductible or self-insured retention as respects the Village, its officers, officials,
employees and volunteers; or the Insured shall procure a bond guaranteeing
payment of losses and related investigations, claim administration and defense
expenses to the extent of such deductible or self-insured retention.
The policies shall contain, or be endorsed to contain, the following provisions:
d) General Liability and Automobile Liability Coverage -
The Village, its officers, officials, employees and volunteers are to be
covered as additional insureds as respects: liability arising out of activities
performed by or on behalf of the Insured; premises owned, occupied or
used by the Insured. The coverage shall contain no special limitations on
the scope of protection afforded to the Village, its officers, officials,
employee's volunteers or agents.
The Insured's insurance coverage shall be primary insurance as respects
the Village, its officers, officials, employees, volunteers and agents. Any
insurance or self-insurance maintained by the Village, its officers, officials,
employees, volunteers or agents shall be in excess of the Insured's
insurance and shall not contribute with it.
III. Any failure to comply with reporting provisions of the policies shall not affect
coverage provided to the Village, its officers, officials, employees, volunteers
or agents.
IV. The Insured's insurance shall apply separately to each covered party
against whom claim is made or suit is brought except with respect to, the
limits of the insurer's liability.
e) Worker's Compensation and Employer's Liability Coverage
The policy shall waive all rights of subrogation against the Village, its
officers, officials, employees, volunteers and agents for losses arising from
work performed by the insured for the Village.
Each insurance policy shall be endorsed to state that coverage shall not be
suspended, voided, canceled by either party, reduced in coverage or in limits
except after thirty (30) days prior written notice by certified mail has been given to
the Village. Each insurance policy shall name the Village, its officers, officials and
employees, volunteers and agents as additional Insureds. Insurance is to be
placed with insurers with a Best's rating of no less than A: VII.
Each Insured shall furnish the Village with certificates of insurance and with original
endorsements effecting coverage required by this provision. The certificate and
endorsements for each insurance policy are to be signed by a person authorized by
that insurer to bind coverage on its behalf. The certificates and endorsements are
to be on forms approved by the Village and shall be subject to approval by the
Village Attorney before work commences. The Village reserves the right to require
complete, certified copies of all required insurance policies, at any time.
Each insured shall include all subcontractors as insureds under its policies or shall
furnish separate certificates and endorsements for each subcontractor. All
coverages for subcontractors shall be subject to all of the requirements stated
herein.
6) SAFETY:
The contractor and any subcontractors shall comply with all the provisions of the
Federal Occupational Safety and Health Act of 1970 (84 Stat. 1590), as amended.
7) EQUAL OPPORTUNITY:
The CONTRACTOR will not discriminate against any employee or applicant for
employment because of race, color, religion, sex, ancestry, national origin, place of
birth, age or handicap unrelated to bona fide occupational qualifications.
8) EMPLOYMENT OF ILLINOIS WORKERS DURING PERIODS OF EXCESSIVE
UNEMPLOYMENT:
The Contractor shall comply with all Illinois statutes pertaining to the selection of
labor.
Whenever there is a period of excessive unemployment in Illinois, which is defined
herein as any month immediately following 2 consecutive calendar months during
which the level of unemployment in the State of Illinois has exceeded 5 percent as
measured by the United States Bureau of Labor Statistics in its monthly publication
of employment and unemployment figures, the Contractor shall employ only Illinois
laborers. "Illinois laborer" means any person who has resided in Illinois for at least
30 days and intends to become or remain an Illinois resident.
Other laborers may be used when Illinois laborers as defined herein are not
available, or are incapable of performing the particular type of work involved, if so
certified by the Contractor and approved by the Municipality. The Contractor may
place no more than 3 of his regularly employed non-resident executive and
technical experts, who do not qualify as Illinois laborers, to do work encompassed
by this Contract during a period of excessive unemployment.
This provision applies to all labor, whether skilled, semi -skilled or unskilled, whether
manual or non -manual.
9) EXECUTION OF DOCUMENTS
The Contractor, in signing his Proposal on the whole or on any portion of the work,
shall conform to the following requirements:
Proposals signed by an individual other than the individual represented in the
Proposal documents shall have attached thereto a power of attorney evidencing
authority to sign the Proposal in the name of the person for whom it is signed.
Proposals which are signed for a partnership shall be signed by all of the partners
or by an attorney-in-fact. If signed by an attorney-in-fact, there shall be attached to
the Proposal a power of attorney evidencing authority to sign the proposal,
executed by the partners.
Proposals which are signed for a corporation, shall have the correct corporate name
thereof and the signature of the President or other authorized officer of the
corporation manually written below the corporate name.
If such Proposal is manually signed by an official other than the President of the
Corporation, a certified copy of a resolution of the board of directors evidencing the
authority of such official to sign the Proposal should be attached to it. Such
Proposal shall also bear the attesting signature of the Secretary of the corporation
and the impression of the corporate seal.
The Contract shall be deemed as have been awarded when formal notice of award
shall have been duly served upon the intended awardee.
10) NON -DISCRIMINATING:
The Vendor, its employees and subcontractors, agrees not to commit unlawful
discrimination and agrees to comply with applicable provisions of the Illinois Human
Rights Act, the U.S. Civil Rights Act and Section 504 of the Federal Rehabilitation
Act, and rules applicable to each.
11) NEGOTIATIONS:
The Village reserves the right to negotiate specifications, terms, and conditions
which may be necessary or appropriate to the accomplishment of the purpose of
the RFP. The Village may require the entire proposal be made an integral part of
the resulting contract. This implies that all responses, supplemental information,
and other submissions provided by the proposer during discussions or negotiations
will be held by the Village as contractually binding on the successful proposer.
12) INCURRED COSTS:
The Village will not be liable in any way for any costs incurred by respondents in
replying to this RFP. Contractor agrees to comply with all laws, ordinances, and
rules of the Village and the State of Illinois.
13) CONTRACTOR RESPONSIBILITIES:
The selected Contractor will be required to assume responsibility for all services
offered in this proposal. The Village will consider the selected Contractor to be
the sole point of contact with regard to contractual matters, including payment of
any and all charges resulting from the contract.
14) DEFAULT:
The contract may be canceled or annulled by the Village in whole or in part by
written notice of default to the Contractor upon nonperformance or violation of
contract terms. An award may be made to another proposer with services similar
to those so terminated. Failure of the Contractor to deliver services within the
time stipulated on his offer, unless extended in writing by the Owner, shall
constitute contract default.
15) PROPRIETARY INFORMATION:
Any restriction on the use of data contained within a request must be clearly
stated in the proposal itself. Proprietary information submitted in response to a
request will be handled in accordance with applicable Village of Oak Brook
procurement regulations and the Illinois public records law. Proprietary
restrictions normally are not accepted however, when accepted, it is the vendor's
responsibility to defend the determination in the event of an appeal or litigation.
Any material submitted by the vendor in response to this request that the vendor
considers confidential and proprietary information and which qualifies as a trade
secret or material which can be kept confidential under the Illinois open records
law, must be identified on a Designation of Confidential and Proprietary
Information list to be appended to the proposal. Proposal prices cannot be held
confidential.

16) CONTRACT ASSIGNMENT:
No right or duty in whole or in part of the vendor under this contract may be
assigned or delegated without the prior written consent of the Village of Oak
Brook.
17) REFERENCES:
Proposer shall provide five (5) references from entities (preferably
municipalities that have been serviced by the provider.
18) TIME OF COMPLETION:
Proposer affirms and declares that if awarded the contract for this work he will
completely perform said contract in strict accordance with its terms and
conditions by , unless additional time shall be
granted by the Village. Should the contractor fail to complete the work by said
date or within such extended time as may have been allowed, the contractor
shall be liable to the Village.
19) WARRANTY:
Upon completion the Contractor shall supply a one year warranty covering material
and workmanship.
20) INDEPENDENT CONTRACTOR:
There is no employee/employer relationship between the CONTRACTOR and the
VILLAGE. CONTRACTOR is an independent contractor and not the VILLAGE'S
employee for all purposes, including, but not limited to, the application of the Fair
Labors Standards Act minimum wage and overtime payments, Federal Insurance
Contribution Act, the Social Security Act, the Federal Unemployment Tax Act, the
Worker's Compensation Act (820 ILLS 305/1, et seq.). The VILLAGE will not (i)
provide any form of insurance coverage, including but not limited to health,
worker's compensation, professional liability insurance, or other employee benefits,
or (ii) deduct any taxes or related items from the monies paid to CONTRACTOR.
The performance of the services described herein shall not be construed as
creating any joint employment relationship between the CONTRACTOR and the
VILLAGE, and the VILLAGE is not and will not be liable for any obligations incurred
by the CONTRACTOR, including but not limited to unpaid minimum wages and/or
overtime premiums, nor does there exist an agency relationship or partnership
between the VILLAGE and the CONTRACTOR.
21) ASSIGNMENT:'
Neither the VILLAGE nor the CONTRACTOR shall assign or transfer any rights or
obligations under this Agreement without the prior written consent of the other party,
which consent shall not be unreasonably withheld.
22) GOVERNING LAW:

This Agreement shall be governed by the laws of the State of Illinois as to interpretation,
performance and enforcement. The forum for resolving any disputes concerning the
parties' respective performance or failure to perform under this Agreement shall be the
Circuit Court for the Eighteenth Judicial Circuit, DuPage County, Illinois.
Section 2. Proposal Instructions

Modification Project" on or before 1:00 P.M. Wednesday, June 26, 2013. Any proposal
received after this date and time will be refused.
Lengthy, detailed proposals are not required. Proposals are intended to be an expression of
interest in providing services for the project, as well as background information on the firm and
on its professional qualifications.

proposals must include the information requested here in the manner specified. If the
information is not included in the manner specified, the proposal may be considered
non-responsive and may be eliminated from consideration.
21) PREVAILING RATE OF WAGES:
All wages paid by the Contractor and each subcontractor shall be in compliance with
The Prevailing Wage Act (820 ILCS 130), as amended, except where a prevailing wage
violates a federal law, order, or ruling, the rate conforming to the federal law, order, or
ruling shall govern. The Contractor shall be responsible to notify each subcontractor of
the wage rates set forth in this contract and any revisions thereto. If the Department of
Labor revises the wage rates, the revised rate as provided by the public body shall apply

to this contract and the Contractor will not be allowed additional compensation on
account of said revisions.
Contractor will comply with the Illinois prevailing wage law, as amended from time to time.
Not less than the prevailing rate of wages as found by Owner or the Illinois Department of
Labor shall be paid to all laborers, workers and mechanics performing work under the
Contract. If the Department of Labor revises the prevailing rate of wages to be paid
laborers, workers or mechanics under the Contract, Owner will notify Contractor and each
Subcontractor of the change in the prevailing rate of wages; provided, however, regardless
of whether Owner gives such notice, the revised prevailing rate of wages shall apply to the
Contract and Contractor shall have the sole responsibility and duty to pay, and ensure that
all Subcontractors pay, the revised prevailing rate of wages to each person to whom a
revised rate is applicable. Revision of the prevailing wages shall not result in an increase in
the Contract sum or other cost to Owner. Contractor shall indemnify, defend and hold
Owner harmless from any loss, including but not limited to Owner's attorneys fees, resulting
from Contractor's failure to comply with this prevailing wage clause. All bonds applicable to
the Contract shall include a provision as will guarantee the faithful performance of the
obligation to pay the prevailing rate of wages.
The Contractor and each subcontractor shall make and keep, for a period of not less
than 3 years, records of all laborers, mechanics, and other workers employed by them
on the project; the records shall include each worker's name, address, telephone
number when available, social security number, classification or classifications, the
hourly wages paid in each period, the number of hours worked each day, and the
starting and ending times of work each day. The Contractor and each subcontractor
shall submit monthly, in person, by mail, or electronically a certified payroll to the public
body in charge of the project. The certified payroll shall consist of a complete copy of the
records. The certified payroll shall be accompanied by a statement signed by the
contractor or subcontractor which states that:
(i) such records are true and accurate;
(ii) the hourly rate paid to each worker is not less than the general prevailing rate of
hourly wages required; and
(iii) the contractor or subcontractor is aware that filing a certified payroll that he or
she knows to be false is a Class B misdemeanor.
Upon 2 business days' notice, the contractor and each subcontractor shall make
available for inspection the records to the public body in charge of the project, its officers
and agents, and to the Director of Labor and his deputies and agents at all reasonable
hours at a location within this State. The Contractor and each subcontractor shall permit
his/her employees to be interviewed on the job, during working hours, by compliance
investigators of the Department or the Department of Labor.

Section 3. Review Process
A. Evaluation of Proposals and Selection
The proposals received will be evaluated by the Village on the basis of professional
qualifications, previous experience on similar projects, key personnel assigned to the project,
satisfaction of previous clients on work performed for them, current billing rates of the firm, and
the proposal that best meets the needs of the Village. This proposal is not intended to be
detailed; it is intended to be an expression of interest in providing services for the project, as
well as to provide background information on the firm and its professional qualifications. Firms
will be contacted during the evaluation if further information is needed. The Village may choose
to interview one or more firms before final selection is made.
This Request for Proposal does not commit the Village to award a contract, to pay any costs
incurred in the preparation of a proposal based on this request, or to procure or contract for
services. All proposals submitted in response to this Request for Proposal become the property
of the Village. The Village reserves the right to accept or reject any or all proposals received as
a result of this request, to negotiate with qualified consultants, or to cancel in part or in its
entirety the Request for Proposal, if it is in the best interest of the Village to do so. The Village
may require the consultant selected to participate in negotiations concerning contract price or
the nature and extent of services to be provided. The results of such negotiations shall be
incorporated into the final contract between the Village and its consultant.
B. Basis of Award
Village staff will perform an evaluation of the proposals received. Appropriate finalist(s) may be
interviewed by the Village, after which a selection will be made.
The Village reserves the right to reject any or all proposals and to waive any informality or
technical error and to accept any proposal deemed most favorable to the interests of the Village.
The Village will review proposals based on the following criteria:
1) Compliance with RFP. Adherence to all conditions and requirements of the RFP.
2) Understanding of the Project. The proposers understanding of the engagement, the
Village's objectives, and the nature and scope of the work involved.
3) Services to be Provided. The exact type and nature of the proposer's proposed services
and how they accomplish the objectives of the project.
4) Qualifications of the Proposer. The proposers capability in all respects to perform fully
all contract requirements, and the integrity and reliability which will assure good faith
performance. This criterion includes:
• The experience of the firm and its record on projects of a similar nature.
• Personnel to be assigned to the project, their education, qualifications, and
experience on similar projects.
• The availability of necessary personnel and other resources to successfully complete
the project specified herein on a timely basis.

5) Costs. Proposed contract price.
6) Ability, capacity and skill to fulfill the contract as specified.
7) Ability to supply the commodities; provide the services or complete the construction
promptly, or within the time specified, without delay or interference.
8) Character, integrity, reputation, judgment, experience and efficiency.
9) Quality of performance on previous contracts.
10) Previous and existing compliance with laws and ordinances relating to the contract.
11) Sufficiency of financial resources.
12) Quality, availability and adaptability of the commodities, services or construction, in

Scope:
Range Systems to furnish and install Range Systems EncapsulatorTl Gran Trap and Target
Holders and provide ballistic protection for the ceiling moving forward from the last row of
baffles for the Village of Oak Brook located in Oak Brook IL 60523.
Range Systems Components
Range Systems EncapsulatorT' Gran Trap:
Range Systems shall furnish and install one EncapsulatorTm Gran Trap approximately 20' LF in
length and 9' in height including integral hopper. Granulate to be at a uniform depth not less
than 18" perpendicular to bed. No gum rubber. One row of Dura-BIocTM installed at foot of trap
to retain granulates. Hopper has 3/8`" AR 500 steel with 2" Dura -Panel T"^ protective front plate.
Granulates are gravity fed on to bed. Additional one inch Dura-PanelTm installed above rear of
Hopper.
*EncapsulatorT"" Gran Trap is Range Systems Inc design see attachment.
Side Wall Protection:
Range Systems shall furnish and provide a set of 1/4" AR500 Armor plate sidewalls that cover
from the traps mouth depth out to the trap toe distance — at an approximate elevation of T-6".
The plating must be installed in vertical sections with the seams in an overlapped manner — so
no blunt edges face the shooters direction. Plates shall be painted.

Range Systems shall furnish and provide twelve (12) Y" x 24" x 90" AR500 Armor Wall plate
panels. Panels must be installed in a vertical manner — with edges slightly overlapped & away
from the shooters direction. No horizontal seams or butted edges are allowable. Plates shall be
factory painted. Panels will be mounted via mechanical fasteners and mastic material
Target Holders:
Range Systems shall furnish and install six (6) stationary overhead target holders with related
support cross -member attachment. Target holders are constructed as to protect clamping
devices.
Ballistic protection for the ceiling moving forward from the last row of baffles
Range Systems shall furnish and install mounting brackets and''/" AR500 steel with 2" Dura -
Panel TM to be boxed out approximately 3' along wall under existing conduit, sprinkler piping and
duct work and up approximately 10" to ceiling and approximately 11' forward of last row of baffle.
Safety Ceiling Support:
Range Systems shall provide support for existing safety ceiling.
Instruction on care and maintenance of trap system:
Range Systems shall provide instruction on care and maintenance of the trap system.

Company History
RANGE SYSTEMS is a veteran owned small business based in Minneapolis, MN.
RANGE SYSTEMS was founded in 1994 and since 1998 has been an important
supplier of Shooting Ranges and Live Fire Shoot house Training Facilities for both the
US and Foreign Armed Forces as well as Law Enforcement Agencies.
The company was created around a patented process for producing ballistically capable
rubber known by the trade names of Dura -Bloc TA9 and Dura -Panel TM. The company's
premier products include the EncapsulatorTM Military Grade Ballistic Wall System and
the Pro-TactsTm Ballistic Wall System. Each product has set the standard for safety and
sustainability and is specifically intended for use with military grade shoulder fired
weapons training at close quarters and law enforcement. Our Pro-Tacts TM Ballistic
Sidewall and Baffle System are designed for enclosing ranges while providing both
acoustical as well as ballistic protection. Pro-TactS TM forms the basis for our law
enforcement grade shoot house design and materials.
RANGE SYSTEMS has a history of being the innovation leader in the live -fire training
industry. RANGE SYSTEMS pioneered the use of the first rubber bullet encapsulation
system in shooting ranges and live -fire shoothouses. Most rubber shooting range
products available to day are based on products originally designed by RANGE
SYSTEMS.

US Federal Agencies and Law Enforcement, and will strive to further generate
innovations in the area of live -fire training facilities. RANGE SYSTEMS is a leading

Solutions offered by RANGE SYSTEMS include indoor/outdoor shooting ranges and
live -fire tactical shoothouses. Through In -Range, our catalog division introduced in
2004, RANGE SYSTEMS also offers a full assortment of supplies for firearms trainers
and range -masters including paper and steel targets, eye/ear protection and other
products used in shooting ranges. In 2005, we introduced the OutPost a state-of-the-art
mobile, firearms training product which represents a signification continuation in
RANGE SYSTEMS history of innovation. Once again in 2006, RANGE SYSTEMS is
showing its innovation and expertise in the live fire shoot house arena by introducing the
first truly deployable shoot house for the United States Army.

2013 Police Department Gun Range Modification Project

This Addendum #1 is meant as a supplement to the Proposal Package. This
Addendum should be added to your proposal for the 2013 Police Department Gun
Range Modification Project.
Questions concerning this Addendum #1 should be addressed to Rania Serences,

1. Working hours will be from 6:00 am to 5:00 pm. An extension of work hours
shall be granted with prior Police Department approval.
2. The proposer is responsible for providing ballistic protection for the ceiling
moving forward from the last row of baffles. Please include how this will be
achieved in your proposal.
