Preventative Maintenance Terms and Conditions
1. To accept the judgement of the Seller as to the best means and methods to be employed for any
corrective work necessary, because of his technical knowledge and experience in service and
repair matters.
2. That any alterations,additions, adjustments,or repairs made by others, unless authorized by
the Seller,will release and terminate all obligations of Seller.
3. That as part of this service agreement,the Seller shall not be required to furnish any items of
equipment which may be recommended or required by insurance companies,Government,
State, Municipal or other authorities, unless paid for by purchaser.
4. That the seller shall not be required to remove or replace or alter any part of the building
structure in the performance of this agreement or to make any correction in design and/or
engineering of the equipment or installation.
5. That the product or equipment listed in this agreement is being accepted with the
understanding that the equipment is in good operating condition.Should any repairs be
necessary upon start-up, or initial inspections,a charge will be made for these repairs,governed
by the prevailing labor and material rates.
6. The sellers work under this contract(unless specifically written herein)will not include: cabinets,
hardware or glass, ductwork, dampers, insulation, recording instruments,gauges,water supply,
drain and steam lines, beyond the apparatus valves,electrical lines,electrical equipment beyond
the apparatus main switch, moving or relocating the equipment, replacement of parts that are
obsolete, repairs due to freezing or from contaminated corrosive water, boiler tubes and boiler
sections or refractory,furnace heat exchangers combustion chambers,smoke stacks, chimney
and breeching, painting of equipment, or cleaning of coils, ducts, chimneys and flues,deliming
of water cooling towers and condensers unless noted in the inclusions.
7. The Purchaser will assume responsibility and pay extra for all service and material required due
to electrical power failure, low voltage, burned out main or branch fuses, low water pressure,
contamination, accident,freezing,flooding,willful damage, neglect,fire,theft and clogged
filters.
8. The Seller shall not be liable for any losses or damages as a result of interruption in use of
equipment or due to labor disturbances,freeze-up,fire, rust, or corrosion, commercial delays,
spoilage,flooding, loss of business, war conditions, and/or Acts of God or circumstances beyond
his control, and it is expressly agreed that the Seller assume no liability for negligence,or failure
whatsoever,that to perform the services herein set forth and, in no event, is the Seller's liability
for negligence or failure whatsoever,to exceed the amount of the service charge for one
monthly period.
9. Seller reserves the right to price revisions on the labor portion of this agreement which are a
direct result of union increases during the term of this agreement.
10. Either party may terminate this agreement by giving 30 days written notice.This agreement
shall continue on for a further per year and thereafter from year to year unless terminated as
herein provided.Annual renewals to be invoiced by Seller.
11. All labor performed other than Monday thru Friday between the hours of 8:00 AM and 4:30 PM
will be invoiced to the purchaser as an additional charge at a rate of 1-1/2 times the regular
labor price.
This proposal is valid for thirty(30)calendar days from the above date.
Patching, Painting, Permits, and Asbestos removal not included. Any changes from the above estimate
are not included in this proposal.

Additional Provisions and Conditions
1. Contract maintenance pricing shall be guaranteed for 2 years.After 2 years,a yearly price
increase at a rate of up to 5%shall take effect if necessary. Customer review and approval will
be necessary before final pricing shall take effect.
2. Village of Oak Brook shall be responsible for supplying all filters.
3. Standard fiberglass filters shall be replaced 4 times per year. High efficiency filters shall be
replaced once per year.All filters will be provided by customer.
4. Service labor rate shall be charged at a rate of$138.00 per hour plus a $70.00 per day truck
charge.Overtime labor rate shall be charged at a rate of$210.00 per hour.
5. The Village of Oak Brook will attempt to supply parts needed for service-related issues.
6. Parts supplied by Dahme Mechanical Industries(DMI) will be marked up per the following rates:
Up to $500.00; mark-up rate of 2.0
$500.00 to$1,000.00; mark-up rate of 1.75
$1,000.00 to$2,500.00; mark-up rate of 1.5
$2,500.00 and up; mark-up rate of 1.4
7. Preventative maintenance shall be performed on the following lists of equipment attached in
the appendix of this contract.
8. Service tasks to be performed shall be listed in the attached appendix of this contract.
9. Any services or pieces of equipment not listed in this contract, DMI will provide a separate
quote for maintenance and service queries for customer review and approval.
10. DMI will provide priority service to Village of Oak Brook as well as in the event of emergency
service calls within 4 hours from placing call or provide next-day service if possible.
11. Contract to commence October 1,2020.
