SUBJECT: Sole Source Purchase of Body Worn Camera(BWC) System from
Watch Guard Video, Inc.

RECOMMENDED MOTION: I move to approve Resolution 2020-PD-PG-R-1905 to
waive competitive bidding and purchase twenty (20) Body worn camera systems,
accompanied licensing, necessary accessory items, four year no fault warranty and server
with appropriate storage capacity from WatchGuard Video, Subsidiary of Motorola, 415
E. Exchange Parkway, Allen, TX 75002 in the amount of$44,690.
Back2round/History:
The Police Department has successfully deployed the WatchGuard in car mobile video
recording systems for the last two years. The systems have operated well with very
minimal maintenance or performance issues. The Department has recognized the need in
today's climate of transparency and accountability to outfit police officers with the latest
technology to include body worn cameras. It is becoming a necessity to outfit officers
engaged in police activities with these systems to further assist with criminal prosecutions,
protect officers from erroneous complaints, and aid in the potential internal investigation
of employees. There is also a growing desire by the public and the General Assembly to
require BWC's on all police officers in the State of Illinois.
There is $40,512 currently in the DUI Tech Fund that is not part of the General Fund that
must be utilized for law enforcement purposes. We would also request $4,648 from the
Police Department General Equipment line for a total cost of$45,160. However we have

been awarded a $10,000 grant from IRMA for the purchase of BWC equipment bringing
the net cost to $35,160 and no impact to the General Fund.
IRMA is encouraging the purchasing of BWC's by its members and has pledged$100,000
for 2020 and 2021 to assist members with procurement. They believe the addition of
BWC's by police department will significantly reduce risk and more than pay for
themselves should a significant critical incident occur.
Recommendation:
Staff requests the Village Board approve Resolution R-1905, sole source purchase
agreement with WatchGuard Video. Besides receiving a credit towards this purchase from
the manufacturer because of our mobile video purchase, it provides for the efficient
retrieval and archive of video files utilizing the same system and redaction software. Part
of our due diligence and recommendation of the MVR system in 2018 was with the
anticipation of coming forward to the Board with the BWC purchase in the future. As we
explored other systems, the WatchGuard system was the only one that allowed for a cost
effective in-house storage solution rather than a much more expensive cloud based storage
solution. The Department has worked with IT to insure the specifications were appropriate
and that they are well equipped to support the system.

A RESOLUTION
APROVING AND AUTHORIZING
THE EXECUTION OF AN AGREEMENT
BY AND BETWEEN
THE VILLAGE OF OAK BROOK AND
WATCH GUARD VIDEO,INC.
WHEREAS,the Village of Oak Brook is a municipal corporation with authority provided for
and granted pursuant to the Illinois Municipal Code to exercise certain powers and perform certain
functions pertaining to its local government and affairs;
WHEREAS,the Village of Oak Brook(hereinafter referred to as"Village")upon approval
of the corporate authorities may enter into an Agreement with another party pursuant to Illinois
Statute;
WHEREAS, Watch Guard Video, Inc. (hereinafter referred to as "Company") is in the
business of providing certain video and surveillance systems to is its various clients;
WHEREAS, the Village of Oak Police Department has previously contracted with
Company for the purpose of the deployment of mobile video recording systems in its police
vehicles and the systems have have operated extremely well with very minimal maintenance or
performance issues;
WHEREAS, the Village recognizes the need in today's climate of transparency and
accountability and as a result of which understand the necessity to outfit police officers with the
latest technology to include body worn cameras;
WHEREAS,it is the opinion of the Corporate Authorities of the Village Oak Brook that it It
is becoming a necessity to outfit officers engaged in police activities with various video system in
order to assist with criminal prosecutions,protect officers from erroneous complaints;
WHEREAS,due to the overwhelming success of the mobile WatchGuard video system
the Village desires to contract with Company in order to provide its officers with body worn camera
systems;and
WHEREAS,the Village of Oak Brook Corporate Authorities are of the opinion that it is in
the best interests of the Village of Oak Brook to enter into the attached agreement with the Watch
Guard Video,Inc.for the purposes referenced herein.
NOW,THEREFORE,BE IT RESOLVED by the Village President and Board of Trustees
of the Village of Oak Brook,DuPage and Cook Counties,Illinois as follows:
Section One—Recitals
The Corporate Authorities hereby find that all of the recitals hereinbefore stated as
contained in the preamble to this resolution are full,true and correct and do hereby,by reference,
incorporate and make them part of this resolution as legislative findings.

Section Two—Approval of Agreement
The Village hereby approves the Agreement substantially in the form attached hereto and
made a part hereof collectively as Exhibit A.
Section Three—Authorization and Direction
The Village President is hereby authorized to execute, and the Village Clerk is hereby
authorized to attest the Agreement,substantially in the form of such agreement attached hereto
as Exhibit A,with such changes therein as shall be approved by the Village Attorney and the
officials of the Village executing the same,their execution thereof to constitute exclusive evidence
of their approval to any and all changes or revisions therein from and after the execution and
delivery of such Agreement.
Section Four-Other Actions Authorized
The officers,employees and/or agents of the Village shall take all actions necessary or
reasonably required to carry out and give effect to the intent of this resolution and otherwise to
consummate the transactions contemplated herein, and shall take all actions necessary in
conformity therewith including, without limitation, the execution and delivery of all documents
required to be delivered in connection with the transaction contemplated herein.
Section Five-Authorization of Expenditures
The Corporate Authorities hereby authorize and direct the expenditure of all costs related
to the execution of the Agreement,additionally,the Village is authorized and directed to allocate
and spend all necessary funds to fulfill the requirements of the Agreement and of this Resolution.
Section Six—Waiver of Bidding Process
To the extent that any requirement of bidding would be applicable to the transactions
contemplated hereunder,the same is hereby waived.
Section Seven-Acts of Village Officials
That all past,present and future acts and doings of the officials of the Village that are in
conformity with the purpose and intent of this resolution are hereby, in all respects, ratified,
approved,authorized and confirmed.
Section Eight—Effective Date
This resolution shall be in full force and effect from and after its passage, approval and
publication as provided by law.
Section Nine-Publication
This resolution shall be published in book or pamphlet form as provided by the Illinois
Municipal Code.

Section Ten—Conflict Clause
All resolutions,parts of resolutions or board actions in conflict herewith are hereby repealed
to the extent of such conflict.
Section Eleven—Saving Clause
If any section,paragraph,clause or provision of this resolution is declared by a court of
law to be invalid or unconstitutional,the invalidity or unconstitutionality thereof shall not affect the
validity of any other provisions of this resolution,which are hereby declared to be separable.
Section Twelve—Recording
This resolution shall be entered into the minutes and upon the journals of the Board of
Trustees of the Village of Oak Brook.
