RESOLUTION 2014-B&T-STAIRS-CNTRCT-R-1350 A RESOLUTION APPROVING THE AWARD OF A CONTRACT FOR THE REPLACEMENT OF THE EXTERIOR STAIRS AT THE OAK BROOK BATH &TENNIS CLUB WHEREAS, exterior stairs at the Oak Brook Bath & Tennis Club ("Stairs") are in need of replacement; and WHEREAS, on March 4, 2014, the Village sought bids for the replacement of the Stairs; and WHEREAS, the Village received two bids to replace the Stairs; and WHEREAS, Best Quality Builder & Developer of Villa Park, Illinois ("Best Quality"), was the lowest responsive and responsible bidder to replace the Stairs; and WHEREAS, the President and Board of Trustees, being fully advised in the premises, have determined that it is in the best interests of the Village and its residents to enter into a Contract with Best Quality; NOW THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE VILLAGE OF OAK BROOK, DU PAGE AND COOK COUNTIES, ILLINOIS as follows: Section 1: Recitals. The foregoing recitals are hereby incorporated into, and made a part of, this Resolution as the findings of the President and Board of Trustees of the Village of Oak Brook. Section 2: Approval of the Agreement. The President and Board of Trustees hereby approve an agreement by and between the Village and Best Quality for Best Quality to replace the Stairs in an amount not to exceed $37,500.00 ("Agreement") in a final form approved by the Village Manager. Section 3: Execution of Agreement. The Village President and the Village Clerk shall be, and are hereby, authorized to execute and attest, on behalf of the Village, the Agreement authorized pursuant to Section 2 of this Resolution. Section 4: Effective Date. This Resolution shall be in full force and effect from and after its passage and approval in the manner provided by law. At this time the Bids will be publicly opened and read. A Performance and Payment Bond in the full amount of the contract will be required. A Bid Security of 10% of the Bid is required with the proposal. The Contractor must pay the Prevailing Wage Rates for all work per Illinois Law. A complete bid package, of which this notice is a part, is on file for inspection and may be downloaded from the Village's website www.oak-brook.ora or picked up at the Butler Government Center, 1200 Oak Brook Road, Oak Brook, Illinois 60523, between the hours of 8:00 A.M. and 4:30 P.M. Monday through Friday. There is no charge for the package. INSTRUCTIONS TO BIDDERS The work is to be performed at: Oak Brook Bath&Tennis Club 800 Oak Brook Road Oak Brook,Illinois 60523 The Owner is: Village of Oak Brook 1200 Oak Brook Road Oak Brook,Illinois 60523 2. SCOPE Removal and replacement of an exterior concrete stair including but not limited to the following: - Demolition of existing stair,railings,concrete walks,fencing,and plantings as shown. -Construction of new foundation/retaining walls. -New concrete stair and railings as shown. -New wood enclosure fence and gate around perimeter of stair to match existing configuration. Prime and paint to match. -Replace concrete walks as shown and provide new ornamental railings to match existing. -Provide earthwork and grading.Plantings and sod as shown will be performed by owner. All work shall be under one Prime or General Contractor. All work including but not limited to demolition,architectural,masonry,structural,mechanical and electrical work is a part of the General Contractor's responsibility. All costs for working overtime,holidays,double shifts,weekends,etc.or any materials needed to meet the project time line shall be include in the base bid. The Owner will not pay for any premiums on wages. The Contractor is notified that Allowances are included in this project. See Specification Section 01020-Allowances. ARGON 11073 PrB-4 INSTRUCTIONS TO BIDDBRS 3. GENERAL The Contractor shall supply all labor,transportation,apparatus,scaffolding,and any tools necessary for the completion of the work,maintain and remove temporary equipment, and construct in excellent and workmanlike manner the complete work and everything properly incidental thereto as stated in the contract documents or reasonably implied therefrom. It is not the intent of the contract documents to set forth in detail every item necessary for the construction of this project. Contractor must be qualified for this work and must,without direction,furnish and install everything necessary to provide construction complete and in acceptable order ready for use without additional work. All parts must be coordinated,complete,ready to operate and delivered to the Owner in new condition. Each Contractor shall coordinate his work with any and all other trades and Contractors on the site. His work shall be performed in a timely fashion to meet the project time schedule for all work. 4. CONTRACTOR REQUIREMENTS All interested Bidders shall meet the following requirements in order to bid this project: Contractor shall have five(5)years of experience which is comparable in type and scope to this project. Work hours are 7:00 A.M.to 3:30 P.M.Monday through Friday. Any deviation is subject to the approval of the Village representative. The project will be done on consecutive work days until completed,delays only to inclement weather. Contractor is required to obtain all necessary permits from the Village of Oak Brook,and schedule required inspections through Community Development. All fees for Village permits will be ARCON 11073 TTB-5 INSTRUCTIONS TO BIDDERS waived. The Contractor shall supply to the Village,phone numbers where he/she can be reached after normal working hours. The Contractor must submit with the bid proposal five(5)references,names and phone numbers of similar projects completed within the last two(2)years. The Contractor must submit all manufacturers' literature on all materials that will be used on this project,including M.S.D.S.(Material Safety Data Sheets)prior to any work beginning. A storage location for supplies,ladders and scaffolding shall be mutually agreed upon between the Village and the Contractor before any material is stored on site. Deliver material with manufacturers labels intact and legible,store material on raised platforms and cover material with protective covering. Before work is started,deliver to the job site sufficient material to complete the project. If a dumpster is required,the location of the dumpster placement shall be mutually agreed upon between the Village and the Contractor. All ladders and scaffolding shall be maintained during the course of this project and shall be secured at the end of each workday. Provide barricades to ensure that falling debris will not injure anyone,and to prevent public access to the work area at all times. Yellow"CAUTION"tape will be placed below the immediate work areas of laborers and scaffolds to warn the public of men working overhead. At all times the work and storage areas shall be kept in clean,orderly,and a picked up manner,to prevent debris from blowing. Clean adjoining sheets and immediate vicinity at the end of each work day. Sidewalks,windowsills,roofs and other work areas will be broom swept to remove all debris. Daily material and debris not placed into dumpster will be removed from the site. Upon completion of the project the work area shall be cleaned. All debris and remaining material and supplies shall be removed from the jobsite,including the dumpster within 72 hours of completion. Upon completion the Contractor shall supply a one year warranty covering material and workmanship;contractor shall submit sample warranty with bid. Minimum bonding capacity by Contractor-$1,000,000. The bonding company must be licensed in the State of Illinois. Contactors bidding the work shall have their own place of business,equipment, staff,manpower, etc.,required for the type of work they are licensed to perform. Contractors bidding the work shall provide the necessary financial information to Owner when requested, including,but not limited to,the financial statements for the three previous years of the ARCON 11073 rM-6 INSTRUCTIONS TO BIDDERS apparent successful contractor which shall be submitted to Owner. The financial statements shall have been prepared and certified by a C.P.A. Contractors bidding the work shall be able to meet the necessary insurance limits required by Contract Documents. The insurance company shall be acceptable to Owner. (See Supplementary General Conditions for insurance.) The successful Contractor shall submit to the Owner a list of his subcontractors not listed on his bid form for review and approval by the Owner within three days after being notified that his bid has been accepted. Bidders must be pre-qualified with the Owner prior to the Pre-bid Conference,or in the absence thereof,prior to submission of the Bid. Pre-qualification shall be presented on AIA Document A305-1986. 7. PROPOSAL(BID)INSTRUCTIONS 7.1 GENERAL A Bid, (and one additional copy)as listed below,shall be received for this work only in a sealed opaque envelope bearing the following inscription: EXTERIOR STAIR REPLACEMENT AT OAK BROOK BATH&TENNIS CLUB VILLAGE OF OAK BROOK ATTN: RANIA SERENCES bearing the name of the bidder also. All bids will be firm for a period of ninety days from the date of the Bid Opening. The bid must be delivered to the office of the Senior Purchasing Assistant,Village of Oak Brook, 1200 Oak Brook Road,Oak Brook,IL 60523 on or before Tuesday,March 18,2014 @ 11:00 A.M.,at which time it will be publicly opened and read in the S.E.Dean Board Room of the Village Hall. Bids received after this time will not be considered and will be returned unopened. The bid shall be submitted on the exact form furnished. All blank spaces for bid price, unit cost and alternates must be filled in,in ink, in both words and figures(as stipulated). In case of any discrepancy in the amount proposed,the prices expressed in written words shall govern. The Contract and Contract Bond(Performance and Payment)are provided as information,and will be completed only upon acceptance of the bid by-the Village. The surety company issuing the Contract Bond must be listed and approved by the U.S.Department of Treasure. Letters of Credit will not be accepted in place of the Contract Bond. In submitting this bid,the Contractor further declares that the only person or party interested in the bid as principals are those named herein,and that the bid is made without collusion with any other person,firm or corporation. ARCON 11073 TTB-7 INSTRUCTIONS TO BIDDERS The Contractor further declares that he has carefully examined this entire Bid Package and he has inspected in detail the site of the proposed work,and that he has familiarized himself with all of the local conditions affecting the contract and the detailed requirements of this work and understands that in making the bid he waives all rights to plead a misunderstanding regarding same. The Contractor further understands and agrees that if his bid is accepted,he is to furnish and provide all necessary machinery,tools,apparatus,and other means to do all of the work and to furnish all of the materials specified in the contract,except such materials as are to be furnished by the Owner(Village), in the manner and at the time therein prescribed,and in accordance with the requirements therein set forth. The Contractor declares further declares that he understands that the quantities listed on the Bid are approximate only and that they are subject to increase or decrease;and that he will take in full payment thereof the amount and the summation of the actual quantities,as fully determined by the Village. The Contractor further agrees that the price submitted within the bid is for the purpose of obtaining a gross sum,and for use in computing the value of extras and deductions. If there is a discrepancy between the gross sum bid and that resulting from the summations of the quantities multiplied by the unit price,the latter shall apply. The Contractor further agrees that if the Village decides to extend or shorten the work,or otherwise alter it by extras or deductions,including elimination of one or more of the items,as provided in the specifications, be will perform the work as altered,increased or decreased,at the contract unit price. The Contractor further agrees that the Village representative may at any time during the progress of the work covered by this Contract, order other work or materials incidental thereto and that all such work and materials as do not appear in the bid or contract as a specific item covered by a lump sum price, and which are not included under the bid price for other items in the Contract, shall be performed as extra work,and compensation shall be as set forth in the specifications. The contractor further agrees to execute all documents within this Bid Package,obtain a Certificate of Insurance for this work and present all of these documents within fifteen(15)days after the receipt of the Notice of Award and the Contract by him. The Contractor further agrees that he and his surety will execute and present within fifteen(15)days after the receipt of the Notice of Award and the Contract, a Contract bond satisfactory to and in the form prescribed by the Village, in the penal amount of 100%of the Contract amount,guaranteeing the faithful performance of the work and payment for labor,material supplies,and subcontractors in accordance with the terms of the Contract. The Contractor further agrees to begin work not later than ten(10)days after receipt of the Notice to Proceed,unless otherwise provided,and to execute the work in such a manner and with sufficient materials, equipment and labor as will insure its completion within the time limit specified within the Bid, it being understood and agreed that the completion within the time limit is an essential part of the contract. By submitting a Bid,the Contractor understands and agrees that,if his bid is accepted,and he fails to enter into a contract forthwith,he shall be liable to the Village for any damages the Village may thereby suffer. ARGON 11073 rrB-8 INSTRUCTIONS TO BIDDERS No bid will be considered unless the part offering it shall furnish evidence satisfactory to the Village that he has necessary facilities,ability and pecuniary resources to fulfill the conditions of the Contract. If the Contractor is in doubt as to the true meaning of any part of the plans,specifications or other proposed contract documents,he may submit to the Public Works Director a written request for an interpretation thereof. The person submitting the request will be responsible for its prompt delivery. Any interpretation of the documents will be made only by addendum duly issued by the Village. The Village will not be responsible for any other explanation or interpretation of the Bid Package. No oral,telephonic,telegraphic or facsimile proposal will be considered. Proposals shall be signed by the bidder, giving his full name and business address,and stating whether an individual,partnership or corporation. Erasures or other changes on the Bid Form will be noted by the signature of the bidder. All overtime or extra costs for working within the specified time limitations must be included in the proposal. The Owner will not pay for any premiums on wages. Prices quoted shall include all charges for packing,transportation,and delivery to the project location. The signing of these Bid Forms shall be construed as acceptance of all provisions contained herein. All proposals shall be submitted with each space properly completed. The special attention of bidders is directed to the policy that no claim for relief because of errors or omissions in the bidding will be considered,and bidders will be held strictly to the proposals as submitted. Should a bidder find any discrepancies in, or omissions fi•om, any of the documents,or be in doubt as to their meanings,he shall advise the Owner,who will issue the necessary clarifications to all prospective bidders by means of Addenda. 7.2 INTERPRETATION OF CONTRACT DOCUMENTS PRELB11NARY TO THE SUBMISSION OF BIDS If any person contemplating submitting a bid for the proposed contract is in doubt as to the true meaning of any part of the plans, specifications or other bidding documents,he may submit to the Owner a written request for an interpretation thereof. The person submitting the request will be responsible for its prompt delivery. Any interpretation of the proposed documents will be made only by an Addendum duly issued,and a copy of such Addendum will be mailed,telephoned or delivered to each person issued a set of such contract documents by the Architect or Owner and to such other prospective bidders as have requested that they be furnished with a copy of each Addendum. The Owner is not responsible if a bidder has not received an Addendum. It is the responsibility of each bidder to keep himself informed of current bidding information. When the Owner issues addenda it is the Bidder's responsibility to copy and insert them into the Bid Documents be has obtained from the Owner. 7.3 BASIS OF AWARD The Village of Oak Brook reserves the right to reject any or all bids and to waive any informality or ARGON 11073 ITB-4 INSTRUCITONS TO BIDDERS technical error and to accept any bid deemed most favorable to the interests of the Village of Oak Brook. In addition to price,the Village will consider: A. Ability, capacity and skill to fulfill the contract as specified. B. Ability to supply the commodities,provide the services or complete the construction promptly,or within the time specified,without delay or interference. C. Character, integrity,reputation,judgment,experience and efficiency. D. Quality of performance on previous contracts. E. Previous and existing compliance with laws and ordinances relating to the contract. F. Sufficiency of financial resources. G. Quality,availability and adaptability of the commodities,services or construction,in relation to the Village's requirements. H. Ability to provide future maintenance and service under the contract. 1. Number and scope of conditions attached to the bid/proposal. J. Record of payments for taxes,licenses or other monies due the Village. 7.4 EXCEPTIONS Any deviation,clarification or exception to these bid documents could be cause for rejection of your bid. Under the State Bidding Laws,exceptions to the bid could be cause for disqualification of the bidder. 7.5 BID SECURITY Bids shall be accompanied by a Bid Security as noted in the Advertisement for Bids. Such Bid Security shall be in the form of a certified check or Bid Bond in the amount of 10%of the Proposal. All checks and Bonds shall be made in favor of the Owner. Failure to submit the proper form and amount of Bid Security may result in rejection of the bid. Bid Bonds must be issued by the same company that provides the subsequent Performance and Payment Bonds. The bidder agrees that the proceeds of the Bid Security will become the property of the Owner if for any reason the bidder withdraws his bid prior to the time period noted in the Bid Form. The defaulting bidder shall pay the Owner all costs which exceed the amount of his bid for procuring the performance for the work required by the bidding documents. Such costs include,but are not limited to,additional advertising and architectural and engineering services. 7.6 CONFIRMATION OF ADDENDA It is the responsibility of each Conti-actor to determine if any Addenda have been issued by contacting Rania Serences, Senior Purchasing Assistant, 630-368-5164. ARCON 11073 ITB-10 INSTRUCTIONS TO BIDDERS 7.7 BIDDER'S RESPONSIBILITY FOR CONDITIONS OF WORK AT SITE Each bidder shall inform himself of the conditions under which the work is to be performed,the site of the work,the obstacles which may be encountered and all other relevant matters concerning the work to be performed;also,the bidder,if awarded the contract,shall not be allowed any extra compensation by reason of any matter or thing concerning which such bidder might have fully informed himself prior to the bidding. 8. TIME SCHEDULE The Contractor is required to perform his work within the following schedule. By submitting a bid,the Contractor guarantees he can meet this schedule: Bids Due: March 18,2014 Board Approval: March 25,2014 Start Date: April 14,2014 Substantial Completion: May 1,2014 Final Completion: May 15,2014 (including any restoration and punch list items complete to the satisfaction of the Owner) 9. PRE-BID MEETING There will be a Pre-Bid Meeting for all contractors,as follows. Attendance at this meeting is mandatory. Date: Wednesday, March 12, 2014 Time: 10:00 A.M. Location: Oak Brook Bath &Tennis Club 800 Oak Brook Road Oak Brook,Illinois 60523 10. GUARANTEE Contractor will guarantee all work for a period of twelve(12)months against faulty material and/or workmanship. Consequently,the Contractor's Contract Bond will extend to the twelve(12)months past the date of final acceptance of the entire work by the President and Board of Trustees of the Village. If any defect appears within the twelve(12)month guarantee period,the contractor will repair any and all such defects solely at his cost and at no cost to the Village. 11. STATUTORY REQUIREMENTS All applicable Federal and State laws,and the rules and regulations of all authorities having jurisdiction over construction of the project, shall apply to the contract throughout,and they will be deemed to be ARCON 11073 1TB-11 INSTRUCTIONS TO BIDDERS included in the contract the same as though written therein in full. This includes all current regulations with respect to paying the prevailing wage which shall be incorporated into this project. Purchases of building materials for incorporation into this project are exempt from the Illinois Retailer's Occupation Tax and Use Tax(Sales Tax). The bidder shall exclude such taxes from consideration in preparing his bid. 12. NOTICE OF AWARD The contract shall be deemed as having been awarded when formal notice of award shall have been duly served upon the intended awardee by some officer or agent of the Owner authorized to give such notice. Such notice shall be in writing. 13. POST AWARD REQUIREMENTS Within ten (10)days after receiving the contract for signature,the Contractor must furnish: Executed Owner-Contractor Agreement(AIA Document A101) Performance Bond Payment Bond Certificate of Insurance A statement of costs for each major item of work or supplier. This statement shall note what work shall be performed by the Contractor and what shall be perfonned by his subcontractors. 13.1 COMMENCEMENT OF THE WORK The Contractor shall purchase and accept delivery thereon of all materials needed to complete his work. The actual work shall be started as noted in the Project Schedule. This work shall be carried on continuously to completion at the earliest possible date thereafter within the limits of the schedule. If weather does not permit the actual construction to commence,or during construction if weather interferes with the process,the Contractor shall work on every day that conditions are reasonably acceptable to do so. 13.2 COORDINATION,PROJECT SUPERVISION AND SAFETY The prime or general contractor is solely responsible for supervising,monitoring and maintaining a safe working environment for all workers and visitors. Each Contractor and Subcontractor must coordinate his work with all trades. He must cooperate to permit interfacing of systems. The project must be managed and supervised by a competent individual at all times from the contracting company. He must develop a schedule conforming to time limitations noted in these specifications. It is understood that this is a complex construction project and the General Contractor is responsible for providing a superintendent who will verify,both existing and new,conditions to make sure that the work described in the drawings will fit. This superintendent shall review all the drawings and become familiar with them, so that work described on one drawing will be compatible with work shown on another. He shall review shop drawings and verify dimensions so that all new work will be compatible with the ARCON 11073 1TB-12 INSTRUCTIONS TO BIDDERS conditions,dimensions,and elevations. The contractor shall provide all required investigators,survey,or inspections before demolition of any systems or sections of the building required by any regulatory agency. 13.3 PAYMENT The Village of Oak Brook authorizes the payment of invoices on the second and fourth Tuesday of the month. For consideration on one of these dates, payment request must be received no later than fourteen (14) days prior to the second or fourth Tuesday of the month, 13.4 PERFORMANCE AND PAYMENT BONDS Within ten(10)days of the date of the Notice of Award,the successful Contractor shall enter into a formal contract with the Owner and shall provide a Performance Bond and a Payment Bond,each in the full amount of the contract. The bonds shall be in accordance with AIA Documents A312. The Contractor shall pay the cost of premiums for said bonds. The bonds shall be signed and sealed by an authorized representative of the bonding company and an authorized officer or representative of the Contractor,and a certificate of the authority of those signing the bonds, if not officers,shall be attached thereto. The Performance Bond and the Payment Bond shall guarantee the performance of the duties placed on the Contractor by the prevailing Wage Act,as well as all other duties undertaken by him pursuant to the contract with the Owner,and shall indemnify the Owner from any liability or loss resulting to the Owner from any failure of the Contractor fully to perform each or all of said duties. The Performance Bond and the Payment Bond shall be deemed to cover all such duties. The Performance Bond and the Payment Bond herein provided shall be placed with a surety company or companies having a policyholders'rating not lower than "A"and a financial rating not lower than"X" in Best's Insurance Guide(current edition). Company must be licensed in the State of Illinois and shall show evidence of same. Contractor shall furnish Owner with payment and performance bonds covering Contractor's faithful performance of all obligations under the Contract Documents and the payment of all of Contractor's obligations arising out of the Contract Documents. The Contractor shall fully comply with the Illinois Public Construction Bond Act(30 ILCS 550 10.01 et seq.)and include the provisions as found in section 30 ILCS 550/1.,entitled,Bond Required-Provisions required in bond as amended by P.A. 89-518, section 3, effective January 1, 1997. ARCON 11073 ITB-13 INSTRUCTIONS TO BIDDERS 13.5 PROTECTIVE PRECAUTIONS The Contractor, upon receiving contract acceptance or letter of intent, shall be able to proceed with work immediately after the published start date, subject to the following conditions. a) Submit,discuss and obtain approval of the proposed schedule of work from the Owner and the Architect. b) Every precaution must be taken to prevent any damage, loss or injury to any person,or to any property of the Owner. Any other agency or department appropriate or responsible for a specific service. d) The same notification shall be provided by the Contractor,if any of the other utilities will be temporarily inoperative. e) It is mandatory that the fire lanes be kept free of any obstructions at all times,unless otherwise authorized by the Owner and the Fire Department. f) Parking for construction workers will be in areas as discussed with and designated by Owner,and must be strictly adhered to. g) All fire alarm,security alarm,and any other type of protection system MUST BE operable at all times when the buildings are occupied or could be occupied. If one of the systems is down,the fire department,Owner,etc.,must be notified. The Contractor is responsible for monitoring and maintaining these systems in an operable and safe condition at all times. 13.6 PERFORMANCE The Contractor maybe required to attend meetings with the Owner to report on construction progress. The Owner shall request attendance, and failure to attend will be reason to delay payment request. 14. OWNER/CONTRACTOR INCLUSION The following shall be included and a part of the Owner/Contractor Agreement for this project. The Contractor is solely responsible for the safety of all workers on this project. FAILURE OF CONTRACTOR TO ADEQUATELY MANAGE HIS PROJECT TO A TIMELY COMPLETION The Contractor agrees,by submitting a bid,that he accepts responsibility to pay the Owner for his services at$175.00 per hour for the Owner's tune spent before or after the required completion date. This is for time required by the Owner to expedite the Contractor's efforts because he is not completing in an orderly and timely manner. Payment for architectural services of preparing a single punch list and final walk-through are not the responsibility of the Contractor. The Contractor agrees,by submitting a bid that the Owner has the right to deduct from the Contractor's payment for the additional time of the Architect. 16. LIQUIDATED DAMAGES PROVISIONS There are no liquidated damages for this project. 17. NO ASBESTOS PRODUCTS IN THIS-PROJECT No forms or types of asbestos or asbestos-containing products are permitted in this building project. By submitting a proposal and constructing this project,the prime contractors and subcontractors, supplies, etc. guarantee that no asbestos-containing products are being included. 18. PUBLIC CONTRACTORS-WRITTEN SEXUAL HARASSMENT POLICY Public Act 87-1257,effective July 1, 1993,amends the Illinois Human Rights Act(Section 2-105)by requiring that every party to a public contract and every eligible bidder shall have a written sexual harassment policy that shall include,at a minimum,the following information. Contractor will not, and will take all necessary steps to prevent its Subcontractors from using Owner's tax exempt status to reduce costs on any work other than the Project. 21. INSURANCE Certificates of Insurance shall be presented to the Village within fifteen(15)days after the receipt by the Contractor of the Notice of Award and the unexecuted contract, it being understood and agreed that the ARGON 11073 ITB-16 INSTRUCTIONS TO BIDDERS Village will not approve and execute the contract until acceptable insurance certificates are received and approved by the Village. Each Contractor performing any work pursuant to a contract with the Village of Oak Brook and each permittee working under a permit as required pursuant to the provisions of Title i of Chapter 8 of the Code of Ordinances of the Village of Oak Brook(hereinafter referred to as"Insured") shall be required to carry such insurance as specified herein. Such contractor and permittee shall procure and maintain for the duration of the contract or pen-nit insurance against claims for injuries to persons or damages to property which may arise fi•om or in connection with the performance of the work under the contract or permit,either by the contractor,permittee,or their agents,representatives,employees or subcontractors. At the option of the Village, either the insurer shall reduce or eliminate such deductible or self-insured retention as respects the Village, its officers,officials,employees and volunteers; or the insured shall procure a bond guaranteeing payment of losses and related investigations,claim administration and defense expenses to the extent of such deductible or self-insured retention. The policies shall contain,or be endorsed to contain,the following provisions: D. General Liability and Automobile Liability Coverage 1. The Village,its officers,officials,employees and volunteers are to be covered as additional insureds as respects: liability arising out of activities performed by or on behalf of the Insured;premises owned,occupied or used by the Insured. The coverage shall contain no special limitations on the scope of protection afforded to the Village, its officers,officials, employees,volunteers,or agents. 2. The Insured's insurance coverage shall be primary insurance as respects the Village, its officers,officials,employees,volunteers and agents. Any insurance or self-insurance maintained by the Village,its officers,officials,employees,volunteers or agents shall be in excess of the Insured's insurance and shall not contribute with it, 3. Any failure to comply with reporting provisions of the policies shall not affect coverage provided to the Village, its officers,officials,employees,volunteers or agents. 4. The Insured's insurance shall apply separately to each covered party against whom claim is made or suite is brought except with respect to the limits of the insurer's liability. ARCON 11073 FM-17 INSTRUCTIONS TO BIDDERS E. Worker's Compensation and Employer's Liability Coverage The policy shall waive all rights of subrogation against the Village, its officers,officials, employees,volunteers and agents for losses arising from work performed by the insured for the Village. Each insurance policy shall be endorsed to state that coverage shall not be suspended,voided,canceled by either party,reduced in coverage or in limits except after thirty(30)days prior written notice by certified mail has been given by the Village. Each insurance policy shall name the Village,its officers,officials and employees,volunteers and agents as additional Insureds. Insurance is to be placed with insurers with a Best's rating of no less than A:VII. Each Insured shall furnish the Village with certificates of insurance and with original endorsements effecting coverage required by this provision. The certificates and endorsements are to be on forms approved by the Village and shall be subject to approval by the Village Attorney before work commences. The Village reserves the right to require complete,certified copies of all required insurance policies,at any time. Each insured shall include all subcontractors as insureds under its policies or shall furnish separate certificates and endorsements for each subcontractor. All coverages for subcontractors shall be subject to all of the requirements stated herein. 22. SAFETY The Contractor and any subcontractors shall comply with all the provisions of the Federal Occupational Safety and Health Act of 1970(84 Stat. 1590),as amended. 223.
