MEETING OF THE PRESIDENT AND BOARD OF TRUSTEES OF
THE VILLAGE OF OAK BROOK, APPROVED AS WRITTEN ON
DECEMBER 10, 2013.
1. CALL TO ORDER
The Closed Meeting of November 12, 2013 of the Village Board of Trustees was called
to order by President Gopal G. Lalmalani in the Upper Level Conference Room of the
Butler Government Center at 9:05 p.m.
2. ROLL CALL:
Village Clerk Charlotte Pruss called the roll with the following persons
PRESENT: President Gopal G. Lalmalani, Trustee Donald Adler, Trustee John Baar,
Trustee Michael Manzo, Trustee Mark Moy, Trustee Gerald Wolin,
Trustee Asif Yusuf
ABSENT: None
IN ATTENDANCE: Village Manager Dave Niemeyer, Assistant Village Manager Blaine
Wing, Village Attorney Peter Friedman, Assistant Village Attorney Ben

3. TO DISCUSS MINUTES OF MEETINGS LAWFULLY CLOSED UNDER THE OPEN
MEETINGS ACT, WHETHER FOR THE PURPOSE OF APPROVAL BY THE BODY OF
THE MINUTES, OR FOR SEMI-ANNUAL REVIEW OF THE MINUTES AS REQUIRED
BY THE ILLINOIS OPEN MEETINGS ACT 2C(21)
A. Consensus of Closed Meeting Minutes of October 8, 2013
B. Consensus of Closed Meeting Minutes of October 30, 2013
No amendments were expressed for either of these minutes
4. TO DISCUSS COLLECTIVE NEGOTIATING MATTERS, PURSUANT TO SECTION
2C(2) OF THE ILLINOIS OPEN MEETINGS ACT, RESPECTIVELY
A. Fire and Public Works Contract
Assistant Village Manager Blaine Wing asked for authority to hire an expert, Jill O'Brien,
at $200 per hour, not to exceed $1500, on two topics for Fire negotiations. Consensus
was given by the Board. He stated that he is estimating approximately 6 months to
settle as they are now educating new members and had a union election that added
and removed some members from the negotiation team.
The next topic Assistant Village Manager discussed was Public Works negotiations.
Approval was given to allow 150 union members to leave the Village's health, dental
and vision insurance as of 1/1/2014 for a cost of less than $1,500 and wages as low as
he can get them to agree to. He explained that this will increase the Village's savings
by almost $20,000 for the term of the agreement. Consensus was given by the Board.
Assistant Village Manager Blaine Wing discussed the Public Works employees’ salary
costs that were being reviewed. He stated that he will prepare a simplified explanation
with his recommendations and that he is requesting assistance from the Finance
Director to double check figures. He expressed that the union is currently willing to
reduce their 2014 wage increase request from 2% to 1%.

5. LITIGATION, WHEN AN ACTION AGAINST, THE PARTICULAR PUBLIC BODY
PURSUANT TO SECTION 2C(11) OF THE ILLINOIS OPEN MEETINGS ACT,
RESPECTIVELY
A. PSEBA Litigation
Assistant Village Manager Wing stated that the Garrigan and Harris cases are still
pending. He stated that he is still recommending settlement in order to avoid the nearly
$80,000 costs that Ancel Glink is estimating to fight these cases.
Assistant Village Manager Wing exited the meeting at approximately 9:43 p.m.
6. TO CONSIDER THE APPOINTMENT, EMPLOYMENT, COMPENSATION,
DISCIPLINE, PERFORMANCE, OR DISMISSAL OR SPECIFIC EMPLOYEES OF THE
PUBLIC BODY PURSUANT TO SECTION 2C(1) OF THE ILLINOIS OPEN MEETINGS
ACT, RESPECTIVELY
A. Various Personnel Issues
Extensive discussion ensued regarding the processes to be used for the selection of a
new Fire Chief and the qualifications that may be desirable in candidates for the
position. The Village Manager recommended that the Village conduct a national search
for a Fire Chief. Some members of the Board expressed a desire to conduct a local or
regional search. A consensus was reached to conduct a national search.
Trustee Manzo discussed that the committee created to review the applications of Fire
Chief candidates will be open and transparent, and that all Trustees will be invited to
attend and participate in the review and selection of candidates to recommend to the
Village President and Village Board. The Village Manager did not think it was
necessary to hire an outside consultant to review all of the applications, as this task can
be completed by the committee. There was a consensus that it should be the role of
the committee to nominate about ten final candidates to the President and Board.
Extensive discussion then ensued regarding the discipline issues related to the
Assistant Village Manager related to the recent conference in Galena, Illinois.
Village Manager Niemeyer exited the meeting at approximately 10:41 p.m.
B. Village Manager’s Review
Extensive discussion ensued regarding the performance of the Village Manager and the
criteria the Board should use to measure the Village Manager's performance. A
consensus was expressed that setting target goals for the Village Manager to reach in
order to be entitled to a bonus may not be an effective tool, as many of the possible
goals are already a part of the Village Manager's responsibilities. A few Trustees also
expressed a concern that it was unfair to provide the Village Manager a bonus for
achieving goals that require the extensive work of employees other than the Village
Manager. A consensus of the Board thought it was more appropriate to provide the
Village salary increases instead of using a bonus system.
7. ADJOURNMENT
Motion by Trustee Wolin, seconded by Trustee Manzo, to adjourn the Closed Meeting
and Reconvene the Regular Board of Trustees Meeting. VOICE VOTE: Motion carried.
The meeting adjourned at 11:03 p.m.
