CALL TO ORDER The Special Meeting of the AD HOC Legal Committee was called to order by Chairman Moy in the Upper Level Conference Room of the Butler Government Center at 4:30 pm. 2. ROLL CALL Village Clerk Charlotte Pruss called the roll with the following persons: PRESENT: Chairman Mark Moy, Trustee Michael Manzo, Trustee Asif Yusuf, President Gopal Lalmalani, Trustee Wolin ABSENT: Trustee Adler (arrived later), Trustee Baar IN ATTENDANCE: Village Manager Dave Niemeyer; Village Attorney Peter Friedman, Champ Davis, Fred Cappetta, Sharon Kocour 3. UNFINISHED BUSINESS A. Discussion of Legal Counsel Village Attorney Friedman provided a hand-out listing retainer and non-retainer hourly rates from May, 2011 through December, 2013 and discussed the Village's history with Holland and Knight. Trustee Adler entered the meeting at approximately 4:34 p.m. Village Attorney Friedman summarized the work Holland and Knight has done for the Village. He stated that they were seeking an increase of $5,000/month in the retainer. Lengthy discussion ensued regarding same and a possible compromise to a $9,000 retainer. It was suggested that the Village Attorney should have a proactive service arrangement. It was also suggested that a Village Attorney could be hired to spend a certain amount of days/hours dedicated to looking at the broad picture of whatever legal work needs to be done. The merits and issues of this suggestion were discussed. Village Attorney Friedman provided examples of where Holland and Knight has been proactive in the last three years. Opinions were expressed of those in attendance regarding: in- house counsel, negotiating a retainer increase or staying status quo for a year, going out for bid, union negotiations, the scope of the retainer. B. Attorney Services for PEDA, PSEBA and Labor Contracts A short discussion ensued regarding whether to go out for bid. 4. ADJOURNMENT Motion by Trustee Yusuf, seconded by Trustee Manzo, to adjourn the Special Meeting of the AD HOC Legal Committee at 6:02 pm. VOICE VOTE: Motion carried. ATTEST: /s/Charlotte K.
