The "Conference" will be acting as the "Ca-Operative's" agent and neither the "Conference" nor the "Co-Operative" will share any liability or warranty any I, u Ir goods or services secured through the "Co-Operative . 2. The "Conference" shall have all responsibilities relating to the implementation and continued operation of the "Co-Operative", whose offices shall be located with the "Conference". 3. Administrative oversight of the "Co-Operative" and. amendment of the "Co-Operative" Guidelines shall be the responsibility of the "Conference" Management and Finance Committee a'td Board of Directors with final authority resting with the Board of Ij Directors. 4. The "Co-Operative" shall be open to all units of local government, school districts, and other appropriate public institutions as may be app roved by the "Conference" Board of Directors with participation subject to receipt of signed and certified appropriate resolutions of participation_ OD participants will be assessed a $50.00 one time fee. --- 5. All non-"Conference" p P 6. Participants in the "Co-Operative" shall be billed by the "Conference" on a regular basis - at least annually - a charge for administrative expenses and a service fee. The administrative expenses shall be divided proportionately among participants / based upon dollar volume of purchases. The service fee will equal 2% of dollar volume of purchases. �►' 7. The "Co-Operative" will require each participant to appoint an appropriate representative to serve on a "Co-Operative" Advisory Board, which will provide technical assistance to the "Co-Operative" including: developing lists of goods and services to be jointly purchased; specifications for the same; development of bidder lists; product testing; review of bids; and, bid approvals. 8. The fiscal year for the "Co-Operative" shall be the same as the "Conference", currently July 1 thru June 30. Cermignani - Village Manager FROM: Cheryl Kaysen - Executive Secretary SUBJECT: Resolution - Joint Purchasing Cooperative RE ATIOM: That the Village Board pass and approve the attacheu Resolution entering the Village of Oak Brook into an Agreement in the Joint Purchasing Cooperative. Attached is a Resolution for consideration entering the Village of Oak Brook into a Joint Purchasing Cooperative with the DuPage Mayors and Managers Conference. This Joint Purchasing Cooperative will enable the Village of Oak Brook to purchase various items utilized by the Village of Oak Brook at joint purchasing prices. Attached for your information is a list of the items available to the Village of Oak Brook. At the present time there are 14 DuPage County municipalities, 2 Fire Protection Districts, 2 High School Districts, along with the College of DuPage participating in this Cooperative. Also attached is a copy of the Guidelines of this agreement with the Cooperative. Please note that Item #5 is not applicable to the Village of Oak Brook. Item #6 of these Guidelines regarding the service fee and administrative expenses by the DuPage Mayors and Managers Conference for the ordering of these items for the participants is billed on each item. Even with the service fee added to the price of each item there is a savings in cost for the items ordered. For example, the last order of xerox paper ordered through Xerox Corporation by the Village was in December, 1981. At that time the Village paid $30.00 per box (bulk rate - 40 boxes). Through the Cooperative the Village will pay $23.10 per box (8' x11) including the service fees. A savings to the Village of $6.90 per box. The same applies for 83/4x14 xerox paper. Our last purchase of legal size paper was back in June, 1981, the Village purchased 60 boxes at $37.00 per box, through the Cooperativd, our price is 29.14 with the service fees included. I have not checked with Xerox for current prices, however, as everything else these prices have probably in- creased anywhere from 5Z to 102. Please let me know if you wish to discuss this matter further, however, I feel ordering items through the Joint Purchasing Cooperative will be beneficial and cost effective to the Village of Oak Brook.
