A RESOLUTION APPROVING AN EXTENSION TO THE
JANITORIAL SERVICES AGREEMENT BY AND BETWEEN
THE VILLAGE OF OAK BROOK AND PERFECT CLEANING SERVICE CORPORATION
WHEREAS, in 2011, the Village and Perfect Cleaning Service Corporation ("Perfect Cleaning'
entered into an agreement for the provision of certain Janitorial services to the Village ("Agreement's;
and
WHEREAS, the Agreement is set to end on July 31, 2015 unless the term of the Agreement is
extended; and
WHEREAS, the Agreement provides that the Agreement may be extended for an additional year
upon the mutual agreement of the Village and Perfect Cleaning; and
WHEREAS, the Village and Perfect Cleaning desire to extend the Agreement for one additional
year; and
WHEREAS, the President and Board of Trustees have determined that it is in the best interest of
the Village to extend the Agreement for one additional year pursuant to the amendment attached to this
Resolution as Exhibit A ("Amendment's;
NOW THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF
THE VILLAGE OF OAK BROOK, DU PAGE AND COOK COUNTIES, ILLINOIS as follows:
Section 1: Recitals. The foregoing recitals are hereby incorporated into, and made a part
of, this Resolution as the findings of the President and Board of Trustees of the Village of Oak Brook.
Section 2: Approval of the Amendment. The President and Board of Trustees hereby
approve the Amendment by and between the Village and Perfect Cleaning in a form substantially the
same as attached as Exhibit A and in a final form approved by the Village Attorney.
Section 3: Authorization and Execution of the Amendment. The Village President and
Village Clerk shall be, and hereby are, authorized to execute the Amendment after receipt of the final
Amendment fully executed by Perfect Cleaners.
Section 4: Effective Date. This Resolution shall be in full force and effect upon passage and
approval in the manner provided by law.

AMENDMENT TO THE JANITORIAL SERVICES AGREEMENT
SECOND AMENDMENT TO
JANITORIAL SERVICES AGREEMENT
THIS SECOND AMENDMENT TO JANITORIAL SERVICES AGREEMENT
("Second Amendment") is made as of thisc2 e day of May, 2015, by and between PERFECT
CLEANING SERVICE CORPORATION ("Contractor"), and the VILLAGE OF OAK
BROOK,ILLINOIS ("Village").
RECITALS
WHEREAS, Contractor and the Village entered into a certain Janitorial Services
Agreement dated July 12, 2011 ("Original Agreement"), pursuant to which, the Village agreed
to obtain from Contractor, and Contractor agreed to provide the Village, Janitorial Services, as
that term is defined in the Agreement;
WHEREAS, pursuant to paragraph 8 of the Original Agreement, the Parties may extend
the Original Agreement for two additional years upon the mutual agreement of the Parties;
WHEREAS, on June q, 2015, the Parties entered into that certain Amendment to
Janitorial Services Agreement to extend the term of the Original Agreement to July 31, 2015
("First Amendment") (the Original Agreement, as amended by the First Amendment, is the
"Agreement');
WHEREAS, the Parties now desire to extend the term of the Agreement for one
additional year pursuant to the terms of this Second Amendment.
NOW THEREFORE, for and in consideration of the recitals set forth above and other
good and valuable consideration, the receipt, adequacy and sufficiency of which are hereby
acknowledged,the Parties hereto agree as follows:
1. Construction. Capitalized terms used herein but not otherwise defined shall have
the meaning ascribed to such terms in the Agreement.
2. Extension of Term. The term of the Agreement is hereby extended for a period
commencing on August 1, 2015 and ending on July 31, 2016 (`Extension Term"), unless
sooner terminated in accordance with the terms of the Agreement. The Extension Term shall be
on the same terms and conditions contained in the Agreement, except as expressly set forth
herein,
3. Full Force and Effect. Except as specifically modified herein, all other terms
and conditions of the Agreement shall remain in full force and effect and are hereby ratified, and
confirmed.
4. Inconsistencies. In the event of inconsistencies between the Agreement and this
Second Amendment, this Second Amendment will control.
