A RESOLUTION IN SUPPORT OF MAJOR REFORM IN STATE GOVERNMENT
TO ENCOURAGE BUSINESS FORMATION AND INNOVATION
WHEREAS, Illinois has all of the components it needs to thrive: talented people, a diversified
economy, infrastructure, natural resources, and geographic advantages, but still struggles under the
weight of high taxes and inefficient State government; and
WHEREAS, Governor Rauner has made it a top priority of our state government to promote job
growth that provides the opportunity of economic security for residents; a thriving economy allows for
crucial investments in residents; and
WHEREAS, as of March 9, 2011, Illinois became the 16th State to abolish the death penalty, but
still maintains a system of capital punishment for investors and their businesses; and
WHEREAS, today, the average convicted Illinois murderer will live longer in prison than a newly
formed Illinois businesses operating here; nationwide, 65% of all new businesses will die within the first
10 years, and as a result, Illinois should make it as simple and inexpensive as possible to form new
businesses with a minimum of cost and hassle; and
WHEREAS, the Small Business & Enterprise Council has published the following rankings:

* (Please note that the District of Columbia was not included in the studies on the state tort costs,
eminent domain legislation and highway cost efficiency, so D.C.'s last place score actually should be
even worse.); and
WHEREAS, Illinois state government, which should facilitate economic growth, instead has
promoted "the drift of a hollow state" with overlapping departments, a lack of transparency, and poor
coordination leading to administrative burdens for companies; and
WHEREAS, Illinois currently employs electronic filing of Corporate Articles of Incorporation and
LLC Articles of Organization that charges a premium over physical paper filing fees, at the same time
when, for example, Colorado cuts a paper filing fee by 90% if a person uses electronic filing to form a
business entity; in Colorado, an LLC may be formed online for$50, compared to$625 for Illinois, where a
paper filing also costs $500—ten times the amount of an online Colorado filing; and
WHEREAS, this situation creates false economies of upside-down economics that absorb capital
into unproductive uses; at the same time, discouraging electronic filing in Illinois by over-charging for it
perpetuates over-staffing by the Secretary of State, preventing state employees from being freed for more
productive private sector pursuits, and lowering costs to business enterprises that might prefer to stay
and expand in Illinois, who could then hire more private sector workers;
NOW, THEREFORE, BE IT RESOLVED by the President and Board of Trustees of the Village of
Oak Brook, DuPage and Cook Counties, Illinois as follows:
Section 1: Recitals. The foregoing recitals are hereby incorporated into, and made a part
of, this Resolution as the findings of the President and Board of Trustees of the Village of Oak Brook.
Section 2: Resolved. The President and Village Trustees of the Village of Oak Brook
hereby endorse major reform in State government to include lowering fees for corporate and LLC
business formation, eliminating premium charges for online document filing, and thereby promoting
business formation in the Village of Oak Brook and the State of Illinois. The Village of Oak Brook further
affirms the policy of electronic access to Village government resources as a way of lowering costs to our
residents and business community.
Section 3: Authorization to Transmit Resolution. The Village President and Village Clerk
are hereby authorized to send a suitable copy of this Resolution to the Village's local State Senators and
Representatives and the Illinois Governor.

Section 4: Effective Date. This resolution shall be in full force and effect from and after its
passage, approval, and publication as required by law.
