1. Designation of Depository; Deposits Any bank subsidiary of Bank One Corporation (each a "Bank ") is designated a
depository in which hinds of the Organization may be deposited electronically or by checks, drafts, items, mstilunents, notes,
bills of exchange and orders for the payment of money, with of without indorsement, including those payable to the
Organization m any trade name or style used by the Organization
2. Treasury Management Services Anyone [ Two ] of the officers, members, managers, partners, tiu tees,

owners, agents and employees, as applicable, of the Organization and the other persons designated by the Organization (each an
"Authorized Person ") is authorized to do any or all of the following on behalf of the Organization

similar device, computer or machine), including those payable to the individual order of any person whose name appears as
signer thereon, regardless by whom or by what means the actual or purported facsimile signature(s) may have been affixed to
the checks The Bank is indemnified and held harniless by the Organization against any forgery, or unaitliorized use or
misuse of facsmule signatures, or the facsimile signing devices, the protection and security of such device being the sole
responsibility of the Organization
(b) , Agreements Execute and deliver agreements, documents and instiuments (and amendments or waivers thereto of
terminations thereof), and take, or refrain from talung, action to cant' into effect these Resolutions and the transactions
contemplated by them upon such terms and conditions as such Authorized Person(s) deem(s) advisable as evidenced by such

(c) Delegation of Authority Delegate, of amend or revoke such delegation, u1 writing, at any tune and from time to
time, any of the authority referred to in these Resolutions to one of more other persons acting as specified in the delegation
The Organization agrees to be bound by any action taken by, or non - action of, such persons

3. Revocation or Modification of Resolutions These Resolutions and any delegation made pursuant to them shall continue in
full force and !effect until express written notice of its revocation of modification has been received by Bank and EBank has had a
reasonable opportunity to act upon such notice However, of the authority contained in these Resolutions or any delegation is
revoked or terminated by operation of law without such notice, it is resolved and agreed, for the purpose of inducing Bank to act
uuider these Resolutions and any delegation, that the Organization shall indemnify and hold Bank harmless fiom any loss suffered
or liability mcuried by Bank ui so acting after such revocation or teriniiation without such notice
