A RESOLUTION AUTHORIZING THE EXECUTION OF AGREEMENTS BY AND BETWEEN THE
VILLAGE AND TYLER TECHNOLOGIES, INC. FOR MUNIS SUPPORT SERVICES
WHEREAS, the Village of Oak Brook ( "Village") previously contracted with Tyler Technologies,
Inc. of Falmouth, Maine ( "Tyler') for Tyler to provide the Village its proprietary MUNIS Financial Software
applications; and
WHEREAS, the Village's computer system and database is setup for Tyler's Munis System and
the Village would have to expend significant costs to transition its computer system and database to
another financial software package; and
WHEREAS, in order to continue to use the MUNIS financial system, the Village must enter into
an Annual Support Agreement and License Agreement, attached hereto and incorporated herein as
Exhibit A ( "Support Agreement "), and an Annual Agreement for Operating System & Database
Administration Support, attached hereto and incorporated herein as Exhibit B ( "Operating System
Agreement "), with Tyler for Tyler to provide support and database administration support services
( "Support Services") for the Village's MUNIS financial software; and
WHEREAS, Section 1 -7 -7 of the "Village Code of the Village of Oak Brook, Illinois," as amended
( "Village Code') provides that contracts, which by their nature are not adapted to award by competitive
bidding or competitive proposals may be exempted from the competitive bidding and competitive proposal
requirements contained on the Village Code; and
WHEREAS, Tyler is the only company that provides Support Services, and consequently, the
Support Agreement and Operating System Agreement are not suited for competitive bidding or
competitive proposals, and
WHEREAS, the President and Board of Trustees, being fully advised in the premises, have
determined that it is in the best interests of the Village and its residents to approve the Support
Agreement, Operating Agreement, and to authorize the payment to Tyler for its Support Services;
NOW THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF
THE VILLAGE OF OAK BROOK, DU PAGE AND COOK COUNTIES, ILLINOIS as follows:
Section 1: Recitals. The foregoing recitals are hereby incorporated into, and made a part
of, this Resolution as the findings of the President and Board of Trustees of the Village of Oak Brook.
Section 2: Approval of Agreements. The President and Board of Trustees hereby approve
the Support Agreement and the Operating System Agreement with Tyler in substantially the same form
as attached as Exhibit A and Exhibit B, and in final form approved by the Village Attorney.
Section 3: Execution of Agreements. The Village President and the Village Clerk shall be,
and are hereby, authorized to execute the final Agreement on behalf of the Village.
Section 4: Authorization of Payment. The President and Board of Trustees hereby approve
the payment of the invoices attached hereto and incorporated herein as Exhibit C in an amount not to
exceed $39,425.91.
Section 5: Effective Date. This Resolution shall be in full force and effect from and after its
passage by two- thirds of the Trustees and its approval in the manner provided by law.

L Term of Agreement

Upon termination of this Agreement the Licensee may renew the Agreement for subsequent one-year periods at the then
current fee structure as established by the Licensor.
IL Scope of the Agreement

III. Payment
1. Licensee agrees to pay MUNIS S 26,127.27 , for licensing and support services, as described below.
This payment is due and payable upon execution of the Agreement.
2. Addtional charges. Any services performed by MINIS for the Licence, which ate not covered by the Agreement,
will be charged at the then applicable time rate'. All natetials supplied in connection with such non - covered
maintenance or support will be charged to the Licensee. Any additional charges will be added to the next invoice
submitted to the Licensee and shall be due on the same data as the other charges included in that invoice.

V. Terms and Conditions for Licensing:

3. Confidentiality: The Licensee agrees that the Products are proprietary to the Licensor and have been developed m a crude secret at the

unauthorized use or ureuthorized disclosures by any party ofany or all ofthe Products or accompanying documenmtion
4. Modification: The Products may be modified but such modification shall be only for Meuse on the Licensees systemfor whichthe
Pmductsare licensed and shall notcause the Licensee or anyone performing such modification in gain any propriety or odor interest
in the Products.
5. Copies: TbeLicenseemayrake copiesofthe Eocrosed ProductsfaarGnvepeWsa only. The Licensee will re}aat anypropmetay
notice on the copy ofthe Product The documentation accomanying the product may not be copied except for internal use.
6. Warranty: Form long as a current software support agmememt is in place, NeLicensorwill warrant that all MUMS ®software
programs will operate as described in the brochures and usermanuals ofMUMS. Ifs program fails to operate in die manner described
within these documents, the Licensor will correct the problem at no charge to the Licensee. If Licensee has made modifications to the
software programs, Licensor will no longer warrant the performance oftbm programs, which contain modifications, unless
specifically authorized in writing by the Licensor.
VI. Terms and Conditions for Support:
1. Scope of Services: MUMS will provide the following services for the benefit ofthe Licensee.
a) MUMS shall pmvide soflwate- related telephone support to the Licensee. Supportpersomel will acceptphoce calls during
MUNIS's normal werkinghours (8:00 AM. to 6:00 P.M., Eastem Standard Time, Monday through Friday) for the term ofthis

special assistance from MUNIS's development group, will be taken and directed by support personnel. In the event that support

printout ofsontce code programs and documentation.
c.) MUMS will maintain staffthat is appropriately trained to be familiar with Licensees software programs that are listed m Section
IV in order to render assistance, should it be required.
d) MUNIS will provide Licensee with all pregtam enhancements, modifications or updates that MUNIS may make to the then
Cmaren Release ofthe program applications covered in ties Agreement.
e.) In the cam of system software new Release(s), the Licensee will also be required to pay whatever fees the manufumarr charges
m MUNIS for the new Release. Licensee understands that and agrees that six (6) months after shipment by MUMS ofnew
Releases, MUNIS shall cease to support the confer Release and for the balance ofthe tens, MUMS shall support the new
Release.

2. Limitatious and Eadusions; The support and services ofthis Agreement do ant include the following:
a) Installation ofthe Licensed Software, omens supper; appheatioo design, and now consulting services, many support requested
outside ofnonmal business hours.

3. Licensee Responsibilities:
s) The Licensee shall provide, at an charge on MUMS, full and flee access to the programs covered herander waling space;
adequate frcilitirs within a reasonable distance from the egtdpmenk and use ofmachmes, aachments, features, or other
equipment necessary to provide the specified support and rtaintemanm service.
b.) The Licensee shall install and maintain for the duration ofthis Agmemet, a modem and associated dial -up telephone line or
other connection method acceptable to MUMS. The Licensee shall pay for installation, maintenance and use ofsuch equipment
and associated telephone line use charges. MUMS at its option, shall use this modern and telephone line in connection with error
correction. Such acct by MUMS shall be subject to Praia approval by the Licensee in each instance.

6. Limitation of Liability: The liability ofMUNIS is hereby limited m a claim fee a moneyjndgement not exceeding the total commit
paid by the Licensee for services under this Agmeerrent THE LICENSEE SHALL NOT IN ANY EVENT HE ENTITLED TO, AND
MUMS SHALL NOT BE LIABLE FOR INDIRECT. SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY
NATURE, EVEN IF MUNIS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, IRRESPECTIVE OF THE
MATE IRE OF THE LICENSEES CLAIM.
VII. General
1. Governing Law: This agre®mt shall be governed by. and consuucd in accordance with the laws ofChem's state of domicile. The
imelidity Munenforceabilrty of my provisions of this agreement shall not affect the validity or enforceability of my other provision.
2. MedlBation ofihu Contract: No modifications or amendmem of this Agreemrntshag be effective unlm set forth in writing and
signed by both the Licensee and MUMS.

4. Entire Agreement: THIS AGREEMENT CONSTITUTES THE COMPLETE AND EXCLUSIVE STATEMENT OF THE
AGREEMENT BETWEEN THE LICENSEE AND MUNIS WHICH SUPERSEDES ALL PROPOSALS, ORAL OR WRITTEN,
AND OTHER COMMUNICATIONS BETWEEN THEM RELATING TO THE SOFTWARE SUPPORT AND MAINTENANCE
SERVICE OF THE PRODUCTS COVERED BY THIS AGREEMENT.

(1) In cases where additional databases exist. as is the case when more than one business amity shares the

Services portion of the OWDBA Services contract separately at a quoted by Tyler based on site category. In
this event, one of the business entities sharing me MUNIS Application Server is required to purchese the
OS/DBA contract at fug price.
(2) In rases where multiple databases east. and all databases belong to a angle business entity, only one Eve and
one train and one test database will be covered. Each additon it database must be contracted for separately at

e. MUNIS Application Software: The standard OSIDBA service includes coverage two complete sets of MUNIS
application programs and forms. defined as one live and train set and test set

(1) The standard OSIDBA contract includes a single installation of all MUNIS required foundation software.

2. Limitations and Exclusions:
