R-1196 - 09/11/2012 - FIRE DEPT. - Resolutions Supporting DocumentsAGENDA ITEM Regular Board of Trustees Meeting of September 11, 2012 AI 0 IT13M 6.F.3) SUBJECT: Adjustment of annual compensation rate for contract paramedic service with Paramedic Services of Illinois (PSI) FROM: Thomas McEllin, Fire Chief BUDGET SOURCE/BUDGET IMPACT: 2012/2013 EMS Program 731 -77000 RECOMMENDED MOTION: I move that the Village Board approve the compensation agreement with Paramedic Services of Illinois for 2012/2013 for an annual amount of $492,683. Background/History: On August 28, 2011, the Village of Oak Brook entered into a successor agreement with Paramedic Services of Illinois (PSI) to provide the Village with contract paramedic services through August 31, 2014. The agreement calls for PSI to provide six contract paramedics (two per 24 hour shift), supplementing the sworn fire department staff. Section 18A of this agreement sets the yearly compensation rate and Section 18B allows for the yearly evaluation and adjustment of this fee to a mutually agreed upon rate based on PSI's operational costs. Village staff has met with PSI, discussing the increases in operational costs and has agreed upon a new proposed compensation rate. With the 2.5% increase, the annual cost per paramedic is less than the 6 mature contracts recently surveyed (15 yrs or older with same provider) by an average of $4,967/yr. per paramedic. Recommendation: Staff recommendation is to approve the compensation agreement with PSI and authorize an increase in the compensation rate from $480,666 to $492,683 or from $40,055.50 per month to $41,056.92 per month. This represents an overall increase of 2.5 %. This rate provides for a modest increase for salary, FICA, insurance, training, uniforms, fire gear, administrative and operational cost that have risen the last few years. Q w i w .Q M Q 01 U RESOLUTION 2012 -FD- PSI- AG -EX -R -1196 A RESOLUTION APPROVING A COMPENSATION AGREEMENT BY AND BETWEEN THE VILLAGE OF OAK BROOK AND PARAMEDIC SERVICES OF ILLINOIS WHEREAS, on August 28, 2011, the Village of Oak Brook ( "Village ") entered into a three -year agreement with Paramedic Services of Illinois ( "PSI") for PSI to provide the Village paramedic services ( "Agreement "); and WHEREAS, Section 18 of the Agreement provides that PSI's compensation shall be evaluated and adjusted to a mutually agreed upon rate based on the cost of PSI's employee benefits and operational costs; and WHEREAS, the Village and PSI have evaluated and negotiated a 2.5 percent increase in PSI's compensation ( "Compensation Agreement"), attached hereto as Exhibit A; and WHEREAS, the Village President and Board of Trustees hereby find and determine that it is in the best interest of the Village to approve and enter into the Compensation Agreement; NOW, THEREFORE, BE IT ORDAINED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE VILLAGE OF OAK BROOK, DU PAGE AND COOK COUNTIES, ILLINOIS as follows: Section 1: Recitals. The foregoing recitals are incorporated into, and made a part of, this Resolution as the findings of the Village President and Board of Trustees. Section 2: Approval of the Compensation Agreement. The President and Board of Trustees hereby approve the Compensation Agreement in substantially the same form as attached hereto as Exhibit A. Section 3: Authorization and Execution of the Compensation Agreement. The Village President and Village Clerk shall be, and hereby are, authorized to execute the final Compensation Agreement on behalf of the Village after review and approval of the final form of the Compensation Agreement by the Village Attorney. Section 4: Effective Date. This Resolution shall be in full force and effect upon passage and approval in the manner provided by law. THIS COMPENSATION AGREEMENT ( "Compensation Agreement ") is made as of this day of September, 2012 by and between the VILLAGE OF OAK BROOK, ILLINOIS ( "Village ") and PARAMEDIC SERVICES OF ILLINOIS, INC. ( "PSP'). RECITALS WHEREAS, the Village and PSI entered into that certain Agreement Between the Village of Oak Brook, Illinois and Paramedic Services of Illinois, Inc. dated September 1, 2011 ( "Paramedic Services Agreement "). WHEREAS, Section 18.13 of the Paramedic Services Agreement provides that for the time period of September 1, 2012 through August 31, 2013, PSI's yearly compensation for services rendered pursuant to the Paramedic Services Agreement will be evaluated and adjusted to a mutually agreed upon rate based upon the cost of PSI's employee benefits and operation costs ( "Agreed Compensation "). WHEREAS, pursuant to Section 18.13 of the Paramedic Service Agreement the Village and PSI have evaluated and mutually agreed upon PSI's Agreed Compensation as set forth in this Compensation Agreement. NOW THEREFORE, for and in consideration of the recitals set forth above and other good and valuable consideration, the receipt, adequacy and sufficiency of which are hereby acknowledged, the parties hereto agree as follows: I. Recitals Incorporated. The recitals set forth above are incorporated into this Amendment and shall be deemed terms and provisions hereof, the same as if fully set forth in this Paragraph 1. 2. Agreed Compensation. Pursuant to Section 18 of the Paramedic Services Agreement, for the time period of September 1, 2012 through August 31, 2013, the Village shall pay to PSI the sum of $492,683.00 or $41,056.92 per month pursuant to the payment terms of the Paramedic Services Agreement. 3. Governin¢ Law, Venue. This Compensation Agreement and any dispute arising out of or relating to this Compensation Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without reference to its conflict of law rules. All judicial actions relating to any interpretation, enforcement, dispute resolution or any other aspect of this Compensation Agreement shall be brought in the Circuit Court of the State of Illinois, DuPage County, Illinois. Any matter brought pursuant to the jurisdiction of the federal courts shall be brought in the United States District Court of the Northern District of Illinois. #11519484_vl 4. Compliance with Law. Each of the parties hereto agrees that it will, in its performance of its obligations hereunder, fully comply with all applicable laws, regulations and ordinances of all relevant authorities. 5. Entire Agreement. This Compensation Agreement contains the entire agreement between the parties with respect to the subject matter hereof. All amendments to or waivers of this Compensation Agreement must be in writing signed by both parties. 6. Headings. Section headings contained herein are for convenience or reference only, and shall not govern the interpretation of any of the provisions contained herein. 7. Counterparts. To facilitate execution of this Compensation Agreement, this Compensation Agreement may be executed in multiple counterparts, each of which, when assembled to include an original signature for each party contemplated to sign this Compensation Agreement, will constitute a complete and fully executed original. All such fully executed original counterparts will collectively constitute a single agreement. Each counterpart may be delivered by facsimile or pdf transmission. IN WITNESS WHEREOF, the Village and PSI have respectively executed this Compensation Agreement to be effective as of the date first above written.
