SUBJECT: Bank Signature Resolution

RECOMMENDED MOTION: I move that the Village Board approve Resolution
2016-FI-BNKSRV-SA-R-1583 regarding authorized bank signers.
Background/History:
Due to the resignation of Sharon Dangles as Finance Director/Village Treasurer, it is
necessary to update our banking resolution with JP Morgan Chase Bank. The primary
purpose of this document is to name the persons authorized to transact Village banking
business, which primarily consists of check signing and wire transfers. It is
recommended that Assistant Finance Director Jason Paprocki(who is recommended to be
named Acting Village Treasurer later this evening) be substituted wherever Sharon
Dangles formerly appeared. All of the existing controls remain in place, with a change
that Sharon Dangles has been replaced by Jason Paprocki.
Recommendation:
The Board passes the resolution as presented.

A RESOLUTION ADDING AND REMOVING VARIOUS OFFICERS
AS SIGNATORIES ON VILLAGE BANK ACCOUNTS
WHEREAS,the Village maintains various bank accounts (collectively, "Bank Accounts'); and
WHEREAS, Finance Director/Treasurer Sharon Dangles is an authorized signatory on the
Village's Bank Accounts; and
WHEREAS, Sharon Dangles is resigning her employment with the Village, effective August 9,
2016; and
WHEREAS, Assistant Finance Director Jason Paprocki will serve as the Acting Finance
Director/Treasurer until the Village appoints a new Finance Director/Treasurer; and
WHEREAS, Village Board desires to: (i) remove Sharon Dangles as a signatory on the Bank
Accounts, effective August 9, 2016; and (2) add Jason Paprocki as a signatory, effective on the date of
passage of this Resolution; and
WHEREAS, the Village President and Board of Trustees hereby find and determine that it is in
the best interest of the Village to approve this Resolution;
NOW, THEREFORE, BE IT ORDAINED BY THE PRESIDENT AND BOARD OF TRUSTEES OF
THE VILLAGE OF OAK BROOK, DU PAGE AND COOK COUNTIES, ILLINOIS as follows:
Section 1: Recitals. The foregoing recitals are incorporated into, and made a part of, this
Resolution as the findings of the Village President and Board of Trustees.
Section 2: Removal of Authority to be Signatory. The President and Board of Trustees
hereby removes and repeals the authority of Sharon Dangles to serve as a signatory on the Village's
Bank Accounts, effective August 9, 2016.
Section 3: Authorization to be a Signatory. The President and Board of Trustees hereby
authorize and appoint Jason Paprocki to serve as a signatory on the Bank Accounts.
Section 4: Execution of Required Documentation. The President, the Village Manager, the
Village Clerk, and the Village's Finance Director are hereby authorized to execute and attest, on behalf of
the Village, all necessary documents to effectuate Sections 2 and 3 of this Resolution.
Section 5: Effective Date. This Resolution shall be in full force and effect upon passage and
approval in the manner provided by law.
