Approving the Release of Closed Meeting Minutes
Background/History:
The Open Meetings Act (5 ILCS 12012.06) requires that all public bodies periodically, but no
less than semi-annually, review minutes of all of its closed session minutes that have not been
released to the public. The Board of Trustees must therefore review the closed session minutes,
or the parts thereof, from the meetings of 2010 and 2011. The meeting minutes have been
approved, but not released to the public. Under the Open Meetings Act, to "release" closed
session minutes merely means that the Board has determined that there is no longer a need to
maintain the minutes as confidential.
A. Minutes to be Released.
The closed session minutes from 2010 and 2011 involve discussion of litigation matters, some of
which have been resolved. The Village Clerk's office and the Village Attorney has reviews the
minutes and is recommending releasing information about certain litigation matters that will not
cause harm to the Village. In addition, the Village Clerk's office and the Village Attorney has
recommended the release of minutes certain minutes discussing the hiring of a police chief, labor
negotiations that do not reveal the Village's negotiation strategies, and other personnel matters
for which much of the information is already public.
The Village Clerk's office and the Village Attorney have no objection to allowing for the release
of the closed session minutes listed in Schedule A below:

B. Portions of Minutes to Remain Confidential.
The Village Clerk's office and the Village Attorney recommend keeping the information
identified below confidential. If released, this information may affect ongoing litigation matters,
employees currently employed by the Village, or interfere with collective negotiating matters
between the Village and its employees. In addition, some of the information that is
recommended to remain confidential involves litigation, that while the matters are not ongoing,
there is some risk to the Village if the information was to become public. In addition, the
information includes the names of candidates who applied for the police chief position. The
release of information identifying these candidates may adversely impact the candidates current
employment.

At this time the Village Clerk's office and the Village Attorney recommend not releasing the
minutes identified below. If released, the information contained within these minutes may affect
ongoing litigation matters, employees currently employed by the Village, or interfere with

Recommendation:
That the Board pass Resolution R-1314.
RESOLUTION 2013-BD-CL-MIN-R-1314
A RESOLUTION FOR THE APPROVAL AND
RELEASE OF CLOSED MEETING MINUTES
WHEREAS, the Village Board of the Village of Oak Brook has met from time to time in closed
meeting for purposes authorized by the Illinois Open Meetings Act; and
WHEREAS, pursuant to the requirements of 5 ILCS 120/2.06(d), the Village Board has met in closed
meetings to review closed Meeting minutes; and
WHEREAS, the Village Board has determined that there is no longer a need for confidentiality as to
the closed meeting minutes from the meetings set forth below in Section 1; and
WHEREAS, the Village Board has further determined that there still exists a need for confidentiality
as to the closed meeting minutes from the meetings set forth below in Section 2.
WHEREAS, the Village Board has further determined that there still exists a need for confidentiality
as to the closed meeting minutes from the meetings set forth below in Section 3.
NOW, THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF
THE VILLAGE OF OAK BROOK, DU PAGE AND COOK COUNTIES, ILLINOIS as follows:
Section 1: That the 2010 and 2011 closed meeting minutes, having been previously approved, but not
released or released with redactions, may now be released in their entirety as described in Schedule A,
attached hereto and made a part hereof as Exhibit 1.
Section 2: That the 2010 and 2011 closed meeting minutes, having been previously approved, but not
released or released with redactions, are hereby released, subject to the redactions described in Schedule
B, attached hereto and made a part hereof as Exhibit 1.
Section 3: That the 2010 and 2011 closed meeting minutes, having been previously approved, but not
released or released with redactions, are not ready for release at this time, as described in Schedule C,
attached hereto and made a part hereof as Exhibit 1.
Section 4: That the Village Clerk is hereby authorized and directed to make minutes identified in
Sections 1 and 2 available for inspection and copying in accordance with the standing procedures of the
Clerk's office.
Section 5: That this resolution shall be in full force and effect from and after its passage and approval
as provided by law.
