BY THE V:LLAGE OF OAK BR00K VViTH P:NEOAK PARTNERS LLC
RELAT:NG TO THE 2020 POLO SEASON
WHEREAS,the V∥lage of Oak Brook,∥∥nois,(``V∥:age")has sponsored polo matches for many
yearsi and
WHEREAS,many clizens ofthe communlylook fottard to atending these polo matchesi and
WHEREAS,during many previous years,the V∥lage has conducted these polo matches under ns
own operationsi and
WHEREAS,Pineoak Partners LLC has asked the V∥lage to join l in a License Agreement which
ⅥЛ∥contain the terns and conditions under which Pineoak輛 ∥operate the 2020 polo seasoni and
VVHEREAS,the parties have negotiated a License Agreemerlt under which the V∥lage w∥l make
certain payments to Pineoak, but beyond those payments, Pineoak wi∥ have fu∥ responsib∥ity for the
operation ofthe 2020 seasonl and
VVHEREAS,a part ofthe License Agreementa∥ows Pineoakto make certain uses ofthe Oak Brook
Tennis Club name and symbois which are owned bythe V∥lage of Oak Brook:and
WHEREAS,the use of such inte∥ectual property is broadly described in the License Agreement
which contains the ab∥ity ofthe V∥lage,if required,to restnct certain such uses:and
VVHEREAS,the parties are hopefulthatthe 2020 polo season w∥l be both an athletic success and
a inancial success for Pineoak, in which case the parties w∥l discuss an extension of this License
Agreement which is∥mited to the 2020 season
NOVV THEREFORE,BE!T RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF
THE V:LLAGE OF OAK BR00K,DU PAGE AND C00K COUNT:ES,ILLINOIS as fo∥ows:
Section l: The preambles to this Resolu籠 on are made a part ofthe Resolulon expressing the
intent ofthe V∥lage Board
Section 2: The V∥lage President and the Viliage Clerk are authoHzed to execute a License
Agreement with Pineoak Partners LLC relalng to the polo season fo「2020 which w∥l be conducted at Polo
Field l and in substantial accordance with the terms and conditions of that Agreement,which is attached
hereto and made a part ofthis Resolution
Section 3: This Resolutlon sha∥take effect uponits passage and approval and the President
and Clerk sha∥sign the License Agreement when they are satisned thatit is in a form approved by the
vi∥age Managerand the V∥lage Attorney
