A RESOLUTION APPROVING
AN AMENDMENT TO THE AGREEMENT
BY AND BETWEEN THE VILLAGE OF OAK BROOK AND
PERFECT CLEANING SERVICE CORP.
TO PROVIDE JANITORIAL SERVICES
WHEREAS,Staff conducted the request for proposals process in 2016 forjanitorial
services and Perfect Cleaning Corp. ("Perfect')was the proposer who offered the best
overall value;and
WHEREAS,the Village Board awarded a three-year agreement('Agreement')in
2016 to Perfect for janitorial services("Services');and
WHEREAS, Perfect has previously provided satisfactory services to the Village
since 2011;and
WHEREAS,the term of the Village's Agreement terminated in July,2019;and
WHEREAS,the term of the Village's 1St Amendment terminates in July,2020;and
WHEREAS,the term of the Village's 2nd Amendment terminates in July,2021;and
WHEREAS,Staff desires to amend the Agreement to extend its term through July,
2022;and
WHEREAS,the President and Board of Trustees have determined that it is in the
best interests of the Village to approve the Amendment to the Agreement in a final form
as approved by the Village Attorney.
NOW THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF
TRUSTEES OF THE VILLAGE OF OAK BROOK, DU PAGE AND COOK COUNTIES,
ILLINOIS as follows:
Section 1: Recitals. The foregoing recitals are hereby incorporated into, and
made a part of,this Resolution as the findings of the President and Board of Trustees of
the Village of Oak Brook.
Section 2: Approval of the Amendment to the Agreement. The President and
Board of Trustees hereby approve the Amendment to the Agreement by and between the
Village and Perfect for Janitorial Services in a final form acceptable to the Manager and
the Village Attorney.

Section 3: Authorization and Execution of the Amendment to the Agreement.
The Village Manager and Village Clerk shall be, and hereby are, authorized to execute
the final Amendment to the Agreement on behalf of the Village in a final form acceptable
to the Village Manager and the Village Attorney.
Section 4: Effective Date. This Resolution shall be in full force and effect upon
passage and approval in the manner provided by law.

THIRD AMENDMENT TO THE 2016 JANITORIAL SERVICES AGREEMENT
THIS AMENDMENT TO THE 2016 JANITORIAL SERVICES AGREEMENT
("Amendment")executed by the parties May 25,2016, is made as of , 2021
by and between PERFECT CLEANING SERVICE CORP.("Perfect"),and the VILLAGE
OF OAK BROOK,ILLINOIS ("Village").
RECITALS
WHEREAS,Perfect and the Village entered into a 2016 Janitorial Services Agreement
("Agreement'j,pursuant to which Perfect agreed to provide to the Village Janitorial Services,as
more fully described in the Agreement.
WHEREAS,the term of the Agreement ended July 31,2019.
WHEREAS,the term of the First Amendment ends July 31,2020.
WHEREAS,the term of the Second Amendment ends July 31,2021.
WHEREAS,the parties desire to extend the term of the Agreement for one additional year
pursuant to this amendment.
NOW THEREFORE,for and in consideration of the recitals set forth above and other
good and valuable consideration, the receipt, adequacy and sufficiency of which are hereby
acknowledged,the Parties hereto agree as follows:
A. Extension of Term.The Agreement is hereby extended for a period commencing August
1, 2021 and ending July 31, 2022 ("Extension Term"), unless sooner terminated in
accordance with the terms of the Agreement. The Extension Term shall be on the same
terms and conditions contained in the Agreement,except as expressly set forth herein.
B. Pricin . Perfect's pricing shall remain as follows,Butler Government Center and Public
Works Building($65,538.16),Oak Brook Public Library($25,100.89), and Oak Brook
Golf Club($21,387.74),for a total cost of$112,026.79.
C. Effect of Amendment. The Parties acknowledge and agree that this Amendment modifies
and amends the Agreement and the terms and provisions hereof shall supersede and control
over any contrary or conflicting terms and provisions set forth in the Agreement. The
Agreement,as amended by this Amendment,is hereby ratified and remains in full force
and effect.
