SERVICES AGREEMENT
THIS AMENDMENT TO THE 2021 BATH & TENNIS CLUB JANITORIAL
SERVICES GREEMENT ("Amendment") executed by the parties on October 8, 2021, is
made as of L C L1S —7 , 2022 by and between IMAGE ONE FACILITY
SOLUTIONS("I ge One"),and the VILLAGE OF OAK BROOK,ILLINOIS ("Village").
RECITALS
WHEREAS, Image One and the Village entered into a 2021 Bath & Tennis Janitorial
Services Agreement ("Agreement"), pursuant to which Image One agreed to provide to the
Village Janitorial Services, as more fully described in the Agreement.
WHEREAS,the term of the Agreement expires July 31, 2022.
WHEREAS, the parties desire to extend the term of the Agreement on a month-to-month
basis, for a term not to exceed twelve (12)months pursuant to this amendment.
NOW THEREFORE, for and in consideration of the recitals set forth above and other
good and valuable consideration, the receipt, adequacy and sufficiency of which are hereby
acknowledged, the Parties hereto agree as follows:
A. Extension of Term. The Agreement is hereby extended on a month-to-month basis for a
period commencing August 1, 2022, not to exceed twelve (12) months, ending July 31,
2023 ("Extension Term"), unless sooner terminated in accordance with the terms of the
Agreement. The Extension Term shall be on the same terms and conditions contained in
the Agreement, except as expressly set forth herein.
B. Pricing. Image One's pricing shall be as follows, Oak Brook Bath & Tennis Club
($450.00/month, $5,400.00 for 12 months)Oak Brook Pool Locker Rooms from Memorial
Day to Labor Day($1398.00/month), for a not to exceed total cost of$9,594.00.
C. Effect of Amendment. The Parties acknowledge and agree that this Amendment modifies
and amends the Agreement and the terms and provisions hereof shall supersede and control
over any contrary or conflicting terms and provisions set forth in the Agreement. The
Agreement, as amended by this Amendment, is hereby ratified and remains in full force
and effect.
